Notice is hereby given for a meeting of the Board of Dirctors of Holidayzer BD Ltd. to be held on July 26, 2023
at 10:00 A.M. at Meherba Plaza (11th Floor), 33 Topkhana Road, Paltan, Dhaka, Bangladesh to consider the following
agenda:

1. To confirm the proceedings of the last Board meeting.

2. To approve the transfer of 100 (One Hundrad) ordinary shares @ Tk. 100/- each from
and to the following persons:

 Minutes of the Board Meeting

A Meeting of the Board of Directors of Holidayzer BD Ltd. was held on July 26, 2023 at 10:00 A.M. at
Meherba Plaza (11th Floor), 33 Topkhana Road, Paltan, Dhaka.

As the quorum for holding the meeting was complete, the meeting was called to order and
proceedings commenced. Noor-E-Laila Tandra presided over the meeting and read out the notice
dated July 17, 2023 convening the meeting.

It resolved as follows
1. The proceeding of the last Board Meeting of the Directors of the Company be and are hereby
confirmed.
2. That the transfer of 100 (One Hundrad) ordinary shares @ Tk. 100/- each between the following
persons are unanimously accepted:

Abdullah Al Noman Md. Monjur Elahi 100

3. That the board unanimously approved resignation of Mr. Abdullah Al Noman from the post of
Managing Director of the company with immediate effect

4. That the board unanimously approved the appoitment of Mr. Md. Monjur Elahi as Managing
Director of the company with immediate effect.

5. It was also resolved that the above mentioned matter be forwarded to the Registrar of Joint Stock
Companies and Firms, Bangladesh for thier approval and record
