MEMORANDUM OF AGREEMENT

made this 05 February 2024

JBNJ Ltd (hereinafter called "the Actor")

AND
Three Iagos Production Limited
49 South Molton Street, London, W1K 5LH
(hereinafter called "the Producer")
of the other part
CONCERNING the streaming of the play
OTHELLO
(hereinafter called "the Play")

WHEREBY IT IS AGREED
1.1 All monies due to the Actor hereunder shall be made payable to the Actor’s authorised
representative, Markham, Froggatt & Irwin, by electronic bank transfer.

DIGITAL DISTRIBUTION

2. In consideration of the fee for services and the artist’s share of the Artist Profit
Participation Pool (as defined in Clause 2.3), the artist grants to Original Theatre for the
duration of 24 months from the First Release, the artist’s own rights in the Recording to
exhibit/make available on the Platform originaltheatreonline.com.

2.1. The Recording with be exhibited on a Subscription Video On Demand basis together
with other recordings on either a monthly or annual paid-for subscription basis.

2.3 All Net Profits shall be divided 60% to the Artist Profit Participation Pool and 20% to
Original Theatre and 20% to Investors of Three Iagos Production Limited.

2.4 The Actor’s Share is 5% of the Artist Profit Participation Pool. The remainder of the Artist
Profit Participation Pool will be allocated on favoured nations terms between the Recording’s
Writer, Actors, Creative Team and Producers.

2.5. All Net Profits shall be allocated: 50% evenly distributed across all titles on the Platform,
50% allocated proportionally based on viewing data generated by all titles on the Platform,
where a single view shall be determined as an uninterrupted viewing session of not less than
30 seconds.

2.6. Net Profits are defined as all income received through the Platform after the production
has recouped its digital capitalisation costs through net SVOD revenue received through the
Platform.

2.7 Net Profits will be paid to Three Iagos Production Limited by Original Theatre on a
quarterly basis and any profit due to the artist will be paid quarterly as per the agreed
percentage.

3. The Recording will be available exclusively through the Original Theatre platform and
broadcast in UK and European territories only.

3.1 Original Theatre may assign or sub-license to any Affiliate of Original Theatre the benefit
or the burden of this Agreement and shall notify you in advance of any such assignment or
sub-licencing.

3.2. The Licence Period and Territories may be extended on terms to be negotiated and
agreed by the parties in good faith (with any agreed extension period being an “Extension”).
Any Extension shall be subject to all rights holders in the Recording agreeing to the
Extension.

4. The Producer shall announce on all advertising and publicity matter connected with the
Play that the Play is
OTHELLO, a Sinéad Rushe Production
4.1 The Producer further undertakes to publish a biography and/or photograph of the Actor
wherever biographical notes and/or photographs of either members of the cast or the
director or the producer appear.
5. Accordingly the Actor reserves to itself all rights throughout the world, of whatever kind or
nature in and to the Play other than the rights specifically mentioned in this Agreement.
6. The Actor authorises Markham, Froggatt & Irwin to act on the Actor’s behalf in relation to
the terms of this Licence now and at all times in the future.
