I, Diego Alberto Huertas González, Sworn Translator authorized by the laws of the Republic of

Guatemala to translate the English and Spanish languages, according to Ministerial Resolution
4903-8510 emitted by the Ministry of Education, granting my translations legal value and public
faith, UNDER OATH and in accordance with article 37 of the Law of the Judicial Organism, hereby
SWEAR that I have had at sight: A CONTRACT BETWEEN OWNER AND BROKER, written in
Spanish and faithfully translated into English, to the best of my knowledge and understanding,
read thus: ------------------------------------------------------------------------------------------------------------------

““CONTRACT BETWEEN OWNER AND BROKER. Let all persons hereby know, that the
undersigned, with registered office at 123 Main Street, Anytown, USA, hereby certifies and agrees:
That the undersigned is duly authorized as a real estate agent in accordance with the laws of the
State of New York. -------------------------------------------------------------------------------------------------------
That the undersigned is hired as a real estate agent by the 'Owner', Mr. John Doe, in relation to
the sale of a residential property located at 456 Oak Avenue, Anytown, USA. --------------------------
That the terms and conditions of the brokerage contract between the undersigned and the Owner
regarding the aforementioned property are and have been at all times: -----------------------------------
a) That no commission shall be deemed accrued by the undersigned until. ------------------------------
i) the Owner and the Buyer have entered into a contract of sale under the terms and conditions
acceptable to the former in their sole discretion; -----------------------------------------------------------------
ii) the sales contract has been negotiated and completed only through the efforts of the broker;
and. --------------------------------------------------------------------------------------------------------------------------
iii)The deed of transfer of the property title is delivered in accordance with the terms, agreements
and conditions of said sales contract and the entire purchase price is paid. -----------------------------
b) That in the event that the Owner does not have a good property title to said premises to be able
to transfer them in accordance with the sales contract, no commission shall be deemed to have
been earned by the undersigned. ------------------------------------------------------------------------------------
c) If, after the Owner and the Buyer have entered into the sales contract, the title is not closed,
either due to fault or breach of either party or for any other reason, except for the intentional breach
by the Owner in the fulfillment of said sales contract, or due to the breach by the Buyer, in which
case the Owner shall not be obliged to resort to any legal remedy for the fulfillment of the
obligations of the former, no commission shall be considered accrued by the undersigned. ---------
d) That this agreement may be terminated by the owner at any time by oral or written notice to the
undersigned; that the present engagement and listing of the premises with the undersigned shall
in no event be deemed an exclusive listing thereof with the undersigned, and that the owner may
engage and retain additional brokers to sell the premises; that the owner may withdraw the sale
of the premises at any time, by oral or written notice, without liability of any kind on the part of the
owner to the undersigned, and that the purchase price at which the premises were listed with the
undersigned may be changed at any time by the owner without liability of any kind to the
undersigned, and that the owner shall in no event be liable to the undersigned for any costs, fees,
or expenses incurred in connection with the sale of the premises. ------------------------------------------
e) The commission payable to the undersigned, if accrued under the provisions of this contract,
will be credited upon delivery of the deed and payment of the purchase price, and that commission
will be the sum of 3% of the final purchase price. ---------------------------------------------------------------
This agreement may not be varied, modified, altered, changed, or amended except by a written
agreement signed by both the Owner and the broker. ---------------------------------------------------------
IN WITNESS WHEREOF, the undersigned has caused this instrument to be duly executed on
