ﺃﻥﻳﻜﻮﻥ ﻟﻠﺠﻤﻌﻴﺔ ﺍﻟﺨﻴﺮﻳﺔ ﻋﻀﻮﻳﺔ .ﻳﻤﻜﻦ ﻟﻸﺷﺨﺎﺹ ﺍﻟﺬﻳﻦ ﻳﺪﻋﻤﻮﻥ ﻋﻤﻞ ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﺨﻴﺮﻳﺔ ﻭﻳﺒﻠﻐﻮﻥ ﻣﻦ ﺍﻟﻌﻤﺮ 18ﻋﺎﻣﺎً ﺃﻭ ﺃﻛﺜﺮ
ﺍﻟﺘﻘﺪﻡﺑﻄﻠﺐ ﺇﻟﻰ ﺍﻷﻣﻨﺎء ﻟﻴﺼﺒﺤﻮﺍ ﺃﻋﻀﺎء .ﺑﻤﺠﺮﺩ ﻗﺒﻮﻟﻬﺎ ﻣﻦ ﻗﺒﻞ ﺍﻷﻣﻨﺎء ،ﺗﺴﺘﻤﺮ ﺍﻟﻌﻀﻮﻳﺔ ﻟﻤﺪﺓ 3ﺳﻨﻮﺍﺕ ﻭﻳﻤﻜﻦ ﺗﺠﺪﻳﺪﻫﺎ.
ﺳﻴﺤﺘﻔﻆﺍﻷﻣﻨﺎء ﺑﻘﺎﺉﻤﺔ ﻋﻀﻮﻳﺔ ﻣﺤﺪﺛﺔ.
ﻳﺠﻮﺯﻟﻸﻣﻨﺎء ﺇﺯﺍﻟﺔ ﻋﻀﻮﻳﺔ ﺃﻱ ﺷﺨﺺ ﺇﺫﺍ ﺍﻋﺘﻘﺪﻭﺍ ﺃﻥ ﺫﻟﻚ ﻓﻲ ﻣﺼﻠﺤﺔ ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﺨﻴﺮﻳﺔ .ﻳﺤﻖ ﻟﻠﻌﻀﻮ ﺃﻥ ﻳﺴﺘﻤﻊ ﺇﻟﻴﻪ ﺍﻷﻣﻨﺎء
ﻗﺒﻞﺍﺗﺨﺎﺫ ﺍﻟﻘﺮﺍﺭ ﻭﻳﻤﻜﻦ ﺃﻥ ﻳﺮﺍﻓﻘﻪ ﺻﺪﻳﻖ.
ﻳﺠﺐﻋﻘﺪ ﺍﻟﺠﻤﻌﻴﺔ ﺍﻟﻌﺎﻣﺔ ﺍﻟﺴﻨﻮﻳﺔ ﻛﻞ ﻋﺎﻡ ،ﻣﻊ ﺗﻘﺪﻳﻢ ﺇﺷﻌﺎﺭ ﻗﺒﻞ 14ﻳﻮﻣﺎً ﻟﺠﻤﻴﻊ ﺍﻷﻋﻀﺎء ﻹﺑﻼﻏﻬﻢ ﺑﻤﺎ ﻫﻮ ﻣﺪﺭﺝ ﻓﻲ ﺟﺪﻭﻝ ﺍﻷﻋﻤﺎﻝ. )(1
ﻳﺠﺐﺣﻔﻆ ﻣﺤﻀﺮ ﺍﺟﺘﻤﺎﻉ ﺍﻟﺠﻤﻌﻴﺔ ﺍﻟﻌﻤﻮﻣﻴﺔ.
ﻳﺠﺐﺃﻥ ﻳﻜﻮﻥ ﻫﻨﺎﻙ ﻋﻠﻰ ﺍﻷﻗﻞ ...........ﺃﻋﻀﺎء ﺣﺎﺿﺮﻳﻦ ﻓﻲ ﺍﺟﺘﻤﺎﻉ ﺍﻟﺠﻤﻌﻴﺔ ﺍﻟﻌﻤﻮﻣﻴﺔ. )(2

ﻭﻳﻘﺪﻡﺍﻷﻣﻨﺎء ﺍﻟﺘﻘﺮﻳﺮ ﺍﻟﺴﻨﻮﻱ ﻭﺍﻟﺤﺴﺎﺑﺎﺕ. )(4
ﻳﺠﺐﻋﻠﻰ ﺍﻷﻋﻀﺎء ﺍﻧﺘﺨﺎﺏ ﻣﺎ ﺑﻴﻦ 3ﺇﻟﻰ 10ﺃﻣﻨﺎء ﻟﻠﻌﻤﻞ ﻓﻲ ﺍﻟﻌﺎﻡ ﺍﻟﻤﻘﺒﻞ .ﺳﻮﻑ ﻳﺘﻘﺎﻋﺪﻭﻥ ﻓﻲ ﺍﻻﺟﺘﻤﺎﻉ ﺍﻟﺴﻨﻮﻱ ﺍﻟﻌﺎﻡ ﺍﻟﻘﺎﺩﻡ ﻭﻟﻜﻦ )(6
ﻳﻤﻜﻨﻬﻢﺍﻟﺘﺮﺷﺢ ﻹﻋﺎﺩﺓ ﺍﻧﺘﺨﺎﺑﻬﻢ.
7ﺍﺟﺘﻤﺎﻋﺎﺕ ﻟﻸﻣﻨﺎء
ﻳﺠﺐﻋﻠﻰ ﺍﻷﻣﻨﺎء ﻋﻘﺪ 3ﺍﺟﺘﻤﺎﻋﺎﺕ ﻋﻠﻰ ﺍﻷﻗﻞ ﻛﻞ ﻋﺎﻡ .ﻭﻓﻲ ﺃﻭﻝ ﺍﺟﺘﻤﺎﻉ ﻟﻬﻢ ﺑﻌﺪ ﺍﺟﺘﻤﺎﻉ ﺍﻟﺠﻤﻌﻴﺔ ﺍﻟﻌﺎﻣﺔ ﺍﻟﻌﺎﺩﻳﺔ ،ﺳﻴﻨﺘﺨﺒﻮﻥ )(1
ﺭﺉﻴﺴﺎًﻭﺃﻣﻴﻨﺎً ﻟﻠﺼﻨﺪﻭﻕ ﻭﺃﻣﻴﻨﺎً ﻟﻠﺴﺮ .ﻳﺠﻮﺯ ﻟﻸﻣﻨﺎء ﺍﻟﺘﺼﺮﻑ ﺑﻘﺮﺍﺭ ﺍﻷﻏﻠﺒﻴﺔ.
ﻳﺠﺐﺃﻥ ﻳﻜﻮﻥ 3ﺃﻣﻨﺎء ﻋﻠﻰ ﺍﻷﻗﻞ ﺣﺎﺿﺮﻳﻦ ﻓﻲ ﺍﻻﺟﺘﻤﺎﻉ ﺣﺘﻰ ﻳﺘﻤﻜﻨﻮﺍ ﻣﻦ ﺍﺗﺨﺎﺫ ﺍﻟﻘﺮﺍﺭﺍﺕ .ﻳﺠﺐ ﺗﺪﻭﻳﻦ ﻣﺤﺎﺿﺮ ﻟﻜﻞ )(2
ﺍﺟﺘﻤﺎﻉ.
ﺇﺫﺍﻛﺎﻥ ﻟﺪﻯ ﺍﻷﻣﻨﺎء ﺗﻀﺎﺭﺏ ﻓﻲ ﺍﻟﻤﺼﺎﻟﺢ ،ﻓﻴﺠﺐ ﻋﻠﻴﻬﻢ ﺇﻋﻼﻥ ﺫﻟﻚ ﻭﻣﻐﺎﺩﺭﺓ ﺍﻻﺟﺘﻤﺎﻉ ﺃﺛﻨﺎء ﻣﻨﺎﻗﺸﺔ ﻫﺬﺍ ﺍﻷﻣﺮ ﺃﻭ ﺍﺗﺨﺎﺫ )(3
ﻗﺮﺍﺭﺑﺸﺄﻧﻪ.
ﺧﻼﻝﺍﻟﻌﺎﻡ ،ﻳﺠﻮﺯ ﻟﻸﻣﻨﺎء ﺗﻌﻴﻴﻦ ﻣﺎ ﻳﺼﻞ ﺇﻟﻰ ﺃﻣﻴﻨﻴﻦ ﺇﺿﺎﻓﻴﻴﻦ .ﻭﺳﻮﻑ ﻳﺘﻨﺤﻮﻥ ﻓﻲ ﺍﻟﺠﻤﻌﻴﺔ ﺍﻟﻌﺎﻣﺔ ﺍﻟﻘﺎﺩﻣﺔ. )(4
ﻳﺠﻮﺯﻟﻸﻣﻨﺎء ﻭﺿﻊ ﻗﻮﺍﻋﺪ ﺇﺿﺎﻓﻴﺔ ﻣﻌﻘﻮﻟﺔ ﻟﻠﻤﺴﺎﻋﺪﺓ ﻓﻲ ﺇﺩﺍﺭﺓ ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﺨﻴﺮﻳﺔ .ﻭﻳﺠﺐ ﺃﻻ ﺗﺘﻌﺎﺭﺽ ﻫﺬﻩ ﺍﻟﻘﻮﺍﻋﺪ ﻣﻊ ﻫﺬﺍ )(5
ﺍﻟﺪﺳﺘﻮﺭﺃﻭ ﺍﻟﻘﺎﻧﻮﻥ.
ﺍﻟﻤﺎﻝﻭﺍﻟﻤﻤﺘﻠﻜﺎﺕ 8
ﻳﺠﺐﻋﻠﻰ ﺍﻷﻣﻨﺎء ﺍﻻﺣﺘﻔﺎﻅ ﺑﺎﻟﺤﺴﺎﺑﺎﺕ .ﻭﻳﻤﻜﻦ ﻷﻱ ﺷﺨﺺ ﺍﻻﻃﻼﻉ ﻋﻠﻰ ﺃﺣﺪﺙ ﺍﻟﺤﺴﺎﺑﺎﺕ ﺍﻟﺴﻨﻮﻳﺔ ﻋﻨﺪ ﺍﻟﻄﻠﺐ. )(2
ﻻﻳﻤﻜﻦ ﻟﻸﻣﻨﺎء ﺗﻠﻘﻲ ﺃﻱ ﺃﻣﻮﺍﻝ ﺃﻭ ﻣﻤﺘﻠﻜﺎﺕ ﻣﻦ ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﺨﻴﺮﻳﺔ ،ﺑﺎﺳﺘﺜﻨﺎء ﺍﺳﺘﺮﺩﺍﺩ ﺍﻟﻨﻔﻘﺎﺕ ﺍﻟﻤﻌﻘﻮﻟﺔ ﻣﻦ ﺍﻟﺠﻴﺐ. )(3
ﻳﺠﺐﺍﻻﺣﺘﻔﺎﻅ ﺑﺎﻟﻤﺎﻝ ﻓﻲ ﺍﻟﺤﺴﺎﺏ ﺍﻟﺒﻨﻜﻲ ﻟﻠﻤﺆﺳﺴﺔ ﺍﻟﺨﻴﺮﻳﺔ .ﻳﺠﺐ ﺃﻥ ﻳﺘﻢ ﺗﻮﻗﻴﻊ ﺟﻤﻴﻊ ﺍﻟﺸﻴﻜﺎﺕ ﻣﻦ ﻗﺒﻞ ﺍﺛﻨﻴﻦ ﻣﻦ ﺍﻷﻣﻨﺎء. )(4
ﺍﻻﺟﺘﻤﺎﻋﺎﺕﺍﻟﻌﺎﻣﺔ 9
ﺇﺫﺍﺭﺃﻯ ﺍﻷﻣﻨﺎء ﺃﻧﻪ ﻣﻦ ﺍﻟﻀﺮﻭﺭﻱ ﺗﻐﻴﻴﺮ ﺍﻟﺪﺳﺘﻮﺭ ،ﺃﻭ ﺇﻧﻬﺎء ﺍﻟﻤﺆﺳﺴﺔ ﺍﻟﺨﻴﺮﻳﺔ ،ﻓﻴﺠﺐ ﻋﻠﻴﻬﻢ ﺍﻟﺪﻋﻮﺓ ﺇﻟﻰ ﺍﺟﺘﻤﺎﻉ ﻋﺎﻡ ﺣﺘﻰ ﻳﺘﻤﻜﻦ
ﺍﻷﻋﻀﺎءﻣﻦ ﺍﺗﺨﺎﺫ ﺍﻟﻘﺮﺍﺭ .ﻳﺠﺐ ﻋﻠﻰ ﺍﻷﻣﻨﺎء ﺃﻳﻀﺎً ﺍﻟﺪﻋﻮﺓ ﺇﻟﻰ ﺍﺟﺘﻤﺎﻉ ﻋﺎﻡ ﺇﺫﺍ ﺗﻠﻘﻮﺍ ﻃﻠﺒﺎً ﻣﻜﺘﻮﺑﺎً ﻣﻦ ﺃﻏﻠﺒﻴﺔ ﺍﻷﻋﻀﺎء .ﻳﺠﺐ ﺇﻋﻄﺎء
ﺟﻤﻴﻊﺍﻷﻋﻀﺎء ﺇﺷﻌﺎﺭﺍً ﻣﺪﺗﻪ 14ﻳﻮﻣﺎً ﻭﺇﺧﺒﺎﺭﻫﻢ ﺑﺴﺒﺐ ﺍﻻﺟﺘﻤﺎﻉ .ﺟﻤﻴﻊ ﺍﻟﻘﺮﺍﺭﺍﺕ ﺗﺘﻄﻠﺐ ﺃﻏﻠﺒﻴﺔ ﺍﻟﺜﻠﺜﻴﻦ .ﻳﺠﺐ ﺍﻻﺣﺘﻔﺎﻅ ﺑﺎﻟﺪﻗﺎﺉﻖ.
ﺭﺍﺳﻠﻨﺎ-ﻳﺠﺐ ﺗﺴﻠﻴﻢ ﺃﻱ ﺃﻣﻮﺍﻝ ﺃﻭ ﻣﻤﺘﻠﻜﺎﺕ ﻣﺘﺒﻘﻴﺔ ﺑﻌﺪ ﺳﺪﺍﺩ ﺍﻟﺪﻳﻮﻥ ﺇﻟﻰ ﻣﺆﺳﺴﺔ ﺧﻴﺮﻳﺔ ﺫﺍﺕ ﺃﻏﺮﺍﺽ ﻣﻤﺎﺛﻠﺔ ﻟﻬﺬﻩ ﺍﻟﻐﺎﻳﺔ. )(1
