NON-COMPETE Agreement

THIS AGREEMENT (the "Agreement”) is entered into on 06/10/2021 by and between ZoftSolutions Pvt
Ltd located at Thejus Karthika Building Opp. CSEZ, Kochi, Kerala (the” Company”), and Vishnu MC
with the address Aysha Mahal, First floor, The Willow, Hamsa Kunj Lane, SRM road, Ernakulam North-
682018 Kerala – 673009 (the “Employee”).

I. The term of this agreement will be from 06/10/2021 till the last working date of employment with
the company.

II. At all times while this agreement is in force and after its expiration or termination, the employee
agrees to refrain from disclosing [company]’s customer lists, trade secrets, or other confidential
material. The employee agrees to take reasonable security measures to prevent accidental
disclosure and industrial espionage.

III. The confidential material includes any data or information that is proprietary to the company and
not generally known to the public, whether in tangible or intangible form, whenever and however
disclosed, including, but not limited to: (i) any marketing strategies, plans, financial information,
or projections, operations, sales estimates, business plans and performance results relating to the
past, present or future business activities of such party, its affiliates, subsidiaries and affiliated
companies; (ii) plans for products or services, and customer or supplier lists; (iii) any scientific or
technical information, invention, design, process, procedure, formula, improvement, technology or
method; (iv) any concepts, reports, data, know-how, works-in-progress, designs, development
stools, specifications, computer software, source code, object code, flow charts, databases,
inventions, information and trade secrets; and (v) any other information that should reasonably be
recognized as confidential information of the company. Confidential Information need not be
novel, unique, patentable, copyrightable or constitute a trade secret in order to be designated
Confidential Information. The employee acknowledges that the Confidential Information is
proprietary to the company, has been developed and obtained through great efforts by the
Disclosing Party and that Disclosing Party regards all of its Confidential Information as trade
secrets.

IV. During the term of this agreement the employee will not give any kind of consultation or ideas to
the company’s competitors.

V. During the term of this agreement the employee can give consultation or work for the company’s
customer/clients only after given permission and guidance to do so.

VI. At all times while this agreement is in force the employee along with maintaining trade and
company secrets will not engage in employing the company resources, including themselves, in
any of the company’s competitor or a customer company.
VII. After the expiration or termination of the agreement, the employee shall for a period of one year
refrain from either directly or indirectly soliciting or attempt to solicit the business of any client
or customer of the company for his own benefit or that of any third person or organization and
shall refrain from either directly or indirectly attempting to obtain the withdrawal from the
employment by the company of any other employee of the company having regard to the same
geographic and temporal restrictions. The employee shall not directly or indirectly divulge any
financial information relating to the company or any of its affiliates or clients to any person
whatsoever.

VIII. After the expiration or termination of the agreement, the employee shall for a period of one year
not engage in employing the company resources, including themselves, in any of the company’s
customer company.

IX. The employee agrees to pay liquidated damages in the amount of Rs.[amount] for any violation of
the covenants of these terms.
