BOARDING AGREEMENT
This Boarding Agreement provides the Boarder with a license to occupy and use certain
areas of the home located at _________________________________
7 Applewood Lane (the “Property”).
The Property includes an arrangement to share a kitchen and/or bathroom with the
owner of the Property and/or the owner’s spouse, and/or their respective child(ren)
and/or parent(s). Specifically, the Parties agree that this agreement would fall under the
exemptions from Section 5(i) of the Residential Tenancies Act, 2006, S.O. 2006, c.17
and any successor legislations in Ontario (the “RTA”).
Term:
(a) Term
12 month(s) (the “Term”), beginning on _____________
This is a license for a term of ___ March 4, 2023
(the “Start Date”) and ending on ______________ (the “End Date”).
March 3, 2024
The Term will automatically renew for successive terms of one month each (the “Month-
to-Month Term”), on the same terms and conditions set forth in this Boarding
Agreement unless,
(i) the Boarder has moved out of the Property by 12:00 p.m. on the End Date;
and
(ii) this Boarding Agreement has been terminated in accordance with the
terms contained herein.
The Boarder shall move out and vacate the Property by 12:00 p.m. on the End Date. The
Boarder shall remove all of its personal property from the Property and leave the
Bedroom (as defined below) in a clean and tidy condition.

The Boarder shall pay to the Homeowner, as a license fee for use of the Property, the
amount of $______
1300 per month (the “Boarding Fee”). The Boarding Fee shall be payable
on the first day of each month of the Term or any Month-to-Month Term.
The Boarding Fee for any partial calendar month during the Term shall be prorated based
on a 365-day calendar year.
The Boarder shall pay to the Homeowner, as security for the performance of its
obligations contained in this Boarding Agreement, the amount of $_______,
1300 equal to one
month’s Boarding Fee (the “Security Deposit”), which will be held by the Homeowner
without interest.
The Homeowner may apply the Security Deposit to cure: (a) any defaults under this
Boarding Agreement during the Term, such as, damage to the Bedroom and/or Property;
or (b) failure to pay the Boarding Fee. If the Security Deposit is applied to cure any such
default, then the Boarder shall restore the Security Deposit to its original amount, within
three (3) days of written notice from the Homeowner to that effect.
If there are no such defaults, then the Security Deposit will be returned to the Boarder by
the Homeowner (without interest or deduction) on the last day of the Term provided all
keys have been returned to the Homeowner.
Upon signing this Boarding Agreement, the Boarder shall provide the first month’s
Boarding Fee and Security Deposit, if applicable, to the Homeowner, failing which the
Homeowner may terminate this Boarding Agreement on written notice to the Boarder at
any time until such first month’s Boarding Fee and Security Deposit is paid.
The Boarder agrees to pay the Homeowner the Boarding Fee by email transfer in the full
amount to _____________________________________________

day of every month. Proof of payment transaction is sufficient evidence of such Boarding
Fee payment. If any change to the payment transaction is made after payment, the
Boarder will immediately inform the Homeowner.

Bedroom
The Homeowner shall provide one bedroom(s) (the “Bedroom”) for the exclusive use of
the Boarder.
The Bedroom includes the following specifications, if any (describe the location of any
closet(s) or furnishings):

Shared Spaces
The Homeowner shall provide the following shared spaces and storage spaces
(collectively, the “Shared Spaces”) for the Boarder’s use. The Homeowner must
ensure that the Boarder shares a kitchen and/or bathroom with the Homeowner
and/or the Homeowner’s spouse, and/or their respective child(ren) and/or parent(s)
at all times, or this Boarding Agreement may be subject to the Residential Tenancies
Act (Ontario).

The Homeowner shall provide the Boarder with the following items (indicate yes or no)

House Rules
The Homeowner has the right to establish rules (“House Rules”) for the purpose of
creating a better living environment with the Boarder. House Rules may not be
unreasonable and must not contradict any applicable laws or regulations.

If yes, the Boarder agrees to comply with the condominium declaration, by-laws and
rules, as provided by the Homeowner.
The Homeowner and Boarder shall inspect and record the condition of the Property,
including the Bedroom and the Shared Spaces together on the following occasions:

(b) Upon the Homeowner providing a notice to inspect with a least 48 hours notice or
with the consent of the Boarder during the Term.
(c) Upon the Boarder bringing a pet into the Property for the first time; and
Alteration
The Boarder shall not make any alterations or improvements to the Property (including,
without limitation, the Bedroom, Shared Spaces, yard or grounds), without the
Homeowner’s prior written consent, which may be unreasonably withheld.
The Homeowner shall make all necessary repairs and take all necessary actions to keep
the Bedroom and Shared Spaces fit to live in and to meet all applicable building code
requirements.
Notwithstanding the foregoing, the Boarder acknowledges and accepts the condition of
the Bedroom and Shared Spaces as of the date of this Boarding Agreement.
The Boarder is responsible for maintaining the ordinary cleanliness of the Bedroom. The
Boarder is also responsible for repairing damage to the Bedroom, Shared Spaces or other
parts of the Property caused by the willful or negligent conduct of the Boarder and
persons permitted on the Property by the Boarder. The Boarder shall not damage the
Bedroom, Shared Spaces or other parts of the Property and shall not interfere with the
Homeowner’s reasonable expectation of privacy and freedom from unreasonable
disturbance.
The Boarder shall pay for any undue damage to the Bedroom, Shared Spaces or other
parts of the Property caused by the negligence or wilful misconduct of the Boarder and its
guests.

Insurance
(a) The Homeowner shall notify its insurer about the boarding arrangements contemplated
by this Boarding Agreement and arrange for any additional insurance required by its
insurer at its sole cost and expense.
(b) The Boarder is required to obtain insurance that covers the Boarder’s belongings and
contents such as, but not limited to, furniture, electronics or clothing against common
risks including but not limited to theft, fire or loss, and to provide the Homeowner with a
certificate of insurance evidencing the same prior to the Start Date.
Termination
(a) by the Homeowner with at least 30 days written notice prior to the end of the Term;
(b) by the Boarder with at least 30 days written notice prior to the end of the Term.
At the expiration of the Term, the Boarder shall peacefully surrender and yield up the
Property to the Homeowner in as good a state of condition and repair as the Boarder is
required to maintain the Property throughout the Term, and the Boarder shall surrender
all keys for the Property to the Homeowner at the place then fixed by the Homeowner.
Event of Default
(a) by the Homeowner if the Boarder’s actions pose an immediate threat to the health
or safety of the Homeowner or any other person residing in the Property, or to the
physical condition or structure of the Property, and such termination shall be effective
immediately following the delivery of written notice from the Homeowner to the Boarder
setting out a description of such actions;
(b) The Boarding Fee is not paid by the Boarder on time more than twice in any 12-
month period;
(e) Boarder fails to provide the Security Deposit or fails to restore the Security
Deposit to its original amount;

(f) Boarder fails to adhere to the House Rules as stipulated herein Section 8;
(g) Notwithstanding the above, Boarder fails to observe or perform to any other
terms, covenants or conditions of this Boarding Agreement and if such failure observe or
perform is not cured within 10 days after written notice by the Homeowner; and
(g) Homeowner fails to observe or perform the terms, covenants or conditions of this
Boarding Agreement and if such failure observe or perform has not taken any steps to
cure within 10 days after written notice by the Boarder.
If an Event of Default has occurred, the non-defaulting Party shall have the right to
immediately terminate this Boarding Agreement, and all obligations pursuant to this
Boarding Agreement shall cease. If the Boarder is the defaulting party, the Boarder shall
peacefully surrender and yield up the Property to the Homeowner in as good a state of
condition and repair as the Boarder is required to maintain the Property throughout the
Term, and the Boarder shall surrender all keys for the Property to the Homeowner at the
place then fixed by the Homeowner.
Dispute Resolution
The Boarder agrees to notify the Homeowner, immediately in writing, of any complaints
with the Property that are, or should be, the responsibility of the Homeowner to remedy.
In the event of any conflict or disputes between the Homeowner and the Boarder which
cannot be resolved independently, the parties may ask Sparrow Living Inc. (“Sparrow”)
to facilitate a neutral resolution, mediation, or arbitration process conducted by Sparrow
or a neutral third-party mediator or arbitrator selected by Sparrow all as described in
Sparrow’s Terms of Service at www.sparrowshare.com/terms-of-service. Use of dispute
resolution services are optional. The parties acknowledge that Sparrow is not a party to
this Boarding Agreement and is not liable for any fees that arise as a result of the neutral
resolution, mediation or arbitration process, nor is Sparrow under an obligation to
become involved in or impose a resolution in any dispute between the parties.
Homeowner Covenants
(a) The Homeowner covenants that as of the date of this Boarding Agreement, the
Bedroom and Shared Spaces:
(b) The Homeowner covenants not to interfere with the Boarder’s use of the Bedroom
and Shared Spaces and not to interfere with the Boarder’s right to reasonable privacy
when occupying the Bedroom and Shared Spaces.

The Boarder may not assign or sublicense its rights under this Boarding Agreement
without the prior written consent of the Homeowner, which consent may be unreasonably
withheld.
Access by Homeowner
(a) The Homeowner may enter the Bedroom at any time without written notice in cases
of emergency or if the Boarder consents to same.
(b) The Homeowner may also enter the Bedroom or Shared Spaces without written notice
to show the unit to prospective boarders and/or persons interested in purchasing the
Property after agreement or notice of termination, provided such entry is between the
hours of 8 a.m. and 8 p.m. and, before entering, the Homeowner makes a reasonable
effort to inform the Boarder of the intention to enter.
Indemnity
The Homeowner and Boarder were matched using Sparrow’s services on its website or
application. The Homeowner and Boarder acknowledge and agree that they have freely
decided, at their own respective risk, to enter into the transaction contemplated by this
Boarding Agreement and to use this template Boarding Agreement (provided by
Sparrow). The Homeowner and Boarder agree to indemnify and hold Sparrow and its
directors, officers, employees, affiliates and consultants (each a “Releasee”) harmless
from and against all losses, claims, expenses, liabilities, costs, accounts, charges, taxes,
actions, demands and damages of any nature whatsoever (collectively “Claims”) arising
from the boarding arrangements between them or arising from this Boarding Agreement
and the matters contemplated by it. The Homeowner and Boarder shall also indemnify
and hold each Releasee harmless from any Claims arising from disputes between the
Homeowner and Boarder concerning any payments made or not made under this
Boarding Agreement through Sparrow’s payment services. The parties acknowledge this
clause will be considered to be a covenant granted by the Homeowner and Boarder to
Sparrow and the other Releasees and may be enforced and relied upon by Sparrow and
any such Releasee.
Limitation of Liability
Neither Sparrow, its directors, officers, employees, affiliates and consultants nor any
other party involved in creating, producing, or delivering Sparrow’s website, app or
services provided through same, will be liable for any incidental, special, exemplary or
consequential damages, including lost profits, loss of data or loss of goodwill, or for any
damages for personal or bodily injury or emotional distress arising out of or in connection
with (i) Sparrow’s Terms and Conditions at www.sparrowshare.com/terms-of-service, (ii)
the boarding arrangements between the Homeowner and the Boarder or arising from this
Boarding Agreement and the matters contemplated by it, (iii) the use of or inability to use

Sparrow’s website, app, or services provided through same, (iv) any communications,
interactions or meetings the parties may have with a person they interact with or meet
with through, or as a result of, such party’s use of the website, app or services provided
through same, whether based on warranty, contract, tort (including negligence), product
liability or any other legal theory, and whether or not Sparrow has been informed of the
possibility of such damage.

(b) The parties acknowledge and agree that the Homeowner or their spouse, or their
respective child(ren) or parent(s) will remain in possession of the Property and the
Boarder has only a license to occupy the Bedroom and Shared Spaces and such license is
subject to the possession rights of such persons.
(c) This Boarding Agreement may be executed in several counterparts each of which, once
executed, shall be deemed to be an original and such counterpart together with the other
counterparts shall constitute one and the same instrument. The parties hereto consent to
the use of electronic signatures and agree that this Boarding Agreement and all
agreements and documents required or desirable to give effect to this Boarding
Agreement may be executed either in original or by electronic means, and may be

transmitted by PDF and the parties adopt any such electronic execution or signatures
received by PDF as original signatures of the parties.
