Co-working benefits

i) Access to the centrally air-conditioned Catalyst building and with 24/7 electricity and 24/7 high speed internet

The member shall be entitled to access the well-ventilated building with cafeteria, pantry space, electricity and Wi-Fi 24x7 irrespective of weekly
offs & holidays. Please refer to Important SLAs & Variable Services with regard to running the Air Conditioner in the building.

Important Note: Children below 7 years are not allowed access inside the building from Monday – Friday.

ii) Meeting rooms

The Member shall be entitled to use Meeting rooms on chargeable basis over and above the allowed number of monthly credits as follows:

Cabin– 40 hours; Fixed seating – 6 hours per member; Flexible seating – 5 hours per member.

iii) Event space & board room

Event space shall be strictly for conducting only ecosystem related events. For further details, the Member may contact events In-charge or
facilities team on pricing and other related issues.

The Board room on the 3rd floor shall be booked upon request by Members and shall be confirmed based on the availability. Charges apply (please
refer to Annexure 2)

iv) Printer facility

Each Member is entitled for monthly free credits (Black & White) up to 40 copies for fixed seating, up to 20 copies for flexible seating and up to
500 copies for cabin space.

v) Parking facility

Available on chargeable basis

vi) Tea/Coffee

Available Extra as add on requests on separate pricing

1. Fixed seating – Available on extra pricing @Rs. 9,500/- +18% GST . The member shall be allotted space to carry out his office routine
comprising of a comfortable workstation – a table & a chair with required electrical plug ins. Member shall also get free storage with lock
facility.

2. Flexible seating – Any flexible (Over & above 1 flex seat included in the membership fee) shall attract extract cost of Rs. 7,500/- + 18% GST.

3. Cabin space – Available on extra pricing depending upon the size of the cabin. The allotment of cabin space is purely on availability basis.

4. Virtual membership: Access for 5 days in a month Rs.5,500/- +taxes

5. Part-time Plan – Eligibility per member – max 5. Similar features as flexible seating. This cannot be issued as a standalone facility but along
with either cabin, fixed, or flexible seating 5 No’s per start-up.

6. Internship – To encourage and enable students to become active learners, who can apply their knowledge to help Members identify
problems that impact community surroundings and to provide solutions which will in turn become an employment opportunity.

7. Workspace Details.

In addition to the default membership as above, any additional or deletion of add on requests will be managed through Nexudus a tool which will
help manage your membership

The Member shall be entitled to employ Interns* on 1-month & 3-month basis for a maximum of two (2) interns for not more
than three (3) months.

*To qualify as an Intern, he / she should be in education of any University with proper ID card (or) recent (not more six months)
pass-out of any University. International interns must have valid I20 form.

Important information

1. Please note that T-Hub is not obligated to remind the Members


through telephone calls and if the invoice is remained unpaid
without any response to our email reminders, the access will be
deactivated without intimation.

2. Reactivation will attract a penalty of Rs.200/- (Rupees two hundred


only) and will take one (1) working day for restoration of access.

mentoring, advisory and financial support to entrepreneurs and start-ups through its network of corporates, mentors and
investors.

TERMS AND CONDITIONS of the Membership between T-Hub and the Member shall include as under:

1. Definitions

Affiliates means any entity that

1. controls either directly or indirectly; or

2. is controlled directly or indirectly or

3. is under common Control. “Control” in relation to any Party, means the power or ability to direct or cause the direction of the management or
policies of that Party, whether through ownership of voting securities or by contract provided that in all events, the direct or indirect ownership of
more than 50% of the paid-up and issued voting share capital of a Party shall be deemed to constitute control of such Party.

Authorized Signatory means an individual authorized to legally bind the Member Company.

Member means each individual person/employee/official/personnel, You authorize on your Member List as being allowed to receive the Services
(defined below).

Membership Agreement means the supplementary agreement to this TUP executed by You with Us, setting out the broad terms & conditions. It is
clarified that TUP shall not have the effect of superseding the terms of Membership Agreement and clauses/terms which are conflicting in the
two documents, those contained in the Membership Agreement shall have an overriding effect over those in the TUP.

Member Company or You means the company or entity that enters into a Membership Agreement with Us and as listed in the Membership
Agreement.

Regular Business Hours on Regular Business Days shall mean 9:00 A.M. to 9:00 P.M. from Monday to Saturday except public/ national holidays.

Value Added Services means additional paid services that may be provided to the Members at the Premises/Work Spaces and including but not
limited to Meeting rooms, Conference rooms, Event Space, Food & Beverages, Flexi Pass, Experience Pass, Business Address Registration,
Parking, Storage, LAN, Air Purifiers, TV, Accounting Services, Legal Services, Digital Out of Home advertising and any other services that We may
introduce from time to time.

Work Space means the office number(s) and/or workspace description(s) specified in the Membership Agreement as Work Space Description
(Work Space) .

Location or Premises means a building or portion of a building (including any basements, parking areas, concierge desks and common areas) in
which We offer or plan to offer offices, workstations, other workspaces, and/or other services to Our Members.

Paying Member means the primary Member contact located in the Premises and set out in the Member Contact Details of the Membership
Agreement.

Start Date means the date set forth in the Membership Agreement.

Tax means all forms of taxation and statutory, governmental and municipal charges, duties, and levies, wherever chargeable and whether
originating from the Republic of India or any other jurisdiction; and any related penalty, fine, or surcharge.

Our, We or Us means the T-Hub Foundation and its Affiliate entity(ies) if any, You are contracting with as set forth in the Membership Agreement.

2. Benefits of Membership

weekly offs & holidays. Please refer to Important SLAs & Variable Services regarding running the Air Conditioner in the building.

The meeting room Anthahprerana on the 3rd floor shall be booked upon request by Members and shall be confirmed based on the
availability. Charges apply (please refer to Annexure 2)

Printer facility

Each Member is entitled for monthly free credits (Black & White) up to 40 copies for fixed seating, up to 20 copies for flexible seating
and up to 500 copies for cabin space.

Parking facility

Available on chargeable basis

Tea/Coffee

3. Effective Date: The Effective Date of this Agreement would mean the date of actual on-boarding of the Member based on which the first invoice
is issued.

4. Price, Invoicing and Payments: T-Hub would charge the Member for the space and facilities as per the following price plan as amended from time
to time.

1. Price

As mutually agreed and duly acknowledged as per the Agreed Price Plan, as per the Annexure 1.

2. Invoicing

The Company will send or otherwise provide invoices and other billing-related documents, information and notices to the Paying Member,
unless a different Billing Contact is indicated on the LMA. Change of the Billing Contact will require notice from the Authorized Signatory in
accordance with this Agreement.

In addition to the charges mentioned, the Member shall agree to pay applicable taxes, in particular service tax, and/or other applicable levies
mandated by the Government of India/ State Government on said payments from time to time.

The Member shall be automatically invoiced monthly in advance, on the 1st day of every month based on the Membership option. This shall
exclude any variable charges, such as printer usage etc. that may have been incurred during the period aforesaid and shall be additionally
borne by the Member. (Ref Annexure 2)

All the payments under this Agreement shall be payable within five (5) days from the date of invoice have been raised.

3. Payments

All invoices must be paid through the payment gateway solution by logging in to Member’s Nexudus (a tool to manage co-working space)
account the credentials of which will be supplied at the time of on-boarding.

Invoice disputes: In case of any dispute in any charges levied under “Standard Services” or “Additional Variable Services”, the Member must
notify T-Hub in writing of such disputed amount and the reasons for it within 3 days of the date of the invoice. The Member must pay the
amount not in dispute by the due date or be subject to late fees. T-Hub and the Member shall endeavour to resolve, by mutual discussion,
the disputed portion of the charges for Services within one week of receiving a notice from the Member.

Outstanding Fees. Any outstanding fees will be charged in arrears monthly. When we receive funds from you, we will first apply funds to any
balances which are in. Once past balances are satisfied, any remaining portion of the funds will be applied to current fees due. If any
payments remain outstanding after we provide notice to you, we may, in our sole discretion, withhold Services or terminate the Membership
Agreement in accordance therewith.

No Refunds Except after expiration of Lock-in period or Termination or Suspension by Us of this Agreement, there are no refunds of any fees
or other amounts paid by you or your members in connection with the Services.

5. Termination of Agreement:

Either party reserves the right to terminate this Agreement if the other party violates any of the material terms mentioned in this agreement.
However, either party shall provide a notice of one (1) month to the other party prior to the termination.

Either Party may terminate this Agreement in the event the other Party (i) breaches any of the terms and conditions of this Agreement and (ii)
fails to cure completely such breach within five (5) working days.

T-Hub may terminate this Agreement immediately and without notice if any of the representations and warranties set forth were false or
misleading in a material respect as of the date of this Agreement or the Member fails to submit periodic reports to T-Hub with regard to its
business progress.

If the Member wishes to terminate the Agreement prior to completion of the Term of this Agreement without any reason, it should provide a
one (1) month notice to T-Hub. In such case, the security deposit paid by the Member shall be refunded by T-Hub within 7 business days
from the date of termination of the Agreement, subject to adjustment of any liabilities mentioned herein.

On the completion of the Term of this Agreement or when the Member vacates the Premises due to reasons stated above, furniture, space
and any other facility provided by T-Hub shall be surrendered to T-Hub in original condition, normal wear and tear excepted. 7 weeks prior to
the expiry of the Term, T-Hub shall call the Member for a joint inspection of the Premises and they would mutually decide about any repair
that has to be carried out (normal wear and tear excepted) by the Member before the expiry of the Term so that the Member is ready to hand
back the Premises on the expiry date and T-Hub can refund the security deposit without delays. All costs incurred for such repairs, if any,
shall be solely borne by the Member.

Termination on non-payment and expiry & effect of termination/ offboarding

Off-boarding by default in payment of advance subscription: The invoice towards advance subscription shall be raised on 1st of every month and
shall become due by 15Th of the same month. Reminders shall be sent on 10th & 12th to you and if the invoice is unpaid beyond 15Th, the access
to Premises shall be immediately deactivated to the entire team. Consequently, this Agreement shall be terminated and the security deposit paid by
the Member shall be adjusted towards unpaid subscription.

Off-boarding by expiry of validity of this agreement: The effect of this Agreement expiring is the immediate off- boarding of the entire team of the
Member and vacation of the Premises by the Member and refund of security deposit paid by the Member.

The Member shall submit a proof of change of registered office from the Premises, if address of the Premises is its registered office address as per
the Ministry of Corporate Affairs records.

The effect of termination or off-boarding as the case may be, will that the Member cannot avail the space any further and T-Hub cannot invoice the
Member from the date of termination till the date of agreement would have been normally expired.

6. Term/ Duration of Usage: This Agreement is valid till 30th September or 31st March (as the case may be) from the Effective Date. The Member
shall require vacating the Premises and cease using the Services on the expiry of validity of this Agreement unless any extension is granted in
writing.

7. An Authorized Signatory generally has the sole authority to make changes to or terminate this Agreement. A Primary Member will generally serve
as Company’s primary contact regarding matters that involve your members, the physical Workspace, or the Premises. We will be entitled to rely
on communications to or from the Authorized Signatory or Primary Member as notice to or from the applicable Member Company.

General Provisions

8. Nature of Facility: T-Hub has an absolute right to and in possession of Building which is a shared, community-driven workspace for
entrepreneurs and for start-up companies. Under this Agreement, the Member shall not be a tenant of T-Hub; but shall take an active part in the
T-Hub community.

9. Nature of Agreement: This Agreement acts as a permission for the Member to use the Premises of the Building. The whole of the Workspace
remains our property and, in our possession, and control. We are giving you the right to share with us the use of the Workspace so that we can
provide the Services to you. Notwithstanding anything in this Agreement to the contrary, you and we agree that our relationship is not that of

landlord-tenant or lessor-lessee and this Agreement in no way shall be construed as to grant you or any Member any title, easement, lien,
possession or related rights in our business, the Premises, the Workspace or anything contained in or on the Building Premises or Workspace.
This Agreement creates no tenancy interest, leasehold estate, or other real property interest.

10. Usage of Facility Premises: T-Hub thus agrees to provide the space, desks and permission to occupy certain facilities in the Building and utilize
other common user facilities like internet access, electricity, water and recreational facilities, (“Facilities”) and Services to the Member as
mentioned under

Annexure 2 of this Agreement, subject to the terms and conditions as mentioned herein.

Make the best use of events and grow your network. We do not promote multi-level-marketing approach in our Premises, kindly contact our
community manager in order to facilitate promotion of your product/ services.

The Member acknowledges that the Facilities are located in a shared workspace and that any items of the Member's personal property are
brought into and maintained in the Premises at the Member's own sole risk. T-Hub is not responsible for lost, stolen, damaged or personal
property of the Member.

Please adhere to the allotment of your original workspaces, Lunching and munching requested to be limited to dedicated lunch areas only. The
Member is not guaranteed the same desk or desk location from day to day and shall be moved at T-Hub's discretion.

Timings of Co-working - Kindly adhere to the standard operating hours of the facility, extra usage is subject to availability and will be charged
extra.

Access Card: Access card is non-transferable and should be returned to the hub manager at the end of the membership. In case of reissuance the
member has to pay access card lost fee + taxes to assign a fresh access card. It is compulsory for each co-worker to carry an access card all the
times and no tale gating is allowed.

No member is allowed to use the address as the corporate or registered office address, it is not a part of general seat offering. However, T-Hub
may provide an No Objection Certificate (NOC) at its discretion to allow its members in order to use the address as Regd. Office Address.

Please take care of belongings inside the car and it is advised to park your car at a proper designated place, We will not be responsible for any
kind of damage or loss.

Smoking Zones - Keep smoking and alcohol for after parties outside of the Premises.

11. Restrictive covenants: Under this Agreement, the Member agrees, that when participating in or using the Services, the Member shall not:

give the access card/keycode to any unauthorized third party or allow non-paying customers entrance into or use of the Premises at any
time. Access card holders acknowledge and accept responsibility for the security of the doors and spaces they access. Giving the Member’s
access card/keycode to someone else is grounds for immediate termination of this agreement and a lifetime ban from Premises for both the
Member and the person that was let into the Premises. You will also not allow people to enter behind you without them swiping their access
cards too.

use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited
messages (commercial or otherwise);

defame, abuse, harass, stalk, threaten or otherwise violate any other legal rights (such as rights of privacy and publicity) of others;

make any statements or comments of a defamatory or disparaging nature to any third party regarding T-Hub, or any of the T-Hub officers,
directors, employees, personnel, agents, policies, services or products, other than to comply with law.

publish, post, upload, distribute or disseminate any data that contains inappropriate, profane, defamatory, obscene, indecent or unlawful
topic, name, material or information on or through T-Hub Services, servers, notice boards or spaces.

upload, or otherwise make available through Services, file that contains images, photographs, software or other material protected by
intellectual property laws, including, by way of example, and not as a limitation, copyright, trademark laws (or by rights of privacy or publicity)
unless the Member shall own or control the rights thereto or have received all necessary consent to do the same.

use any material or information, including images or photographs, which are made available through the Services in any manner that infringes
any copyright, trademark, patent, trade secret, or other proprietary right of any party;

upload files through the Services that intentionally contain viruses, Trojan Horses, worms, time bombs, candlebots, corrupted files, or any
other similar software or programs that may damage the operation of another computer or property of any other co-worker.

download any file through the Services that the Member knows, or reasonably should know, cannot be legally reproduced, displayed,

performed, and or/distributed in such manner.

restrict or inhibit any other user from legitimately using and enjoying the Services.

violate any code of conduct or other guidelines which have been clearly communicated and mutually agreed that may be applicable for any
particular Service.

harvest or otherwise collect information about other Members, including email addresses, without the authorization or consent of the
disclosing party.

involve in any illegal activity or business, cheating, illegal or unlawful act/omission and restrict itself from any illegal or unlawful activity or
transaction.

violate any applicable laws or regulations in relation to utilizing the Services under this Agreement; or create false identity for the purpose of
misleading others.

12. Acknowledgement: The Member expressly agrees and acknowledges to peacefully co-exist and maintain healthy competition in the Premises
with other Members or co-occupants of T-Hub and not to act or involve in any malpractices within Premises, including but not limited to:

Perform any activity or cause or permit anything that is reasonably likely to be disruptive or dangerous to Us or any other Member Companies, or
our or their employees, guests or property, including without limitation the Workspace or the Premises;

Use the Services, the Premises or the Workspace to conduct or pursue any illegal or offensive activities or comport themselves to the community
in a similar manner;

Take, copy or use any information or intellectual property belonging to other Member Companies or their Members or guests, including without
limitation any confidential or proprietary information, personal names, likenesses, voices, business names, trademarks, service marks, logos, trade
dress, other identifiers or other intellectual property, or modified or altered versions of the same, and this provision will survive termination of
this Agreement;

Take, copy or use for any purpose Our name or any of Our other business names, trademarks, service marks, logos, trade dress, other identifiers
or other intellectual property or modified or altered versions of the same, or take, copy or use for any purpose any pictures or illustrations of any
portion of the Premises, without our prior consent, and this provision will survive termination of this Agreement;

Use the Workspace in a “retail,” “medical,” or other nature involving frequent visits by members of the public;

Sell, manufacture, or distribute any controlled substance, including alcoholic beverages, from the Workspace, or obtain a license for such sale,
manufacture, importation, or distribution using the Workspace or the address of the Premises;

Use our mail and deliveries services for fraudulent or unlawful purposes, and we shall not be liable for any such use;

Make any copies of any keys, access/key cards or other means of entry to the Workspace or the Premises or lend, share or transfer any keys or
access/key cards to any third party, unless authorized by us in advance;

Install any locks to access the Workspace or anywhere within the Premises, unless authorized by us in advance or

Bring any weapons of any kind, or any other offensive, dangerous, inflammable or explosive materials into the Workspace or the Premises.

You are responsible for ensuring your members to comply with all the rules.

Gaining unauthorized access to any information including but not limited to confidential / proprietary information or intellectual property rights,
directly or indirectly, of other Members/co-occupants and using in any manner, whatsoever in nature.

Solicitating employees of other Members / co-occupants, directly or indirectly, for its own benefits with malafide intentions and employing any
person who was an employee of other Member / co-occupants of T-Hub. In the event, the Member wants to employ such person as referred
herein, the Member shall ensure that such person receives a no-objection certificate (NOC) from his/her previous employer or Member / co-
occupant of T-Hub as the case may be. The Member shall not employ such person without him/her gaining NOC from the relevant party.

The Member further acknowledges that in the event T-Hub receives any complaint, of whatsoever in nature, from any co-occupants or third parties
with regard to any act/omission or transaction of the Member, T-Hub reserves the right to take disciplinary action, at its sole discretion, including
without any limitation to issue show cause notice which may eventually lead to off-boarding the Member from the Premises.

13. Workspace unavailable or not available immediately due to certain events:

Notwithstanding anything in the Agreement, if we delay in making the Work Space available by the Monthly Membership Fee effective date or are
unable to provide you access to the Workspace at any time during the Term of the Agreement due to Force Majeure event or any other event that

may have affected Our right to make the Work Space available for a period of more than (1) month, we will not be subject to any liability related to
such inability, provided that, at our sole discretion We will either (i) provide you with alternate work space which may be within the same
Building/Premises with reasonably comparable Capacity and charge your Membership Fee or (ii) not charge you the Membership Fee during the
period the Work Space is not available to you in case of delay in making the Work Space available before Your move-in. Upon the completion of one
(1) month period, if You decide not to shift to the alternate work space as offered in (1) above, the Agreement shall stand terminated, without any
liability of either Party of Membership Fee for the unexpired Commitment Term. Notwithstanding anything in this paragraph to the contrary, if the
delay/inability in providing the Work Space is due to Your actions or inactions or due to changes in work to the Work Space requested by You, We
will not be subject to any liability related to such delay nor will such delay affect the validity of this Agreement and we shall have no obligations to
provide you with the benefits described in subsections (i) and (ii) of this paragraph.

14. Rights reserved

We are entitled to access your Work Space, with or without Notice, in connection with our provision of the Services, for safety or emergency
purposes or for any other purposes. We reserve the right to alter your Work Space, provided that we will not do so in a manner that substantially
decreases the square footage of your assigned Work Space or related amenities.

15. Harassment

The Member Company and its Members shall be prohibited from participating any type of harassing, discriminatory, or abusive behaviour to the
Company employees & representatives, other Members or invitees, verbal or physical in our centre for any reason. Any breach of this condition is
material breach of the Agreement (not capable of remedy), and the Agreement may be terminated immediately, and services will be suspended
without further notice.

T-Hub is compliant with the Prevention of Sexual Harassment (POSH) for women at Workplace Act and all the Members are covered under this Act
without exception.

16. Fraud

We reserve the right to immediately suspend the services and/or terminate the Agreement if they determine that their facility or address is being
used in connection with possible fraudulent activity or activity may be violation of laws or government regulations.

17. Representation and Warranties:

The Member represents and warrants to use the logo and address of T-Hub for lawful purpose only and to acknowledge T-Hub’s role in its
success stories. The Member represents and warrants that all the information provided to T-Hub by it are true, accurate and updated.

Both the Parties represent and warrant to comply with all applicable laws enforceable in India. In addition to it, the Member represents to
comply with all applicable laws enforceable in its respective country.

The Parties hereby represent and warrant that they are not subject to/party to, any covenants, agreements or restrictions including without
limitation any covenants, agreement or restrictions arising out of his prior engagements or independent contractor relationships, which
would be breached or violated by them because of execution of this Agreement or by their performance of their duties hereunder.

The Parties have executed and delivered this Agreement as it’s free and voluntary act, after having determined that the provisions contained
herein are of benefit to them, and that the duties and obligations imposed on him/her under this Agreement are fair and reasonable.

18. Confidentiality:

Member participation in and/or use of the Services obligates you to:

maintain all Confidential Information in strict confidence;

not to disclose Confidential Information to any third parties;

not to use the Confidential Information in any way directly or indirectly detrimental to T-Hub or any participant or user of the Services.

Notwithstanding the provisions of this clause 8, Member may use and disclose to its affiliates, and their respective contractors, agents, or
personnel (the “Beneficiaries”) Confidential Information (including personal data): (a) for the purposes set out in this clause 8; (b) in respect of
the contact details of those of the T-Hub’s personnel who have been connected with this Agreement, for updating Member’s records and
databases in order to facilitate contact with such personnel; (c) for purposes incidental to this Agreement including quality and risk
management reviews;; (d) for storage, hosting, IT and other maintenance and support facilities (including outsourcing of the same) in relation to
information and data (including Confidential Information, including personal data) relating to this Agreement. In relation to all of the foregoing,
the T-Hub agrees to the transfer, where appropriate, of such Confidential Information.

All confidential information supplied by T-Hub remains the sole and exclusive property of T-Hub or the respective disclosing party. The
Member acknowledges and agrees that nothing in this T&C or your participation or use of the Services will be construed as granting any

rights, by license or otherwise, in or to any Confidential Information or any patent, copyright or other intellectual property or proprietary
rights of T-Hub, or any participant or user of the Services.

Any and all information of the Member, its affiliates or clients that is either disclosed to T-Hub or is acquired/ accessed by T-Hub pursuant to
relationship established through this Agreement shall be kept by T-Hub in strict confidence, using such degree of care as is appropriate to
avoid unauthorized access, use or disclosure. Further, T- Hub shall not disclose any such information to any third party without prior written
approval of the Member, except that T-Hub reserves the right to disclose any such information to satisfy any applicable law, regulation, legal
process or governmental request. T-Hub acknowledges and agrees that nothing in this under this Agreement will be construed as granting
any rights, by license or otherwise, in or to any Confidential Information or any patent, copyright or other intellectual property or proprietary
rights of the Member, its affiliates or clients.

The foregoing shall not prohibit or limit a party’s use of information, including but not limited to ideas, concepts, know how, techniques and
methodologies, which (a) is or becomes publicly available through no breach of this Agreement by the receiving party; (b) is released by the disclosing
party to any other person, firm or company without restriction; (c) is rightfully obtained by the receiving party without restriction; (d) to the extent
required by legal process and, to the extent nor prohibited by law, with prior notice to the other party; (e) is rightfully already known to or is
independently developed by the receiving party; or (f) is generally known or easily ascertainable by parties of ordinary skill in computer programming
or design or in the business of the disclosing party.

19. Disclaimer of Warranties: To the maximum extent permitted by applicable law, T-Hub provides the SLAs Services “as is”, and hereby disclaim
with respect to the services all warranties and conditions, whether express, implied or statutory, relating to : merchantability or fitness for a
particular purpose.

20. Limitation of Liability and Remedies: Pursuant to clause 6 under this Agreement, except in case of gross negligence or misconduct by T-Hub, its
employees or its agents / representatives, T-Hub shall not be liable for any damages/loss or expenditures (direct or indirect) that the Member
incur or may incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages).

21. Indemnification: “The Member shall indemnify and hold T-Hub harmless from and against any loss, damage or liability of any sort whatsoever
resulting from (i) any default in observing the terms and conditions of this Agreement and/or Lease, (ii) any wilful or negligent act on the part of
the Member, its agents, employees, or invitees, or persons permitted on the Premises by the Member, and/or (iii) breach of any covenants under
this Agreement or T-Hub policies or policies as attached under Annexures herein. The Member expressly agrees to waive, and agrees not to make
any claim against T-Hub for damages, direct, consequential or otherwise, arising out of (i) any failure to furnish any service of Premises, any error
or omission with respect thereto, any delay or interruption of same, (ii) injury to or death of persons in or about the Premises, (iii) loss or damage
to the Member’s property in or about the Premises, and (iv) claims arising by reason of the foregoing.

22. Insurance: The Member shall be responsible for its own insurance policies as relevant to cover its own equipment while using workspace. T-Hub
is not responsible for theft of or damage to any of your personal property for any other reason except when such theft or damage is caused by
acts and omissions of T-Hub.

23. Relationship of the Parties. The parties hereto shall each be independent contractors in the performance of their obligations under this
Agreement, and this Agreement shall not be deemed to create a fiduciary or agency relationship, or partnership or joint venture, for any purpose.
Neither party will in any way misrepresent our relationship.

24. Subordination. This Agreement is subject and subordinate to our lease/license with our landlord/licensor of the Premises and to any
supplemental documentation and to any other agreements to which our lease/license with such landlord/licensor is subject to or subordinate.
However, the foregoing does not imply any sublease or other similar relationship involving an interest in real property.

25. Notices. Any and all notices under this Agreement will be given via email or to the respective addresses mentioned on the Membership
Agreement, and will be effective on the first business day after being received.

26. Headings and Interpretation. The headings in this Agreement are for convenience only and are not to be used to interpret or construe any
provision of this Agreement. Any use of “including,” “for example” or “such as” in this Agreement shall be read as being followed by “without
limitation” where appropriate.

27. No Assignment. Except in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of the shares or assets
of you or your parent corporation, you may not transfer or otherwise assign any of your rights or obligations under this Agreement (including by
operation of law) without our prior consent. We may assign this Agreement without your consent.

28. Compliance with Laws. You hereby always represent and warrant that you and your Members have conducted and will conduct your operations
ethically and in accordance with all applicable laws.

29. Entire Agreement. This Agreement, including the Membership Agreement, constitutes the entire agreement between the parties relating to the
subject matter hereof and shall not be changed in any manner except by a writing executed by both parties or as otherwise permitted herein. All
prior agreements and understandings between the parties regarding the matters described herein have merged into this Agreement.

30. No exclusivity. Nothing in this Agreement shall be construed as creating any obligations of exclusivity on us. You agree and acknowledge that we
shall, at all times, be entitled to contract with and provide services similar or identical to the Services to third parties that are engaged in
businesses similar and/or identical to the business carried on by you.

31. Other conditions:

The Member agrees to use the premises only for the purpose of its business mentioned in this Agreement. The Member shall not use the
Premises for any other purpose or transfer or sub-lease the Premises to any third party. The Member agrees to carry out the business in the
Premises in ethical and legal manner.

The Member agrees not to represent themselves as an employee or any form of representative of T-Hub in any business dealings.

The Member shall obtain prior approval in writing from T-Hub for any activities not covered under or reasonably related to the scope of this
Agreement.

The Member agrees and supports T-Hub to inspect and examine the premises allotted to the Member at any reasonable hour (during a
working day) during the Term of this Agreement provided T-Hub gives a prior written notice of 7 working days to the Member and provided
further that T-Hub shall not be allowed access to any information or records which may put the Member in risk of breaching its
confidentiality obligations to third parties

The Member agrees to keep the Premises, including common space provided in the Building neat and clean, make sure no damages,
vandalism.

The Member should ensure that no abnormal noise by equipment or employees or visitors of the Member should be made and no foul
language should be used by employees or visitors of the Member which would disturb or offend others, while engaging with other co-
workers, not to use passages for calls and meetings this may disturb you and other co-workers as well and can hamper productivity. Please
communicate freely at our meeting rooms or phone booth.

The Member agrees not to bring any pets to the Premises at any point of time.

The Member agrees to obtain the required approvals, registrations or licenses from regulators in respect of operating its business from the
Premises and further ensures to comply with the applicable legal requirements from time to time. In this regard, T-Hub shall provide all
reasonable cooperation.

The Member shall ensure proper use of the Premises, including common space provided in the Building, and will not cause any damage
thereto. If any damage is caused to the Premises or any part thereof by the Member or its employees, servants, contractors, agents ., the
same will be made good by the Member at its own cost either by rectifying the damage or by paying cash compensation as may be
determined by mutual agreement of the parties.

In respect of the Premises, the Member may only post photos on social media or other public media that contain their own employees or
guests. If any person other than their own employees or guests are included in their photos or videos in respect of the Premises, the Member
must take explicit permission from those other people to use said photos/videos.

The Member shall agree to keep the Premises safe and civil. Sexual harassment, discrimination or offensive behavior of any kind, including
but not limited to any actions or inactions that are demeaning to others, shall be avoided by the Member.

The Member or his employees or Visitors shall be prohibited from making any actions or inactions that may be considered offensive in
nature, including offensive glance, critique, contact or comment based on a person’s race, sex, color, creed, religion, national/ethnic origin,
age, handicap, sexual orientation or disabled veteran.

For clarity, notwithstanding anything to the contrary the obligations of the Member as specified above or anywhere else in this Agreement
applies only to such extent that such obligations are within the sole control of the Member; they are not intended to make the Member
responsible for any obligations or responsibilities which are within the control of either T- Hub or other occupants of the Building.

The Member shall use the logo of T-Hub on its display board, promotional materials, event materials and in all other such materials
(“Materials”) that would be possibly go public in the market. The Member shall provide a copy of the Materials to T-Hub one (1) day in
advance before such Material goes to public.

The Member acknowledges that T-Hub has the right to use the name of the Member for the purpose of its promotional/marketing activities.

The Member shall not alter or redesign the structure of the existing building of the Licensed Premises, or undertake any structural changes to
the Premises except with the prior written approval of T-Hub.

The Member shall abide by all applicable laws and the terms of this Agreement including the policies under Annexures herein of this
Agreement.

32. General Conditions and Obligations of T-Hub –

T-Hub hereby represents that:

It is absolutely seized and possessed of and/or otherwise well and sufficiently entitled to the Premises and the Building and that it covenants that
it has obtained all the approvals and clearances as may be required to allow use of the Premises by the Member pursuant to this Agreement.

The Premises are free from all mortgages, encumbrances, attachments, acquisition or court proceedings or charges of any kind and also there are
no existing litigation, suits, proceedings, decrees or orders in respect of the Premises or part thereof.

To its knowledge there are no restrictions or hindrances in allowing T-Hub to provide the Premises for use of the Member for the purpose of
running its office therefrom.

T-Hub shall fully co-operate with the Member in order for it to obtain statutory and regulatory registrations, permissions and approvals that may
be required by the Member to use the Premises as per the terms and conditions of this Agreement.

T-Hub has obtained all the necessary approvals, consents, etc. under the applicable rules, laws, bye-laws, regulations, etc. and complies with all
the legal requirements in order to fulfil its obligations under this Agreement, and it shall continue to comply with all the applicable provisions in
this regard.

33. Jurisdiction: The Courts of the City of Hyderabad, India shall have exclusive jurisdiction in the event any disputes or differences arise in respect
of, out of, relating to and/ or touching this Agreement. This Agreement is interpreted and enforced in accordance with the applicable laws of
India.

34. Non-Solicitation: During the term of this Agreement and for a period of 1 (one) year after the expiry or termination of the Agreement, neither
party shall recruit or solicit any of the other Party’s employee. Provided however, that the foregoing provision will not prevent a party from
employing any such person who contacts the other party on his or her own initiative without any encouragement from that party, or in response
to any general solicitation concerning available positions

35. Costs and Notices : The Member shall also pay stamp duty in respect of this Agreement, if applicable. All formal notices must be in writing and:

Shall be deemed to have been served on the Member if delivered to the Premises or posted to the last known address of the Member and in the
latter case shall be deemed to have been served on the third working day after posting.

Shall be deemed to have been served on T-Hub if delivered to the Centre Manager of the Centre where the Member has taken premises or
posted to the address of the Centre and in latter case shall be deemed to have been served on the third working day after posting.

The Member shall be granted with No Objection to use the premises as their address for communication, upon specific requests. In the event of
vacating the premises, the Member shall invariably submit a proof to T-Hub that the address is changed from T-Hub to the address of his own
choice. The type of document that is acceptable is decided on case-to- case basis.

36. Intellectual Property: All Intellectual Property in the materials, information, assets or systems supplied to the Member by T- Hub shall remain
vested in T-Hub. Similarly, all Intellectual Property rights, title, and interest in the materials, information, assets or systems developed by the
Member shall remain solely vested in the Member.

The rights, title, and interest of any Intellectual Property developed by T-Hub with the ideas of the Member shall remain solely vested with the
Member. However, any such development by T-Hub shall be preceded with prior written consent of the Member and does not derogate from T-
Hub’s confidentiality obligations.

Upon the Member’s request, T-Hub shall promptly register, at the Member’s expense, all intellectual property licenses granted under this
Agreement with all applicable governmental authorities and provide to the Member evidence of such filings.

T-Hub shall make no registration or other public disclosure without the Member’s prior written consent.

37. Dispute Resolution: In case of any dispute or difference arising between the Parties hereto in any of the matters under this Agreement or
interpretation or implementation of any of the terms and conditions herein, the same shall be resolved through arbitration under the Arbitration
and Conciliation Act, 1996. Any such arbitration shall be conducted by a sole arbitrator appointed by T-Hub. The venue of the arbitration shall be
at Hyderabad, India.

38. Severability: In the event that any provision or portion of this T&C is determined to be invalid, illegal or unenforceable for any reason, in whole or
in part, the remaining provisions of this Agreement shall be unaffected thereby and shall remain in full force and effect to the fullest extent
permitted by applicable law.

39. Force Majeure: Neither parties shall be liable for failure to perform their respective obligations if such failure is as a result of Acts of God
(including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of
whether war is declared), medical pandemics, acts of any Governmental Authority after the date of this Agreement, strikes and other labor
difficulties, and other events or circumstances beyond reasonable control.

No party is entitled to terminate this Agreement under Termination Clause under such circumstances, except if the Premises or the facilities
provided under this Agreement become unusable due to force majeure events, in which case the Member may terminate the Agreement
without any notice and T-Hub shall reimburse the security deposit at the time of vacation of the Premises.

If a party asserts Force Majeure as an excuse for failure to perform the party's obligation, then the non-performing party must prove that the
party took reasonable steps to minimize delay or damages caused by such events, that the party substantially fulfilled all non-excused
obligations, and that the other party was notified in time of the likelihood or actual occurrence of an event described in Force Majeure
clause.

40. Amendment: No Party shall be bound by any modification or amendment of this Agreement unless such modification or amendment is set forth
in a written instrument signed by both the Parties

41. Anti-Bribery: T-Hub represents that they have established policies and procedures relating to compliance with anti- bribery/anti-corruption laws
and that it has an established code of ethics and/or code of conduct which inter alia prohibit bribery/corruption which must be mandatorily
followed by the Member.

42. Our Reserved Rights

We are entitled to access your Workspace, with or without Notice, in connection with our provision of the Services, for safety or emergency
purposes or for any other purposes. We reserve the right to alter your Workspace, provided that we will not do so in a manner that substantially
decreases the square footage of your assigned Workspace or related amenities. We may also modify or reduce the list of Services or furnishings
provided for your Workspace at any time. The Services may be provided by us, an affiliate or a third party.

ANNEXURE - 1

Agreed Price Plan

Security Deposit

For fixed desk or flexible desk: An amount equivalent to One (1) month subscription shall be paid by the Member as interest free refundable Security
Deposit.

For private office: An amount equivalent to 1 (one) month subscription shall be paid by the Member as interest free refundable Security Deposit.

The security deposit so paid shall not be adjusted towards unpaid subscription except otherwise as specifically provided in this agreement.

Policy on Access to Visitors

Overview/Policy Statement

T-Hub limits visitors to its Premises and requires the Members who sponsor any visitor (for personal or business reasons) to abide by the principles of
all policies, procedures, and guidelines issued by T-Hub as provided below and as amended from time to time with such amendments being shared in
writing with the Member in reasonable advance.

Members are responsible for strict adherence to the principles of this T-Hub policy and failure to do so may result in disciplinary action up to and
including termination of the Membership Agreement.

Rationale

This policy provides for the safety and security of all occupants and Premises facilities by maintaining safety standards and protecting corporate and
personal assets against theft and misuse. Further, it limits potential distractions and disturbances in the workplace.

Eligibility/Scope

This policy applies to all Members and their participating agencies.

Visitors include all persons who are granted access to the Premises, including, but not limited to contractors, clients, and employees' acquaintances,
friends and family Members, regardless of whether the purpose of the visit is for business or personal reasons. It is hereby clarified that the
employees of the Member operating from the Premises would not be considered as visitors or guests under these provisions.

The Provisions

For personal visitors, Members must obtain approval from Premises security each time they invite a visitor into the workplace. The Member has
responsibility for enforcing this policy and ensuring that visitors stay for only limited and non-disruptive periods of time.

In accordance with local security procedures, all non-employee visitors entering the premises must check in with security (or reception) and are
required to wear a visitor's badge and register any property brought into the building (e.g., computers, exhibits). Members who have invited
guests are responsible for escorting visitors to their destinations and for accompanying them at all times. Members are responsible for the
conduct of their visitors.

Upon observing an unescorted visitor acting inappropriately on the premises, employees must immediately notify the security personnel (or
management if security is not present on-site).

Visitors should be aware that pets are not permitted in any area within the workplace, including parking lots.

Visitors are not permitted to take photographs inside the premises of T-Hub’s Premises, unless discussed specifically with sponsoring occupant,
who in turn has approved permissions from the T-Hub team. For instance, photographs as sometimes required for documentation purpose.

Visitors should not request information that does not pertain to their visit or the work being performed.

Visitors requiring internet access will be given a guest username and password for the wireless network. At no time, will a guest be permitted to
access the company intranet with their laptop or mobile device.

Each visitor can stay in the premises for a maximum of 3 hours, post which our security team will escort them out

For any visitor that needs to stay for a duration longer than 3 hours and more than 5 visits

Additional charges will be applicable in the next month invoice

Policy on IT

1. Overview

With the mass explosion of PCs, Smart Phones and Tablets, pervasive connectivity is almost a given at any organization. Insecure wired or wireless
configuration can provide an easy open-door access for malicious threat actors. In this document, the term “Network” shall be understood to mean
“T-Hub’s Network”, unless where specified differently. The term “device” can mean physical device, virtual device, mobile device, appliance, software
on the premise/cloud/edge, or any combination of any of these. The term IT Infrastructure comprehensively includes, but is not limited to, the
Network, all devices, servers, switches, routers, Wi-Fi Hubs, Access devices, firewalls, cabling, and all IT systems, software, resources and data owned
or operated by T-Hub.

2. Purpose

The purpose of this policy is to secure and protect the information assets owned by T-Hub and the Member. T-Hub provides to the Members access
to meet its missions, goals, and initiatives. T-hub grants access to these resources as a privilege and the Member must responsibly access, use and
manage them for the intended purpose only, which is for running their stated business at the T-Hub premises. The Member must carry out their
business while taking great care to maintain the confidentiality, integrity, security and availability of all information assets belonging to T-Hub. Under
no circumstances shall the Member do anything that compromises the operations of T-Hub in any manner. Furthermore, the Member shall bring to
the immediate attention of T-Hub, any such occurrences of compromise or breach, even if they have happened inadvertently.

This policy specifies the conditions that the devices must satisfy to connect to the Network.

3. Scope

All employees, contractors, consultants, temporary and other workers at the Member, including all personnel affiliated with third parties that
maintain a device that connects to the Network on behalf of the Member must adhere to this policy. This policy applies to all wireless and wired
devices that connect to the Network directly or those which reside on site that provide connectivity to endpoint devices. The term devices include,
but are not limited to laptops, desktops, cellular phones, tablets, and AR/VR/Gaming devices. This includes any form of wireless or wired
communication device capable of receiving and transmitting packet data over the Network.

4. Policy

General Requirements

All wireless/wired devices that reside at T-Hub’s premises and connect to the Network or which provide access to devices and information
classified by T-Hub as Confidential, must:

Abide by the standards specified in this document

Be installed, supported, and maintained by an approved support team.

Use T-Hub approved authentication protocols and infrastructure.

Use SSID (Service Set Identifier) provided by T-Hub only

Use T-Hub approved encryption protocols.

Maintain a hardware address (MAC address) that can be registered and tracked.

Not interfere with wireless access deployments owned or maintained by T-Hub (or officially on behalf of T-Hub).

Not cause any interference, disruption or any loss of operational capability to the IT Services of either T- Hub or any other Member.

Not generate or use any SSID (Service Set Identifier) that was not provided by a T-Hub operated system.

1. The Member shall use the communication provided by T-Hub and shall not bring or operate any devices within T- Hub or in T-Hub’s vicinity
which can possibly cause interference with T-Hub’s communication network and infrastructure. T-Hub’s decision in these matters will be final.
The Member shall immediately disconnect, decommission and remove from T-Hub’s premises any such device that T-Hub determines is
problematic. The Member shall ensure the safety and security of any device that he/she brings to T-Hub’s premises. He/she will take all possible
steps to ensure that the devices are devoid of all types of malwares including, but not limited to, virus, spywares, bots etc. The Member is
forbidden to bring into T-Hub’s premises or operate within T-Hub’s premises any device that generates or uses an SSID (Service Set Identifier)
that was not provided by T-Hub. T-Hub reserves the right to shut down and remove such devices from T-Hub’s premises immediately.

2. Any kind of access to T-Hub’s Network/Devices that T-Hub provides to the Member is not transferable in any manner to any other party, and is
intended to be used by the Member only. Furthermore, the Member shall take every precaution to ensure that the access credentials provided to
them by T-Hub are safe and not shared/lost/compromised/stolen in any way.

3. The Member shall not engage in any activities that might compromise the security of systems and data residing on T-Hub’s network. Specifically,
the Member shall not engage in activities including, but not limited to, hacking, phishing, snooping, DDoS attacks etc.

4. T-Hub reserves the right to shutdown any application or activity being owned or carried out by the Member that, in T-Hub’s opinion, may cause
excessive load on the Network. T-Hub’s judgement on this matter will be considered final.

5. T-Hub reserves the right to shut part or whole of the network at any time to carry out IT infrastructure maintenance, repairs, upgrades and re-
configuration. To help the Member avoid disruptions in their business operations, T-Hub would normally give a day’s notice to the Member prior
to the shut-down, but in emergencies, T-Hub may give just a short notice of an hour.

6. From time to time, T-Hub will issue changes in its configuration, IT Policy (Annexure 4), security practices and other IT Infrastructure changes,
including changes in Network Addresses. The Member shall comply to these changes and implement them accordingly, in a timely manner and to
the desired quality standards expected by T- Hub.

7. The Member is responsible for bringing all the necessary IT expertise and resources required for the Member’s Compliance to T-Hub’s IT Policy.
While T-Hub’s IT team may provide clarifications, help and support to a small extent as determined by T-Hub, it is understood that T-Hub IT
team’s help will be strictly limited. The onus of compliance lies on the Member.

5. Policy Compliance

1. Compliance Measurement

T-Hub’s IT team will verify Member’s compliance to this policy through various methods, including but not limited to, periodic walk-throughs, video
monitoring, business tool reports, internal and external audits, and feedback to the policy owner.

2. Exceptions

Any exception to the policy must be approved by T-Hub’s IT team in advance in writing, before the Member implements the same in any manner.

3. Non-Compliance

An employee found to have violated this policy may be subject to disciplinary action, up to and including termination of contract. T-Hub’s decision
in these matters will be deemed final.

The Member, Under No circumstance will use the Premises and its facilities for:

Cyber-terrorism - which includes a person who denies access to an authorized personnel to a computer resource, accesses a protected system or
introduces contaminant into a system, with the intention of threatening the unity, integrity, sovereignty or security of another entity or the
country including and not limited to hacking or social engineering or phishing

Cyberbullying- which includes but not restricted to sending, posting, or sharing negative, harmful, false about someone else such as personal or
private information about someone else causing embarrassment or humiliation.

Cyber-Porn – Which includes but not restricted to capturing, transmitting or publishing images of a person's private parts without his/her
consent or knowledge, publishing or transmitting images containing a sexual explicit act or conduct.

Cheating or Cyber Fraud – which includes cheating using computer/internet resource or communication channel or public Internet Protocol (IP)
of OYO.

Any act Prohibited under the provisions of the Information Technology Act, 2008 or any amendment thereto.

Members are prohibited to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any of Our server
or to any of the Services, or to other co-working associate’s resources through hacking, password mining or any other means.

Video/Audio Streaming is disabled for the Members for Non-Educational Sites (ex-Netflix, Prime etc).

Members are recommended to have an antivirus installed on all computers to prevent mass infection via virus outbreak.

Members are liable for the physical safety and maintenance of the IT assets which are brought by them to the Premises. The building staff will
assist in the event of a mis-happening or loss by making available CCTV footage up to available days of the day of the incident.
