Presentation

As a full-service law firm, Zalán-Lipák Ügyvédi Iroda (founded in 2015) provides


services in the fields of general corporate law, mergers and acquisitions, dispute
resolution, intellectual property and data protection, usually representing international
clients or domestic clients in international transactions. Its recent experience in these
fields include the following:

Commercial / - Providing general corporate and commercial legal advice (including


Corporate / M&A drafting of commercial template agreements, employment agreements,
syndicate agreement, memos in different topics, etc.) for a Hungarian
company producing radiation technology and isotope devices and
providing relating services in Hungary and worldwide
- Providing commercial legal advice (e.g. preparation of general terms and
conditions, payment policies, agency service contract and privacy policy)
for an Austrian company providing management consultancy services
- Providing general corporate housekeeping advice for the Hungarian
representative office of general trading company group headquartered in
Japan and Germany
- Preliminary due diligence exercise for a prospective Polish buyer
regarding 10 Hungarian hosting service provider companies (decision is
pending as to which companies to target)
Data Protection - Conducting a full range GDPR audit (including preparing policies, privacy
notices and other documentation) for a Hungarian marketing consulting
company and providing ad-hoc assistance in stand-alone data protection
matters
- Preparing data processing agreements and privacy policies for a
Hungarian pharmacology service company
- Advising a Hungarian household appliances company regarding data
protection compliance issues for their online activities
Intellectual - Ongoing representation of a Hungarian interior design company in a
property trademark infringement and cancellation procedure before the Hungarian
Intellectual Property Office (SZTNH)
- Preparation and negotiation of a technology transfer and sales
agreement between a Hungarian and a Belgian engineering company for
producing particle processing equipment
- Preparation and negotiation of a software transfer agreement for a
Hungarian company developing a country-wide used program advisor
application
Dispute - Ongoing representation of a British financial consulting company in a
resolution dispute over a monetary claim against a Hungarian brokerage company
- Ongoing representation of an American private individual against a large
Hungarian accommodation providing company
- Representing a leading Hungarian radiation tehnology and isotope
applications company in an intellectual property infringement dispute
Real estate - -Advising an Irish-Hungarian real estate company regarding the
acquisition of a real-estate backed non-performing loan package
- Several ongoing real estate sale and purchase transaction
Zalán-Lipák Ügyvédi Iroda is currently composed of two lawyers, Judit Adél Zalán-Lipák, dr.
L.LM as founding attorney-at-law and Péter Szaniszlai dr. as associate:

Judit Adél Zalán-Lipák As demonstrated in her CV (submitted to you previously) Judit Adél
Zalán-Lipák is an experienced attorney-at-law with a demonstrated
history of working in the law practice industry both as an external
adviser and corporate counsel.

While being the founding partner of Zalán-Lipák Ügyvédi Iroda, she


holds a position at MET Group as Group Senior M&A Legal
Counsel, being directly involved in international transactions from
the business structuring phase until the completion and
consolidation phase.

In her free time, Judit plays the piano and participates actively in
literature activities (in 2018, she won the award of the best lawyer-
poet of the year).

Péter Szaniszlai Upon graduating the law faculty of ELTE university in 2009, Peter
Szaniszlai enrolled in LL.M. and Ph.D. programs of Nagoya
University (Japan) for comparative law and political science
courses and concluded his postgraduate research activities in
2016. During the years he spent in Japan, he mastered not only
the Japanese language but also reached an advanced level of
Chinese proficiency.

He worked for an internationally focused Hungarian patent attorney


office between 2016 and 2018, where he not only obtained a deep
knowledge of trademarks, domains, licenses, designs and other
areas of intellectual property law, but was also involved in
marketing and business development activities, mainly focusing on
prospective Japanese and Chinese clients. He joined Lakatos,
Köves and Partners (former Clifford Chance Budapest) in 2018,
where he gained expertise in data protection law and corporate
M&A transactions while keeping his focus on business
development affecting Japan and China as well.

Peter’s expertise unites deep knowledge of specific areas of law,


business-minded approach to legal work, and a potential of
reaching Asian clients through unique language and cultural skills.

In his free time, Péter plays the cello in chamber music ensembles
and non-professional orchestras.
