OTHER GENERAL TERMS & CONDITIONS OF PURCHASE

Definitions:
Seller shall mean “Aeron Systems Pvt. Ltd.” and shall include its successors and assigns. Buyer shall mean
t h e COMPANY / CUSTOMER / ENTITY (name as mentioned above) and shall include its successors and

assigns.
QUOTATION shall mean this Quotation and all its attachments, exhibits and documents referred to therein and
the Terms
and Conditions thereof together with any subsequent amendment(s) thereto.

Order Cancellation:
Order once placed by the Buyer to Aeron Systems cannot be canceled. In case the cancellation is unavoidable,
the Buyer shall pay to Aeron Systems the cost incurred on the work completed till the time of cancellation
notice. Such cost shall include the cost of items procured and manufactured for the order.

Lead Time:
The lead time shall commence after the manufacturing clearance is provided by the Buyer.

Material Dispatch Clearance:

The Buyer shall provide the material dispatch clearance within 1-2 weeks of the factory inspection or material
readiness intimation whichever applicable. Aeron Systems shall have the right to invoice the material to the
Buyer and dispatch as per the details mentioned in the purchase order or charge interest at 18% p.a. on the
cost of material if there is an unreasonable delay in the material dispatch clearance from the Buyer.

Warranty Terms and Conditions

DISCLAIMER OF WARRANTY
THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED. AERON SYSTEMS PVT. LTD.
EXPRESSLY DISCLAIMS AND EXCLUDES ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE. AERON SYSTEMS PVT. LTD. HEREBY DISCLAIMS, TO THE FULLEST EXTENT ALLOWED BY
APPLICABLE LAW, ANY AND ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE PRODUCTS, WHETHER
EXPRESS, IMPLIED OR STATUTORY, OTHER THAN THOSE EXPRESSLY PROVIDED HEREIN.”
Limited Warranty
Products manufactured by AERON SYSTEMS PVT. LTD. are warranted by to be free from defects in materials and
workmanship under normal use and service to the entity (details as mentioned) for the period (as mentioned)
from the date of shipment.
AERON SYSTEMS PVT. LTD provides a limited warranty for its products only to the entity that originally purchased
the product from AERON SYSTEMS PVT. LTD or its authorized distributor or retailer.
Warranty is confined to the first purchaser of the product and is non-transferable.
The following standard warranty terms & conditions apply to AERON SYSTEMS PVT. LTD products:
1. The warranty is applicable to the products manufactured by AERON SYSTEMS PVT. LTD. only
2. The warranty is applicable against manufacturing defects only
3. The warranty is factory warranty only and not on-site warranty
4. The defective Products need to be shipped to AERON SYSTEMS PVT. LTD. factory (works) for
repair/replacement under warranty
5. The Customer assumes all costs of removing, shipping, re-installing defective Products to AERON
SYSTEMS PVT. LTD.
6. If a product does not operate during the applicable warranty period due to manufacturing defects, AERON
SYSTEMS PVT. LTD shall repair/replace the defective product or part and deliver to the customer an
equivalent product or part to replace the defective item. Replacement products may be new or
reconditioned
7. While the company will make every effort to repair/replace the Products at the earliest, it, however, is
made expressly clear that the company is under no obligation to do so in a specified time period

Warranty is not applicable to the following conditions:

1. The warranty period is expired
2. To any products which have been subjected to modification, misuse, neglect, improper use, installation
and/or storage not conforming to the instructions given in the product datasheet/manual, or an
environment conditions more severe than those specified in the manual and specifications including
accidents of nature like flood, lightning, earthquake, theft or damages due to shipping
3. Products those are not manufactured by AERON SYSTEMS PVT. LTD., but are resold by AERON SYSTEMS
PVT. LTD., are covered under warranty only as per the terms & conditions extended by the original
manufacturer.

4. Consumables and accessories like batteries, cables, power adapters, connectors, antennas, etc. are not
covered under warranty
5. Under no condition should the customer open or try to open or re-engineer the device. In doing so, the
warranty shall be deemed Null and Void.
