SPECIAL LICENSED PRODUCT APPLICATION

Please read the following instructions carefully before filling out this form.

1. This is an application for preapproval from Gong cha Global Marketing for a Special Licensed
Product (hereinafter “SLP”).

2. An SLP is a product developed by a master franchisee or an existing Gong cha product modified
by a master franchisee. In both cases, all ingredients and/or materials used are sourced outside
of Gong cha Global Supply Chain except for the core ingredients listed in number 3 below.

3. The core ingredients are the proprietary ingredients of Gong cha, and cannot be substituted with
ingredients sourced from outside of Gong cha Global Supply Chain under any circumstances.
When developing an SLP, core ingredients may or may not be used. But when developing an
SLP using a core ingredient, the ingredient must be sourced from Gong cha Global Supply
Chain. Gong cha’s core ingredients are:

1) Five types of tea leaves (black, green, oolong, Earl Grey, Alisan)
2) Plant creamer powder
3) House special powder
4) Taro powder
5) Pearls

4. The application form must be filled out in its entirety and an electronic copy of the completed
application must be sent by email to the designated Gong cha Global Marketing person in
charge of the Master Franchisee’s Territory at least 30 working days prior to the proposed
launch date.

5. A printed copy of the completed application along with an ingredient sample(s) must be sent to
Gong cha Global Marketing at the address shown below for review.

6. Note that a review procedure will only be initiated upon the receipt of a sample of the application
ingredients. If no sample is available at the time of submission, please specify the reason and
the expected date of availability.

7. Preapproval will be given within 10 working days from the time the request is submitted, once
the ingredient quality and the standard operating procedure (SOP) of the product are confirmed
to be safe. More time may be required in cases where there are questions or additional
concerns.

8. For products containing locally-sourced ingredients, the royalty rate is 2.5% of the net sales of
the SLP.

9. The Master Franchisee is required to submit sales data before the 10th of each month. The
sales data requested by Gong cha Global Marketing includes, but is not limited to, data on sales
performance, the results of marketing initiatives and menu mix (sales % and number of cups
sold) of total POS sales.

10. The Master Franchisee is required to provide the most up-to-date SLP list stating all
preapproved items, including but not limited to products that are discontinued or currently being
sold, to Gong cha Global Marketing as a reference for calculating the royalty fee.

11. No SLP shall be sold or/and listed on a menu without preapproval from Gong cha Global
Marketing.

12. By submitting this application, the Master Franchisee agrees that Gong cha Global Marketing
may modify or share with other Gong cha master franchisees the standard operating procedure,
recipe, or/and ingredient information of the application product.

DISCLAIMER

By submitting this application, the Master Franchisee expressly acknowledges and agrees that:

1. The Master Franchisee takes full responsibility for the safety, sanitation and quality of the
application products hereof.
2. If the product is found to be in non-compliance with local regulations, this approval shall become
void immediately and the Master Franchisee shall cease using and selling the products without
objection.
3. All locally-sourced ingredients are limited to temporary use only unless there is a legal problem in
importing the same or equivalent ingredients from Gong cha Global Supply Chain. Once Gong cha
Global Supply Chain is able to provide an appropriate substitute, Gong cha Global Marketing may
withdraw the approval at any time at its discretion.

4. The Master agrees to provide all data requested by Gong cha Global Marketing, including but not
limited to sales performance, the results of marketing initiatives and menu mix (sales % and number
of cups sold) of total POS sales.

Gong cha Global Marketing reserves the right to use, modify and share with other Gong cha master
franchisees the product information, including but not limited to the standard operating procedure,
recipe, or/and ingredient information of the application product and to use the product information for
new product development, modified product development, benchmarking, promotions, creative work,
or other purposes.
