MEMORANDUM OF AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:

This Agreement is being executed this ___ day of April 2024, by and between:

RAYAH MARCELO PEREZ, of legal age, filipino, single with address at B39
L16 PH3 Wellington Residence Brgy. Tres Cruses Tanza Cavite hereinafter referred to
as the “SELLER”;

-and-

EMELY AMAT CORAL, of legal age, filipino, single with address at B39 L11
PH3 Wellington Residence Brgy. Tres Cruses Tanza Cavite hereinafter referred to as
the “BUYER”;

WITNESSETH:

WHEREAS, the SELLER and BUYER shall collectively be known herein as “the
Parties”. In determining the rights and duties of the Parties under this Agreement, the
entire document must be read as a whole.

WHEREAS, both BUYER agreed to buy a house and lot located at B39 L16 3rd
AVENUE WELLINGTON RESIDENCE BRGY. TRES CRUSES TANZA CAVITE,
under terms and conditions set forth herein;

NOW THEREFORE, the PARTIES, upon signing of this Agreement, hereby

undertake and mutually agree as follows:

1. That the SELLER agreed to sell the above mentioned property for the
amount of FOUR HUNDRED FIFTY THOUSAND PESOS (Php
450,000.00).

2. That the BUYER will give TWO HUNDRED TWENTY FIVE THOUSAND
PESOS (Php 225,000.00) as initial payment upon signing of this agreement
and the remaining balance amounting to TWO HUNDRED TWENTY FIVE
THOUSAND PESOS (Php 225,000.00) will be paid on July 15, 2024.

3. However, upon full payment of the said property, the SELLER will render
all papers such as DEED OF SALE WITH ASSUMPTION OF
MORTGAGE, SPECIAL POWER OF ATTORNEY AND WAIVER OF

 RIGHTS favor with the BUYER. Failure to comply with the said terms and
conditions, the BUYER shall have the rights to refund all payment made.

4. Each Party hereby severally represents and warrants that this Agreement
has been duly authorized, executed, and delivered by each Party and
constitutes that it is legal, valid, and binding obligation, enforceable against
them in accordance with its terms. Each Party has voluntarily executed this
Agreement with the assistance of the Notary public and with full knowledge
and understanding of the terms and conditions thereof and its legal
consequential effects.

5. Upon (i) execution of this Agreement and (ii) payment of the full amount in
cash to SELLER as agreed upon in paragraph 1 hereof, this AGREEMENT
shall be terminated in whole and absolute.

IN WITNESS WHEREOF, the parties have mutually agreed to the above stated
stipulations and sign this Memorandum of Agreement this ____ day of
