SECTION-I
PROLOGUE
With reference to the Tender Document Package received from M/s. ADANI. (“CLIENT”) over mail
regarding the proposed PCB BARREL Washery, M/s. GREEN MINE INC. (“BIDDER”) had thoroughly
studied the set of the relevant documents and recorded certain observations as inferred for clarification
from the CLIENT. The observations were shared by the BIDDER with the CLIENT over mail on which the
CLIENT had shared their response through mail.

Further, for the purpose of acquiring more information related to the project and clarity on the scope of
work, the BIDDER had made a joint visit along with the CLIENT to the PEKB Coal Mines in Hasdeo-Arand
Coal Field, Tehsil-Udaipur, District-Sarguja, State-Chhattisgarh, India on 14-03-2024 and had fruitful
discussions with Adani Group officials regarding the proposed PCB BARREL Washery. The BIDDER had
recorded the relevant observations from the project site for facilitation of techno- commercial bid
preparation.

Subsequently, the CLIENT had requested the BIDDER to submit the Techno-commercial offer for the
proposed PCB BARREL Washery.

Accordingly, the BIDDER had prepared and furnished & submitted the Techno-commercial offer for the
Project for the CLIENT’s perusal.

Note:
1. The Above quantities have been derived based on Preliminary Engineering and are bound to change as per Detailed Engineering and site conditions.
2. As the washery is not in operation since long time, if any component, sub-assembly, structure, electrical motor, pumps, and electrical panels is found to
be damaged or inoperable even after equipment health check up while erection , commissioning ,trail & during operational period of the aforesaid
barrel washery, the amount of the same shall be paid by AEL on actual over and above the fixed cost as mentioned in the offer.

B. EXCLUSIONS FROM BIDDER’S SCOPE OF WORK:
 Service Water System.
 Dust Suppression System.
 Any other work which has not been specified in the Tender.

C. PERIOD OF COMPLETION:

 The Design, Engineering, Supply, Execution, Erection & Commissioning works will be completed
within a period of 06 (Six) months from the date of first concrete at the project site subjected to the
receipt of the advance payment.

 The above time period is indicated in good faith and the BIDDER will not be responsible for any
delay due to reasons beyond their control. In case the services of the BIDDER are required by the
CLIENT beyond this period due to reasons not attributable to the BIDDER, the same will be extended
by the BIDDER on the basis of mutually agreed Terms and Conditions.

A. PRICES:

In accordance with the Detailed Scope Matrix described in Section-III of the document, the Price
Schedule regarding the Design, Engineering, Technical Consultancy, Supply, Execution, Erection &
Commissioning of the proposed PCB BARREL Washery has been tabulated as follows:

B. PAYMENT SCHEDULE:
The price mentioned in Section-A shall be paid by the CLIENT to the BIDDER in the following manner:

i) 25% Advance of Total order value shall be released along with the Order/Agreement.
ii) 10% of Total order value after mobilization of execution team to the project site.
iii) 60% against progress on Pro-rata basis (Breakup schedule shall be provided after Order Finalization).
iv) 5% shall be released after successful commissioning & trial run of the system.
v) Variable cost of Rs. 25 per MT of coal production to be paid against 100% of the monthly RA bill along with
applicable GST shall be paid within 21 days. With a minimum guaranteed coal production of 2,50,000 Ton per
month up to 3 years.
vi) As the washery is not in operation since long time, if any component, sub-assembly, structure, electrical
motors, pumps & electrical panels is found to be damaged or inoperable even after equipment health check up
while erection & commissioning of the aforesaid barrel washery, the amount of the same shall be paid by AEL on
actual over and above the fixed cost as mentioned in the offer.

 vii) Incase of any circumstances leading to closure/stoppage of project due to any reason (not attributable
to GMI ) then AEL which pay the fixed cost Rs. 58,85,532/- per month from the date of closure /
stoppage to GMI till 36 months.
viii) All progressive payment (interest free) shall be recover from our running bills in 24 installment
and will start from 3rd RA bills.
ix) Security Deposite : NA
x) Performance Guarantee : NA

C. TAXES & DUTIES:

GST as applicable will be extra and shall be payable by the CLIENT to the BIDDER.

D. PLACEMENT OF ORDER:

The BIDDER has requested to issue the order in the favor of GREEN MINE INC. and communication

E. FORCE MAJEURE:

During the pendency of the Contract, if the performance in whole / part by either party is prevented /
delayed by cases arising out of any War Hostilities, commotion lacks of the Public Enemy, Sabotage,
Fire, Floods, Explosion, Lock outs, Strikes, Epidemics or Non-availability of Government controlled raw
material under orders / instructions of Central / Civil / Military authorities or any other causes beyond
their reasonable control neither of the two parties shall be made liable for loss or damages due to
delay or failure to perform the contract, during the occurrence of force majeure conditions provided
that happening is notified in writing & documentary proof.

F. ARBITRATION:

In the event of any dispute or difference arising between the parties hereto arising out of this
agreement including the implementation, execution and termination of this agreement, the parties
shall endeavor to settle the dispute / differences amicably within 30 days of the dispute or difference
being declared.

 Mistakes, unintended gaps & contradictions in the Contract are to be treated & construed in accordance
with the spirit of this Contract on the basis of mutual trust & of the mutual interests of both parties.
H. BID VALIDITY:

We confirm that our offer is valid for a period of 30 days from the date of submission of offer.

We hope that our offer is very competitive and reasonable and we would be happy to offer any
clarification on the above offer if you need so at any point of time.
