ENGAGEMENT TERMS OF SERVICES :

Throughout these terms of services, “we” or “us” or “our” refers to Abundant Accounting Pte
Ltd and “you” refers to the customer.

1. Services to be provided
During the length of this contract, you shall be bound by the terms of the services as stated in the quotation.
All services will be conducted online and rendered by us within the product features offered by Xero.
Additional fees may be imposed due to variation of work done to this contract. Out-of-pocket expenses
including transport and courier charges are chargeable in additional to the above stated fees.

2. Two-month warranty upon completion of setup

We will send you an email to inform you on the completion date of the system setup as set out in the
quotation. You will be entitled to two-month warranty to check and revert to us if any amendments are to the
setup via emails. We will rectify any changes free of charge for changes logged during two-month warranty
period. The project will be deemed complete two months after we have sent you an email informing you on
the completion of setup. The warranty shall cover the opening balances, provided that they are given to us
within 2 months from the date of the kick off meeting.

After two-month warranty

Please note we will impose additional charges of $200 for any rectification logged after two-month warranty.
We will impose additional charges of $200 for migration of opening balances which are provided to us 2
months after the completion of set-up.

3. Xero
During the length of this contract, you shall be bound by the terms of the services as stated in the quotation.
You understand that ABA is an authorized reseller of Xero. ABA will be holding the primary administrator for
Xero account till the end of the contract. The subscription of Xero’s license will commence from the date when
1st payment is made. Thereafter, the licence may be renewed at the prevailing market price as per Xero’s
terms and GST policy. No refund will be made for early termination or transfer of licence.

You are subject to the terms of services as per Xero’s Term of use and you have read, understood and

ABA shall not be held liable for any failure, disruption, degradation or loss of data resulting from the use of
Xero.

4. Payment Terms
50% payment of the total package price upon the acceptance of the services as stated in the quotation; 50%
final fee and any out-of-pocket expenses (if incurred) upon completion of set up. No refund will be made if our
services are terminated after the payment or in the event of early termination by you before the completion of
services.

5. Forms and Data Records for Migration

You are entitled to the sales forms to be set up and customized by ABA as spelt out in the quote and within the
product features offered by Xero or based on our professional standard templates designed by our tax
advisers. Any forms/templates designed within Xero are limited by the product features offered by Xero.
Please note that you are allowed 2 changes to the format of the form but within the product features of Xero
for each form. We will impose additional $100 per change for each form after 2 changes.

The complete set of data for set up are to be provided within 2 months from the payment date when the
project commences. All financial data to migrate into Xero are to be provided in excel or csv format within 2
months from kick off date. We may impose S$100 per month of delay in the provision of the data required for
setup or import into Xero.

Migration services if any comprise migration of balance sheet items, customer and supplier data into Xero.
Additional charges will be imposed if the data are provided in different forms, unless otherwise agreed
between the parties. Please note that all data migration is based on the data provided by you and we do not
cleanse or check your data. ABA shall not be responsible for the accuracy of the data provided and additional
charges may apply if adjustment, amendments and/or corrections are required to the system based resulting
incomplete and/or incorrect data provided by you.

6. Support and training

 Online support provided by Xero’s customer support team for 1 year as per Xero’s term of use. You
can refer to https://www.aba.com.sg/post/how-to-contact-Xero-support for support after we have
activated your accounts.
 Online LIVE training will be conducted by our professional accountants. All training sessions to be
completed within 2 months from the system completion setup date. Any support hours by us will be
spelt out in our written correspondences and is valid for 2 months after system completion setup date
and scheduled in blocks of 30 minutes, which may consist of calls, tele-conferencing, texts and emails.

This contract only covers services spelt out in the quotation or variation of services as per written
correspondences via email. If you would like to engage us for services not covered under this contract, you can
email to sales@aba.com.sg for additional quotes.

We wish to highlight that that the following are not covered under this contract:-

 Review and cleanse the accounting information that you input into the system
 Professional advice on accounting or tax or GST
 API connect and/or integration of Third-party software to Xero
