WHEREASTHEUNDERSIGNEDPARTIESHEREBYDESIRETOFULLYSATISFYFORTHEMSELVESABOUTTHEGEN
UINENESSOFTHEBUYERANDTHESELLERRESPECTIVELY.ThePartiesagreedthattobeginwiththeprocesstot
hereleaseofconfidentialdocumentsthatenablepartiestoconductverificationsandconfirmationandauthe
nticationofreliabilityofsellerandbuyer,theremustbeasignedNON-
CIRCUMVENTIONAGREEMENTOFTRUSTtotheeffect.

ThedocumentswhichwouldbefactoredInthisagreementincludeamongstothers:LetterofIntent,Fullcorp
orateoffers,BankComfortLetter,ContractTermsandConditions,StandbyLetterofCredit{SBLC},oranyinfor
mationcontainedinsuchdocumentswillnotbepassedtoanythirdparty,underanycircumstance,ortootherI
ntermediaryorbrokerortraderorwhatevercompanyorpersonswhoarenotend-buyersorend-
suppliers,withoutpriorspecificwrittenconsentoftheparty(s)providingsuchinformation.Theintendingpar
tiesherebyandirrevocablybindthemselvestoguaranteetoeachothertheyshallnotdirectlyorindirectlycirc
umventorattempttocircumvent,avoid,by-
passorobviateeachother’sinterestorrelationshipbetweenthepartiestothisagreement.

1. Thesellerwouldprovidethefollowingdocumentstothebuyerforverification
 AllocationconfirmableproofofproductbyNNPCBonnyTerminal
 AuthoritytosellcargoonboardbyNNPCBonnyTerminal
 DailyscheduleordersorlaytimecalculationMT-INFRAQUEENbyNNPCBonnyTerminal
 AlongwiththeAllocationowner(CIS)orsellerpfBonnyLightcrudeofNNPC
2. Thebuyershallsendtothesellerthefollowingdocuments:
 LetterofintentinbuyersLetterheadedpaper,throughtheirmandate,statingquantityandvalidnum
berofyearsthatthetransactionshallexist.
..TheCISofthebuyer’smandate.
Consequentuponsigningthisagreementthepartiescanproceedtocommenceexchangeofdocum
entaryevidencesleadingtothesigningthesalesandpurchaseagreement.
