contracts
Sponsorship contracts must include ABC clauses that require sponsorees to make anti-
bribery and anti-corruption commitments. These clauses can protect the company from
bribery and corruption risks caused by wrongdoing by sponsorees. Key ABC clauses
include:
1) It's forbidden to bribe public officials or the sponsor's personnel.
2) Sponsorship fees and items can only be used for the purposes defined in
sponsorship contracts.
3) Penalties can be imposed based on the severity of breaches.
2 Clauses
1. The sponsoree shall promise and undertake to comply with all applicable laws and
regulations pertaining to corruption.
2. The sponsoree shall not offer money or anything of value received from the sponsor
as a bribe to public officials, counterparty stakeholders, or stakeholders that can
exert influence over a transaction, or for the purpose of helping the sponsor obtain
or retain business.
3. The sponsoree shall not bribe the sponsor's employees in any way. If an employee
of the sponsor attempts to utilize, aid, abet, induce or conspire with the sponsoree
to engage in bribery, the sponsoree shall explicitly refuse to participate in this act
and voluntarily report it to the sponsor via BCGComplain@huawei.com.
4. The sponsoree shall use the sponsorship fees and items for the purposes defined in
the sponsorship contract. Changes to the predefined purposes must be made in
writing by both parties in advance.
5. In the event that the sponsoree or one of its personnel violates the contract, the
sponsor has the right to unilaterally terminate the sponsorship and reserves the right
to pursue legal action against anyone who has committed a violation.
