DEED OF CONVEYANCE

IN RESPECT OF:

COMMUNITY IN EMOHUA LOCAL GOVERNMENT AREA, PORT HARCOURT, RIVERS
STATE, NIGERIA

THIS DEED OF CONVEYANCE is made this_____________day of ______________________2024

BETWEEN

KELVIN WOGBO, of Anara compound, Isiodu, in Emohua Local Government Area of


Rivers State of Nigeria, Rivers State (hereinafter called “THE VENDOR” which
expression shall wherever the context so admits include their successors-in-title, and
assigns) of the one part

AND

MRS. UCHENDU HELLEN CHIGARUM, of 11 Akas street, Rumuosi Junction Port


Harcourt, Rivers State, (hereinafter called "THE PURCHASER" which expression shall
where the context so admits include its successors-in-title and assigns) of the other
part.

WHEREAS:

a. By virtue of native Law and custom applicable inIsiodu Community, in Emohua


Local Government Area of Rivers State, Nigeria,KELVIN WOGBO became seized
by traditional partitioning and inheritance of a portion of all that piece or parcel
of land situate atAnara Farmland,Isiodu, in Emohua Local Government Area of
Rivers State covering an area of approximately 455.258 square meters and it’s
particularly delineated and verged RED on the survey plan No:
RV3442/2024/018/SP dated 24-01-2024 and more clearly demarcated with
survey pillars No:SP/B 2100, ,SP/B 2101, SP/B 2102 and SPB 2103 drawn by
Surv. Barratt Inodu Of No. 7B Ada George Road, Port Harcourt, Rivers State

b. KELVIN WOGBOas the original owner transferred the totality of his right and
interest over the above said piece or parcel of land to MRS.
UCHENDUHELLENCHIGARUM

c. KELVIN WOGBOhas been in possession of the said piece/parcel of land and by


virtue of payment made by MRS.UCHENDUHELLENCHIGARUMto MR. KELVIN
WOGBO, in respect of the above mentioned property situate atAnara
Farmland,Isiodu in Emohua Local Government Area of Rivers State.MR. KELVIN
WOGBO,transferred the totality of her rights and interests in the aforesaid
piece/parcel of land and it’s Appurtenance for valuable consideration to MRS.
UCHENDUHELLENCHIGARUM(PURCHASER) herein.
d. The VENDOR has agreed with the PURCHASER to sell and convey unto the
PURCHASER the 1 (one0 plot of land at the sum of NGN2, 000, 000 (TWO
Million Naira only) the PURCHASER having performed all rites pertaining to
the sale and purchase of the said land.

e. The VENDOR has agreed with the PURCHASER to transfer its rights in the said
land together with every development thereon.

NOW THIS DEED WITNESSES as follows: -

1. Pursuant to this agreement and in consideration of the sum of N2,000, 000(TWO


Million Naira only) having being paid by the PURCHASER to the VENDOR(the
receipt of which sum the VENDOR hereby acknowledges), the VENDOR as the
BENEFICIAL OWNER hereby sell, transfer and convey unto the PURCHASER ALL
the VENDORS interests and rights of occupancy in and over that piece or parcel of
land, TO HOLD UNTO the PURCHASER for its absolute use and benefit in
accordance with the provision of the Land Use Act and absolute free and
discharged from all claims and encumbrances.

2. THE VENDOR COVENANT WITH THE PURCHASER as follows:

a. The VENDOR HEREBY COVENANTS with the PURCHASER to INDEMNIFY the


PURCHASER for the entire cost and all incidental expenses or otherwise in
the event of any third party counterclaims, adverse interest, actions, and/or
demands touching on the piece or parcel of land herein conveyed or for any
cost, loss, responsibility or proceedings which the PURCHASER may incur or
suffer by reason of any deceit in the VENDOR’S tittle to the piece or parcel of
land herein conveyed or by reason of any default.

b. The VENDOR COVENANT with the PURCHASER that the PURCHASER or any
person (s) representing its interest shall have and enjoy quiet, uninterrupted
and peaceable possession of the said piece or parcel of land without any
claim, hindrance or interference from the VENDOR and /or privies or
successor in-tittle or third parties.
c. The VENDOR COVENANT with the purchaser to assist by executing any
further document for the purchaser to obtain any consent, instrument or
authority that any be so required or necessary for the purpose of the piece or
parcel of land conveyed under this Deed.

d. The VENDOR COVENANT that she possess the right and authority to sell the
land hereby conveyed and no rights or condition precedent exist between
herself and any third party to be fulfilled prior to or at the time of this sales
and transfer of land

SCHEDULE
a. ALL THAT piece or parcel of land situate at Anara Farm Land Isiodu, Emohua, Emohua
Local Government Area of Rivers State measuring approximately 455.258 square
Meters and more particularly demarcated and delineated by beacon Nos. SP/B 2100,
SP/B 2101, SP/B 2102 and SP/B 2103 verged “RED” on Survey Plan No.
RV/3442/2024/018/SP produce on 24/01/2024 by a registered Surveyor hereto
Barratt Inodu Of No. 7B Ada George Road, Port Harcourt, Rivers State hereto
attached.
IN WITNESS WHEREOF the parties hereto set their hands and seals the day and year
first above written.
