RE: DEMAND NOTICE FOR UNPAID INVOICE

We are writing on behalf of our client, Mr. Aijuka Brian, in reference to an outstanding payment
owed by Mbarara Development Agency Limited for the supply of goods made on July 5, 2023. It has
come to our attention that, despite the agreed-upon terms, the payment due on July 8, 2023, in the
amount of 70 million Ugandan Shillings remains unpaid.

This letter serves as a formal demand for the immediate payment of the aforementioned amount.
Mr. Brian fulfilled his obligations under the terms of the agreement by supplying the goods in a
timely manner as agreed upon, and he rightfully expects prompt payment as per the contract.

We kindly request that Mbarara Development Agency Limited remit the full payment of 70 million
Ugandan Shillings to Mr. Aijuka Brian's designated bank account within three weeks from the date of
receipt of this notice. Failure to do so will leave us with no option but to pursue legal remedies to
recover the outstanding debt.

Please treat this matter with the utmost urgency to avoid any legal action. We believe that an
amicable resolution is in the best interest of both parties. If you require any documentation or
clarification regarding this matter, please do not hesitate to contact us

We trust that Mbarara Development Agency Limited will act in good faith and comply with this
demand promptly.

Yours sincerely,

MUBANGIZI JULIUS

Subject: Legal Memorandum - Ijuka Brian v. Mbarara Development Agency Limited

Dear Mr. Brian,

I. Introduction

This memorandum serves to provide you with a legal analysis of your potential claim against
Mbarara Development Agency Limited for the non-payment of an outstanding invoice.
We will assess whether you have a valid legal case against the said agency.

II. Background

On 5th July 2023, you supplied goods to Mbarara Development Agency Limited, and they were
contractually obligated to make payment by the 8th of July 2023. However, they have failed to
honor this payment, resulting in your demand for 70 million Ugandan Shillings.

III. Legal Analysis

Breach of Contract:

To determine whether you have a valid claim, we must first assess the existence of a legally binding
contract. A contract is formed when there is an offer, acceptance, consent, consideration,
contractual capacity and an intention to create legal relations. In this case, it appears that a contract
was indeed formed between you and Mbarara Development Agency Limited when you supplied the
goods, and they were to pay for them.
Breach of Payment Terms:

The crux of your case lies in Mbarara Development Agency Limited's failure to fulfill their payment
obligations as specified in the contract. If the contract clearly stipulated the payment date as the 8th
of July 2023, their failure to pay by that date constitutes a breach of contract.

Damages:

You are seeking 70 million Ugandan Shillings in damages. To succeed in a claim for damages, you
must be able to demonstrate that you have suffered financial losses due to Mbarara Development
Agency Limited's breach of contract. In this case, the unpaid invoice serves as evidence of your
damages.

IV. Conclusion

Based on the provided information, it appears that you have a valid legal case against Mbarara
Development Agency Limited for breach of contract. Their failure to pay the outstanding invoice by
the agreed-upon date has resulted in financial harm to you, and you have a reasonable basis to
demand payment.

However, it is recommended that you engage in discussions with Mbarara Development Agency
Limited to explore the possibility of an amicable resolution before pursuing legal action. If
negotiations fail, you may consider commencing legal proceedings to recover the outstanding
amount.

If you have any further questions or would like to proceed with legal action, please do not hesitate
to contact our law firm, and we will be happy to assist you.

Sincerely,

Mubangizi Julius
