INTRODUCTION

Massive Online Open Online Courses (MOOCs) use technology to reach a vast
number of online students around the world. While these courses also have issues,
such as low completion rates, they are an attempt to provide education in a way
that suits the user.
With more players jumping into the fray, the edtech segment kept growing. But
magnificent growth eluded them. Gradually, many ed-tech startups wrapped up
because experts and parents believed — and still present a strong argument
emphasizing — that physical classrooms offer interpersonal, social, and cognitive
skills development that tech can never replace.

package. The company has also tied up with over 300 colleges to help the students
who require good training and placement opportunities.
The industry experts in Talentserve conduct mock interviews and make the
candidates ready to face any kind of interview during the period. The candidates
will be taught how to create an impressive resume so that they get attracted to the
people who are hiring. As part of the training the candidates are sent to internships
so that they can get a gist of how the company works and understand the functions,
mission, and vision of the organization, Through this, the candidate gets some
amount of confidence to face the people in the organization. The internships are all
paid which will further help the candidates to look after their day-to-day expenses.
The company offers a variety of packages and it is very much affordable compared to other
players in the market.

2. “Content” shall mean any and all content on and otherwise which are
uploaded by the experts and which are provided by TalentServe in
connection with the Website;
3. “Expert/Mentor” shall mean any person who avails the Services by
uploading any Content on the Website and providing assistance to the
Aspirants
4. “Privacy Policy” shall mean the Privacy Policy of the Website available at
[__];
5. “User” or “you” shall mean any legal person or entity accessing or using
the Website and/or the Services either as an Expert or as an Aspirant;
6. “We” or “us” shall mean TalentServe.
3. These Terms apply to all Users of the TalentServe Platform, including
Mentors/Experts who is also contributors of Content on the TalentServe
Platform. The term User includes Mentors/Expert as applicable.
4. The User is aware and expressly consents to be subject to the rules, guidelines,
policies, terms, and conditions contained in the Privacy Policy. The terms of the
Privacy Policy are hereby incorporated into the Terms, and the User expressly
and unconditionally agrees to be bound by the same.
5. The User agrees and acknowledges that by accessing the Website through any
computing or mobile platform, the User has carefully read and understood the
Terms that govern the use of Services and is bound by the Terms for as long as
he or she is accessing or using the Services.
6. The Terms are subject to revisions at any time, as determined by us, and all
changes are effective immediately upon being posted on the Website. It is the
User s responsibility to review these Terms periodically for any updates/changes.
Any use of the Website after the post of a notice of updates/changes will be
deemed to be an acceptance of the changes by the User.
7. The User agrees to not use the Website for any purpose that is prohibited by
these Terms or applicable law. The Website is only provided for your personal,
non commercial use. Except as otherwise permitted by these Terms, you are not
allowed to copy, modify, distribute, reproduce, publish, license, transfer, or
otherwise use in any manner, in whole or in part, this Website or the information
and materials on this Website.
8. You confirm that you are either more than 18 years of age, or possess legal
parental or guardian consent, and are fully able and competent to enter into the
terms, conditions, obligations, affirmations, representations, and warranties set
forth in these Terms, and to abide by and comply with these Terms. If you are

the TalentServe Platform.
9. The Terms and Conditions along with Privacy Policy constitutes a binding
contract between you and the TalentServe. You can receive a copy of this
Agreement by emailing us at hello@talentserve.org and requesting the same.
These Terms of Service forms an electronic contract within the provisions of the
(Indian) Information Technology Act, 2000 (“IT Act”) and the Rules made
thereunder and the amended provisions pertaining to electronic
documents/records in various statutes as amended by the IT Act, from time to
time. These Terms of Service do not require any physical, electronic, or digital
signature and These Terms of Service shall be a legally binding document
between you and the TalentServe.
10. In connection with your use of the Service, please review our Privacy
Policy, located at TalentServe Platform, to understand how we use the
information we collect from you when you access, visit or use the Service. The
Privacy Policy is part of and is governed by these Terms of Service and by
agreeing to these Terms of Service, you agree to be bound by the terms of the
Privacy Policy and agree that we may use information collected from you in
accordance with its terms.
1. We provide Users with proper career guidance on our AI assisted video bot
platform by connecting through the website. The User is aware that any
information provided by us on the website is provided for information purposes
only and shall not be construed as a commercial offer or create any professional
relationship.
2. Subject to these Terms, Privacy Policy, and all other rules and policies made
available or published by TalentServe, TalentServe hereby grants you a non
exclusive, non transferable, limited license to use the TalentServe Platform in
accordance with these Terms.

REGISTRATION
1. The User may be required to register with the Website in order to access certain
features of the Services. If the User chooses to register for the Services, he/she
agrees to provide and maintain true, accurate, and complete information about
himself or herself as prompted by the Services registration form. Registration
data and certain other information about the User shall be governed by our
Privacy Policy. [Certain aspects of our Services may also require the User to
register with (and agree to the terms of) third party service providers in order to
utilize such Services. While we may help facilitate such registration in some
cases, we are not a party to any such relationships and disclaim any
responsibility or liability for the performance by such third parties. We may
exchange information with such third party services in order to facilitate the
provision of Services (and related third party services).
2. You agree and confirm that you will never use another User s account nor
provide access to your account to any third party. You will be solely responsible
for the activities that occur on your account, and you shall keep your account
password secure and not share the same with any third party. You must notify
TalentServe immediately of any breach of security or unauthorized use of your
account. At no point in time will TalentServe be liable for any losses caused by
any unauthorized use of your account, you shall solely be liable for the losses
caused to TalentServe or others due to such unauthorized use if any.
MOBILE SERVICES
1. The User s wireless service carrier s standard charges, data rates, and other fees
may be applicable.

2. In addition, downloading, installing, or using certain mobile services may be
prohibited or restricted by the User s carrier; and not all mobile services may
work with all carriers or devices.

over such sites, services, and resources and we are not responsible for and do
not endorse such sites, services, and resources. The User further acknowledges
and agrees that we will not be responsible or liable, directly or indirectly, for any
damage or loss caused or alleged to be caused by or in connection with use of
or reliance on any content, events, goods, or services available on or through
any such site, service or resource. Any dealings the User has with third parties
while using the Services are between the User and the third party, and the User
agrees that we shall not be liable for any loss or claim that the User may have
against any such third party.
2. You acknowledge and agree that the availability of the Service may be
dependent on third party websites from which you download the Service, e.g.,
the Apple App Store or Google Play Store (each a “Third Party App Store”). You
acknowledge that these Terms of Service are between you and TalentServe and
not with the applicable Third Party App Store. Each Third Party App Store may
have its own terms and conditions to which you must agree before downloading
the Service from it. You agree to comply with, and your license to use the
Service is conditioned upon, your compliance with, the applicable Third Party
App Store terms and conditions. To the extent that other terms and conditions
from the applicable Third Party App Store are less restrictive than, or otherwise
conflict with, the terms and conditions of these Terms of Service, the more
restrictive or conflicting terms and conditions in these Terms of Service will
apply.

ACCESS, PERMISSIONS, AND RESTRICTIONS
By using the TalentServe Platform and/or the Services, the User agrees not to
undertake certain activities which include but are not limited to:

bypassing or circumventing other measures employed to prevent or limit access
to the Website;
14. Deep linking to any portion of the Website (including, without limitation,
the purchase path for any service) for any purpose without our express written
permission;Í
15. “framing”, “mirroring” or otherwise incorporate any part of the Website
into any other website without our prior written authorization.
16. Upload Content, post reviews, comments or send communications, which
are not illegal, obscene, threatening, defamatory, invasive of privacy,
infringement of intellectual property rights, or otherwise injurious to third
parties or objectionable; and upload Contributions that: (i) is defamatory,
damaging, disruptive, unlawful, inappropriate, offensive, inaccurate,
pornographic, vulgar, indecent, profane, hateful, racially or ethnically offensive,
obscene, lewd, lascivious, filthy, threatening, excessively violent, harassing, or
otherwise objectionable; (ii) incite, encourage or threaten immediate physical
harm against another, including but not limited to, Contributions that promote
racism, bigotry, sexism, religious intolerance or harm against any group or
individual; or (iii) contain material that solicits personal information from anyone
under the age of 18 or exploits anyone in a sexual or violent manner.
In addition to the restrictions set out above, the following limitation and conditions
shall apply to your use of the Content.
1. The Content utilized on the TalentServe Platform which shall include but not be
limited to trademarks, service marks, and logos, processes, images, software,
graphics are owned by or licensed to TalentServe and subject to copyright and
other intellectual property rights under the applicable law.
2. The Content is provided to you on an as is basis. You may access the Content
solely for your information and personal use and as permitted under these
Terms. You shall not download any Content unless you see a download or
similar link displayed by TalentServe on the TalentServe Platform for such
Content.
3. You shall not copy, reproduce, make available online or electronically transmit,
publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise
exploit any Content for any other purposes other than as provided herein
without the prior written consent of TalentServe or the respective licensors of

the Content. TalentServe and its licensors reserve all rights not expressly granted
in and to the TalentServe Platform and the Content.
4. You understand that when using the TalentServe Platform, you will be exposed
to Content from a variety of sources and by different Users and that TalentServe
is not responsible for the accuracy, usefulness, safety, or intellectual property
rights of or relating to such Content. You further understand and acknowledge
that you may be exposed to Content that is inaccurate, offensive, indecent, or
objectionable, and you agree to waive, and hereby do waive, any legal or
equitable rights or remedies you have or may have against TalentServe with
respect thereto, and, to the extent permitted by applicable law, agree to
indemnify and hold harmless TalentServe, its owners, operators, affiliates,
licensors, and licensees to the fullest extent allowed by law regarding all matters
related to your use of the TalentServe Platform.
With respect to the Content uploaded by a User who is a Mentor, the following
conditions shall also apply.
1. You represent and warrant that you have all necessary permissions and
approvals for creating and submitting the Content and that the creation and
submission of the Content with TalentServe Platform will not be in
contravention to any contract signed by you. In no event shall TalentServe be
held liable if you fail to procure any permission or if you contravene any
contract with any third party
2. As a User, you may submit Content on the TalentServe Platform, including
videos and comments. You agree and acknowledge that TalentServe does not
guarantee any confidentiality with respect to any Content that you submit.
3. As a User, you may submit Content on the TalentServe Platform, including
videos and comments. You agree and acknowledge that TalentServe does not
guarantee any confidentiality with respect to any Content that you submit.
4. You represent, and warrant that you own or have the necessary licenses, rights,
consents, and permissions to publish the Content that you submit.
5. You further agree that Content you submit on the TalentServe Platform will not
contain third party copyrighted material or material that is subject to other third
party proprietary rights unless you have permission from the rightful owner of
the material or you are otherwise legally entitled to post the material and to
grant TalentServe all of the license rights granted herein.
6. You represent, warrant, and confirm that the Content uploaded by you is not: (i)
false, inaccurate or misleading, (ii) infringe any third party s copyright, patent,

trademark, trade secret, or other proprietary rights or rights of publicity or
privacy, (iii) violate any law, statute, ordinance or regulation, (iv) defamatory,
unlawfully threatening or unlawfully harassing, (v) obscene or contain
pornography and (vi) Contain any viruses, trojan horses, worms, cancelbots or
other computer programming routines that may damage, detrimentally interfere
with, surreptitiously intercept or expropriate any system, data or personal
information.
7. You undertake and confirm that you shall not during your use of the TalentServe
Platforms at any time post or publish any content, comments, or act in any way
which will amount to harassment of any User, whether an Aspirant or a Mentor.
If at any time TalentServe becomes aware that that you are engaged in any kind
of harassment of other Users, then in such a case TalentServe shall have the sole
right to suspend/terminate your account with immediate effect and without any
notice and we also reserve the right in our sole discretion to initiate any legal
proceedings against you in such cases.
8. TalentServe may at its sole discretion process any audio or audio visual content
uploaded by you to the TalentServe Platform to confirm if the same is in
accordance with TalentServe s quality requirements and if the same is
compatible with the TalentServe Platform.
9. TalentServe does not endorse any Content submitted on the TalentServe
Platform by any User or other licensor, or any opinion, recommendation, or
advice expressed therein, and TalentServe expressly disclaims any and all liability
in connection with the Content. TalentServe does not permit copyright
infringing activities and infringement of intellectual property rights on the
TalentServe Platform, and TalentServe will remove all Content if properly
notified that such Content infringes on another s intellectual property rights.
TalentServe reserves the right to remove any Content without prior notice if it
has reason to believe that such Content infringes any copyright.
TERMINATION
1. The User agrees that we may, in our sole discretion, suspend or terminate the
User s account (or any part thereof) or use of the Services and remove and
discard any Content within the Services, for any reason, including, without
limitation, for lack of use or if we believe that the User has violated or acted

inconsistently with the letter or spirit of these Terms. Any suspected fraudulent,
abusive, or illegal activity that may be grounds for termination of the User s use
of Services, may be referred to appropriate law enforcement authorities. The
User may also in its sole discretion and at any time discontinue providing the
Services, or any part thereof, with or without notice. The User agrees that any
termination of his/her access to the Services under any provision of these Terms
may be affected without prior notice, and acknowledge and agree that we may
immediately deactivate or delete the User s account and all related information
and files in his or her account and/or bar any further access to such files or the
Services. Further, the User agrees that we will not be liable to the User or any
third party for termination of the User s access to the Services.
2. Notwithstanding any other provisions of these Terms, or any general legal
principles to the contrary, any provision of these Terms that imposes or
contemplates continuing obligations on the User will survive the expiration or
termination of these Terms.
3. In case of a User s account or access to the Services, TalentServe reserves the
right, in its sole discretion, to withhold or stop any and all payments that are to
be made to such User. Payments shall only be made for all legitimate work that
is not the subject matter of any violation or dispute. Payments shall not be
made for the work that is the subject matter of any of the breaches. User access
shall be terminated immediately, and the User shall not be able to access the
said terminated account.
4. Any and all provisions related to or regarding Proprietary Rights, Limitation of
liability, Confidentiality, and Indemnification hereby survive any termination of
these Terms and Conditions or any termination of your use of or subscription to
the Services.

CONFIDENTIALITY
1. You will not without obtaining the prior written consent of TalentServe, disclose
to a third party any Confidential Information that is disclosed to you during the
term of your use of the TalentServe Platform.
2. Confidential Information shall include but not be limited to employee details,
User list, business model, processes, ideas, concepts etc. relating to TalentServe
or TalentServe Platform which are not available in the public domain. You
acknowledge and agree that the Confidential Information so provided to you
shall at all time be the property of TalentServe and any breach of the same shall
cause irreparable damage to us.

REFUND POLICIES:
If for any reason and at any time the student withdraws from the TalentServe
Program, then, the Student shall be under an obligation to provide the Company and
the Company Agent with prior written notice of 10 (ten) days notice of such
withdrawal from the TalentServe Program and the effective date of such withdrawal
thereto. The following conditions shall apply in case of withdrawal by the Student
from the TalentServe Program within 7 (seven) days of commencement of the
TalentServe program, the Student is liable for the cost of training and support
received, and no refund of tuition fee shall be processed. If the student drops out
after 7 (seven) days after commencement of the TalentServe Program, then, in such
case, the Student shall be liable to fulfil all their payment obligations and other terms
and conditions as set out in this Agreement. For the avoidance of doubt, it is hereby
clarified that the Payment Term shall commence from the date the Student leaves the
TalentServe Program.

PRIVACY POLICY
INTRODUCTION
1. This website, the associated mobile applications, and the services provided
through the website and the mobile applications (the “Platform”) are owned by
TalentServe India Pvt Ltd and/ or its affiliates (“TalentServe”). TalentServe (“we”,
“us”, and “our”) is fully committed to respecting your privacy and want you to
understand how we collect, use, and share data about you.
2. This Privacy Policy covers our data collection practices and describes your rights
to access, correct, or restrict our use of your personal data. We are committed to
protecting it through our compliance with this privacy policy (“Privacy Policy”).
This Privacy Policy describes: (a) statement of TalentServe’s practices and
policies; (b) the types of information that we may collect from you when you
access/use the Platform, and (c) purposes of and the way in which we will
collect, use and disclose information obtained from your use of the Platform;
and (d) security practices and procedures for protecting the privacy of your
information.
3. This Privacy Policy forms an electronic contract within the provisions of the
(Indian) Information Technology Act, 2000 (“IT Act“) and the Rules made
thereunder and the amended provisions pertaining to electronic
documents/records in various statutes as amended by the IT Act, from time to
time. This Privacy Policy does not require any physical, electronic, or digital
signature and this Privacy Policy shall be a legally binding document between
you and TalentServe.
4. By using or accessing the Platform, you are agreeing with and consenting to the
practices described in this Privacy Policy. You also expressly consent to our use
and disclosure of your Information (as defined below) in any manner as
described in this Privacy Policy. If you do not agree with this Privacy Policy or
the terms contained herein, you should immediately cease using the Platform.
As this Privacy Policy may be updated from time to time as the Platform and its
content develops and matures, we encourage you to check this Privacy Policy
regularly.

HOW DO TALENTSERVE COLLECT CUSTOMERS INFORMATION :
You directly provide us with most of the information we collect. You do this by filling
out the registration details on the Platform, linking to the third-party sites, filling out
our forms and surveys
TalentServe and service providers acting on our behalf (like Google Analytics and
third-party advertisers) use server log files and automated data collection tools like
cookies, tags, scripts, customized links, device or browser fingerprints, and web
beacons (together, “Data Collection Tools”) when you access and use the Services.
These Data Collection Tools automatically track and collect certain System Data and
Usage Data (as detailed in Section 1) when you use the Services. In some cases, we tie
data gathered through those Data Collection Tools to other data that we collect as
described in this Privacy Policy.
We use third-party browser and mobile analytics services like google tag manager,
Google Analytics, Mixpanel, Netcore, Branch, Firebase, Facebook Analytics on the
Services. These services use Data Collection Tools to help us analyze your use of the
Services, including information like the third-party website you arrive from, how often
you visit, events within the Services, usage and performance data, and where the
application was downloaded from. We use this data to improve the Services, better
understand how the Services perform on different devices and provide information
that may be of interest to you.
We use third-party advertising services. Depending on the types of advertising services we use, they
may place cookies or other tracking technologies on your computer, phone, or other devices to
