Talentserve India Private Limited is an unlisted private company incorporated on


16 July, 2019. It is classified as a private limited company and is located in Mumbai

INTRODUCTION

EdTech (a combination of "education" and "technology") refers to a hardware


and software package designed to boost teacher-led learning in school rooms and
improve students' education outcomes.
EdTech remains within the early stages of its development, however, it shows
promise as a technique of customizing a program for a student’s ability level by
introducing and reinforcing new content at a pace the scholar will handle. EdTech
can be a contentious topic. As a large portion of the education system is unionized,
there are concerns that EdTech is an attempt to phase out certain in-class duties as
a way of reducing costs. The creators of EdTech emphasize the enhancement
potential of the software and technology, freeing up the teacher to move into more
of a facilitator role. With time constraints, it is difficult for a teacher to teach
according to curriculum, catch up lower level learners, and still keep the top of the
class engaged in their work. By automating the assessment of ability and
adjustment of difficulty, EdTech can potentially lead to better outcomes for
individual students and the class as a whole.
Technology in the classroom experienced two waves of implementation. The first
was the introduction of hardware into the classroom. Inevitably the conversation
has turned to get the software to better coordinate and utilize all the hardware.
These software solutions are EdTech. Many of them are cloud-based and pull on
educational research to set algorithms for how slowly or rapidly to advance a
student along different learning objectives.

Massive Online Open Online Courses (MOOCs) use technology to reach a vast
number of online students around the world. While these courses also have issues,
such as low completion rates, they are an attempt to provide education in a way
that suits the user.

Technology in Education Becomes the Buzzword.


Now, it isn’t as if tech is new to India. For the past 10 odd years, Edtech has been a nursing
baby, unable to grow due to lukewarm market response and zero mass following. Back then,
tech startups were forced to take the B2B route — remember Edu Comp
Solutions? It was the largest education services company in India. It aimed to
equip Indian classrooms with its range of digital classroom aids that gave teachers
interactive multimedia content that they could use to supplement textbook-and-
blackboard teaching. But no one was quite ready for this, and by 2011, Edu Comp
was in a deep financial crisis.

With more players jumping into the fray, the edtech segment kept growing. But
magnificent growth eluded them. Gradually, many ed-tech startups wrapped up
because experts and parents believed — and still present a strong argument
emphasizing — that physical classrooms offer interpersonal, social, and cognitive
skills development that tech can never replace.

Talentserve is a start-up by a group of IIT and IIM alumni, To engage millions of


students around the world to give a 360-degree solution to all their Career,
Education, Work, and Corporate needs.

Talentserve provides a wide variety of courses to the candidates so that they


become corporate-ready. The main USP of Talentserve is that they provide one-

on-one sessions and also have downloadable video content So that the candidates
can clear their doubts on the go.

The company currently has tied up with some of the booming companies like
Amazon, Flipkart, Swiggy, IBM, P&G, and many more. Talentserve has over 1
Lakh plus candidates who have transformed themself into good working
professionals. They have been placed in 500 different companies with a good
package. The company has also tied up with over 300 colleges to help the students
who require good training and placement opportunities.

The industry experts in Talentserve conduct mock interviews and make the
candidates ready to face any kind of interview during the period. The candidates
will be taught how to create an impressive resume so that they get attracted to the
people who are hiring. As part of the training the candidates are sent to internships
so that they can get a gist of how the company works and understand the functions,
mission, and vision of the organization, Through this, the candidate gets some
amount of confidence to face the people in the organization. The internships are all
paid which will further help the candidates to look after their day-to-day expenses.

The company offers a variety of packages and it is very much affordable compared to other
players in the market.

SWOT Analysis: -

SWOT (strengths, weaknesses, opportunities, and threats) analysis is a framework


used to evaluate a company's competitive position and to develop strategic
planning. SWOT analysis assesses internal and external factors, as well as current
and future potential.

A SWOT analysis is designed to facilitate a realistic, fact-based, data-driven look


at the strengths and weaknesses of an organization, initiative, or within its
industry. The organization needs to keep the analysis accurate by avoiding pre-
conceived beliefs or gray areas and instead focusing on real-life contexts.
Companies should use it as a guide and not necessarily as a prescription.

A SWOT analysis is a tried-and-true method businesses use to identify internal


strengths and weaknesses and external opportunities and threats. The
assessment is included in any business or marketing plan worth its salt because
it provides critical information needed to create a strategic plan for growth.

number of segments. It has experimented in various areas of Strategy. The
Strategy & Execution solutions & strategies have helped Talent Serve App in
coming up with unique solutions to tap the un-catered markets.

Content is available in all types of formats like stories, visuals and theories
as well. Also available in regional languages. They provide a wide variety of
options to students.

Weaknesses
❖ Low Return On Investment – Even when the company has a strong balance
sheet, the return on investment is low due to the high expenses which it has
to incur.
❖ Bad Reviews – There are two sides to each coin. So, along with positive
reviews, there are also negative reviews by many customers who are not
satisfied with the service and find it expensive.
❖ Inventory Management – The company faces challenges with proper
inventory management.
❖ Less US Children Enrollments – The company wish to grow in the
International market but the number of US Children enrollments is declining.

❖ Increased Trend of Online Education – With the increase of e-commerce

affected due to Covid-19. It has given a great opportunity to Talent Serve to
increase its market as more and more people are dependent on online
education.

laid great emphasis on online education and the Govt. is completely
supporting it.
❖ Introduce Professional Courses – Currently, Talent Serve is only providing
classes for school students and preparation for competitive exams like JEE

and CAT. Further, it can provide classes in technical and professional
courses, extracurricular activities, coding, etc.
❖ Untapped Semi-Urban and Rural India – Talent Serve still had
opportunities for targeting major segments of India i.e. Rural and Semi-
Urban. These people are also adapting to the new trend.

Threats

❖ Business Model can be imitated – Talent Serve business model can be


imitated by new entrants quite easily. So, this is a threat to the company.

❖ Data Privacy – Data privacy is very essential for companies like Talent
Serve.

❖ Competitors – This being an era of online education, more and more


companies are coming into this sector. So, there is always a threat from
competitors and their strategies.

❖ Economic Recession – This is also the time of economic recession. People


are willing to spend low amounts of money and also on essential products.
So, they might not afford online classes for their children along with the
school going on.

The following are the Terms and Conditions (“Terms”) governing the use of our
Website www.talentserve.org , and our mobile application TalentServe App (“App”).
The Website and the App shall be collectively referred to as “TalentServe Platform”).
These Terms may be updated by us from time to time without notice to you, and the
Terms, as amended, shall apply to you. You can always review the most current
version of the Terms on the website and the App.

GENERAL TERMS

1. The domain name(“Website”) www.talentserve.org and the TalentServe App are


owned by TalentServe Technologies Private Limited, a TalentServe incorporated
under the laws of India with its registered office at C-103,1ST FLOOR, SHREE SAI
TOWER CHSL, SODAWALA LANE, NEAR STERLING HOSPITAL, BORIVALI WEST
MUMBAI-400092 (“TalentServe” or “us” or “we”)
2. The following terms shall mean:
1. “Aspirant/Candidate” shall mean any person who avails the Services by
viewing the Content available on the Website;

2. “Content” shall mean any and all content on and otherwise which are
uploaded by the experts and which are provided by TalentServe in
connection with the Website;
3. “Expert/Mentor” shall mean any person who avails the Services by
uploading any Content on the Website and providing assistance to the
Aspirants
4. “Privacy Policy” shall mean the Privacy Policy of the Website available at

5. “User” or “you” shall mean any legal person or entity accessing or using
the Website and/or the Services either as an Expert or as an Aspirant;

Mentors/Experts who is also contributors of Content on the TalentServe
Platform. The term User includes Mentors/Expert as applicable.

Privacy Policy are hereby incorporated into the Terms, and the User expressly
and unconditionally agrees to be bound by the same.
5. The User agrees and acknowledges that by accessing the Website through any
computing or mobile platform, the User has carefully read and understood the
Terms that govern the use of Services and is bound by the Terms for as long as
he or she is accessing or using the Services.
6. The Terms are subject to revisions at any time, as determined by us, and all
changes are effective immediately upon being posted on the Website. It is the

These Terms of Service forms an electronic contract within the provisions of the
(Indian) Information Technology Act, 2000 (“IT Act”) and the Rules made
thereunder and the amended provisions pertaining to electronic
documents/records in various statutes as amended by the IT Act, from time to
time. These Terms of Service do not require any physical, electronic, or digital
signature and These Terms of Service shall be a legally binding document
between you and the TalentServe.
10. In connection with your use of the Service, please review our Privacy
Policy, located at TalentServe Platform, to understand how we use the
information we collect from you when you access, visit or use the Service. The
Privacy Policy is part of and is governed by these Terms of Service and by
agreeing to these Terms of Service, you agree to be bound by the terms of the
Privacy Policy and agree that we may use information collected from you in
accordance with its terms.

ACCESS AND USE OF THE SERVICES

1. We provide Users with proper career guidance on our AI assisted video bot
platform by connecting through the website. The User is aware that any
information provided by us on the website is provided for information purposes
only and shall not be construed as a commercial offer or create any professional
relationship.
2. Subject to these Terms, Privacy Policy, and all other rules and policies made
available or published by TalentServe, TalentServe hereby grants you a non
exclusive, non transferable, limited license to use the TalentServe Platform in
accordance with these Terms.

1. The User may be required to register with the Website in order to access certain
features of the Services. If the User chooses to register for the Services, he/she
agrees to provide and maintain true, accurate, and complete information about
himself or herself as prompted by the Services registration form. Registration
data and certain other information about the User shall be governed by our
Privacy Policy. [Certain aspects of our Services may also require the User to
register with (and agree to the terms of) third party service providers in order to
utilize such Services. While we may help facilitate such registration in some
cases, we are not a party to any such relationships and disclaim any
responsibility or liability for the performance by such third parties. We may

2. You agree and confirm that you will never use another User s account nor
provide access to your account to any third party. You will be solely responsible

TalentServe immediately of any breach of security or unauthorized use of your
account. At no point in time will TalentServe be liable for any losses caused by
any unauthorized use of your account, you shall solely be liable for the losses
caused to TalentServe or others due to such unauthorized use if any.

MOBILE SERVICES

1. The User s wireless service carrier s standard charges, data rates, and other fees
may be applicable.

2. In addition, downloading, installing, or using certain mobile services may be
prohibited or restricted by the User s carrier; and not all mobile services may
work with all carriers or devices.

ACCURACY OF INFORMATION

1. Although we may post information and material on the Website based on


reliable sources, we do not make any express or implied representation,
warranty, or guarantee as to the accuracy, validity, reliability or completeness of
any such information.
2. The features and services on the Website are provided on an “as is” and “as
available” basis. We make no representation or warranty about the validity,
accuracy, correctness, reliability of any information provided on or through the
Website, including but not limited to blog contents.

MODIFICATIONS TO SERVICES

terminate any User s accounts, remove or edit contents without any notice to
you.
3. You agree to receive installs and updates from time to time from TalentServe.
These updates are designed to improve, enhance and further develop the
TalentServe Platform and may take the form of bug fixes, enhanced functions,

new software modules, and new versions. You agree to receive such updates
(and permit TalentServe to deliver these to you) as part of your use of the
TalentServe Platform.

THIRD-PARTY WEBSITES/SERVICES

1. The Services may provide or facilitate, or third parties may provide, links or other
access to other sites, services, and resources on the internet. We have no control
over such sites, services, and resources and we are not responsible for and do
not endorse such sites, services, and resources. The User further acknowledges
and agrees that we will not be responsible or liable, directly or indirectly, for any
damage or loss caused or alleged to be caused by or in connection with use of
or reliance on any content, events, goods, or services available on or through
any such site, service or resource. Any dealings the User has with third parties
while using the Services are between the User and the third party, and the User
agrees that we shall not be liable for any loss or claim that the User may have

ACCESS, PERMISSIONS, AND RESTRICTIONS

By using the TalentServe Platform and/or the Services, the User agrees not to
undertake certain activities which include but are not limited to:

1. Downloading or copying any kind of information for the benefit of another


individual, vendor, or any other third party;
2. Caching unauthorized hypertext links to the Website;
3. Uploading, posting, or transmitting any Content available through the Website
that he/she does not have a right to make available (such as the intellectual
property of another party;
4. Uploading, posting, or transmitting any material that contains software viruses
or any other computer code, files or programs designed to interrupt, destroy or
limit the functionality of any computer software or hardware or
telecommunications equipment;
5. Undertaking any action that imposes or may impose, in our sole discretion, an
unreasonable or disproportionately large load on our infrastructure;
6. Use of data mining, robots, or similar data gathering and extraction tools;
7. Bypassing any measures used by us to prevent or restrict access to the Website;
8. Using the TalentServe Platform or its Contents for any commercial purpose
including but not limited to (i) sale of access to the TalentServe Platform, (ii) sale
of advertising, sponsorships, or promotions placed on or within the TalentServe

9. Making any speculative, false, or fraudulent transaction or any transaction in
anticipation of demand;
10. Accessing, monitoring, or copying any Content or information on the

11. Transmit chain letters, bulk or junk email or interfere with, disrupt, or
create an undue burden on the Service or the networks or services connected to

In addition to the restrictions set out above, the following limitation and conditions
shall apply to your use of the Content.

limited to trademarks, service marks, and logos, processes, images, software,
graphics are owned by or licensed to TalentServe and subject to copyright and
other intellectual property rights under the applicable law.
2. The Content is provided to you on an as is basis. You may access the Content
solely for your information and personal use and as permitted under these
Terms. You shall not download any Content unless you see a download or
similar link displayed by TalentServe on the TalentServe Platform for such
Content.
3. You shall not copy, reproduce, make available online or electronically transmit,
publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise
exploit any Content for any other purposes other than as provided herein
without the prior written consent of TalentServe or the respective licensors of

4. You understand that when using the TalentServe Platform, you will be exposed
to Content from a variety of sources and by different Users and that TalentServe

rights of or relating to such Content. You further understand and acknowledge
that you may be exposed to Content that is inaccurate, offensive, indecent, or
objectionable, and you agree to waive, and hereby do waive, any legal or
equitable rights or remedies you have or may have against TalentServe with
respect thereto, and, to the extent permitted by applicable law, agree to
indemnify and hold harmless TalentServe, its owners, operators, affiliates,
licensors, and licensees to the fullest extent allowed by law regarding all matters
related to your use of the TalentServe Platform.

With respect to the Content uploaded by a User who is a Mentor, the following
conditions shall also apply.

1. You represent and warrant that you have all necessary permissions and
approvals for creating and submitting the Content and that the creation and
submission of the Content with TalentServe Platform will not be in
contravention to any contract signed by you. In no event shall TalentServe be
held liable if you fail to procure any permission or if you contravene any
contract with any third party
2. As a User, you may submit Content on the TalentServe Platform, including
videos and comments. You agree and acknowledge that TalentServe does not
guarantee any confidentiality with respect to any Content that you submit.
3. As a User, you may submit Content on the TalentServe Platform, including

4. You represent, and warrant that you own or have the necessary licenses, rights,
consents, and permissions to publish the Content that you submit.

party proprietary rights unless you have permission from the rightful owner of
the material or you are otherwise legally entitled to post the material and to
grant TalentServe all of the license rights granted herein.
6. You represent, warrant, and confirm that the Content uploaded by you is not: (i)
false, inaccurate or misleading, (ii) infringe any third party s copyright, patent,

trademark, trade secret, or other proprietary rights or rights of publicity or
privacy, (iii) violate any law, statute, ordinance or regulation, (iv) defamatory,
unlawfully threatening or unlawfully harassing, (v) obscene or contain
pornography and (vi) Contain any viruses, trojan horses, worms, cancelbots or
other computer programming routines that may damage, detrimentally interfere
with, surreptitiously intercept or expropriate any system, data or personal
information.
7. You undertake and confirm that you shall not during your use of the TalentServe
Platforms at any time post or publish any content, comments, or act in any way
which will amount to harassment of any User, whether an Aspirant or a Mentor.
If at any time TalentServe becomes aware that that you are engaged in any kind
of harassment of other Users, then in such a case TalentServe shall have the sole
right to suspend/terminate your account with immediate effect and without any
notice and we also reserve the right in our sole discretion to initiate any legal
proceedings against you in such cases.
8. TalentServe may at its sole discretion process any audio or audio visual content
uploaded by you to the TalentServe Platform to confirm if the same is in
accordance with TalentServe s quality requirements and if the same is
compatible with the TalentServe Platform.
9. TalentServe does not endorse any Content submitted on the TalentServe
Platform by any User or other licensor, or any opinion, recommendation, or
advice expressed therein, and TalentServe expressly disclaims any and all liability
in connection with the Content. TalentServe does not permit copyright
infringing activities and infringement of intellectual property rights on the
TalentServe Platform, and TalentServe will remove all Content if properly
notified that such Content infringes on another s intellectual property rights.
TalentServe reserves the right to remove any Content without prior notice if it
has reason to believe that such Content infringes any copyright.

TERMINATION

1. The User agrees that we may, in our sole discretion, suspend or terminate the
User s account (or any part thereof) or use of the Services and remove and
discard any Content within the Services, for any reason, including, without
limitation, for lack of use or if we believe that the User has violated or acted

inconsistently with the letter or spirit of these Terms. Any suspected fraudulent,
abusive, or illegal activity that may be grounds for termination of the User s use
of Services, may be referred to appropriate law enforcement authorities. The
User may also in its sole discretion and at any time discontinue providing the
Services, or any part thereof, with or without notice. The User agrees that any
termination of his/her access to the Services under any provision of these Terms
may be affected without prior notice, and acknowledge and agree that we may
immediately deactivate or delete the User s account and all related information
and files in his or her account and/or bar any further access to such files or the
Services. Further, the User agrees that we will not be liable to the User or any
third party for termination of the User s access to the Services.
2. Notwithstanding any other provisions of these Terms, or any general legal
principles to the contrary, any provision of these Terms that imposes or
contemplates continuing obligations on the User will survive the expiration or
termination of these Terms.
3. In case of a User s account or access to the Services, TalentServe reserves the
right, in its sole discretion, to withhold or stop any and all payments that are to
be made to such User. Payments shall only be made for all legitimate work that
is not the subject matter of any violation or dispute. Payments shall not be
made for the work that is the subject matter of any of the breaches. User access
shall be terminated immediately, and the User shall not be able to access the
said terminated account.
4. Any and all provisions related to or regarding Proprietary Rights, Limitation of
liability, Confidentiality, and Indemnification hereby survive any termination of
these Terms and Conditions or any termination of your use of or subscription to
the Services.

CONFIDENTIALITY

1. You will not without obtaining the prior written consent of TalentServe, disclose
to a third party any Confidential Information that is disclosed to you during the
term of your use of the TalentServe Platform.
2. Confidential Information shall include but not be limited to employee details,
User list, business model, processes, ideas, concepts etc. relating to TalentServe
or TalentServe Platform which are not available in the public domain. You
acknowledge and agree that the Confidential Information so provided to you
shall at all time be the property of TalentServe and any breach of the same shall
cause irreparable damage to us.

GOVERNING LAW AND DISPUTE RESOLUTION

1. Initial Resolution. We are available by email at hello@talentserve.org to address


any concerns you may have regarding your use of the Service. Most concerns
may be quickly resolved in this manner. Each of you and the TalentServe agrees
to use best efforts to settle any dispute, claim, question, or disagreement
directly through consultation and good faith negotiations which shall be a
precondition to either party initiating a legal proceeding.
2. These Terms shall be governed by and construed and enforced in accordance
with the laws of India. Subject to other provisions in this section, courts in
Mumbai shall have exclusive jurisdiction over all issues arising out of these
Terms or the use of the Website.
3. R Any controversies, conflicts, disputes, or differences arising out of these Terms
shall be resolved by arbitration in Mumbai in accordance with the Arbitration
and Conciliation Act, 1996 for the time being in force, which is deemed to be
incorporated by reference in this section. The tribunal shall consist of 1 (One)
arbitrator. The language of the arbitration shall be English.
4. The parties to the arbitration shall keep the arbitration confidential and not
disclose to any person, other than on a need to basis unless required to do so
by law. The decision of the arbitrator shall be final and binding on all the Parties
hereto.
5. Each party to the arbitration shall bear its own costs with respect to any dispute.

REFUND POLICIES:

If for any reason and at any time the student withdraws from the TalentServe
Program, then, the Student shall be under an obligation to provide the Company and
the Company Agent with prior written notice of 10 (ten) days notice of such
withdrawal from the TalentServe Program and the effective date of such withdrawal
thereto. The following conditions shall apply in case of withdrawal by the Student
from the TalentServe Program within 7 (seven) days of commencement of the
TalentServe program, the Student is liable for the cost of training and support
received, and no refund of tuition fee shall be processed. If the student drops out
after 7 (seven) days after commencement of the TalentServe Program, then, in such
case, the Student shall be liable to fulfil all their payment obligations and other terms
and conditions as set out in this Agreement. For the avoidance of doubt, it is hereby
clarified that the Payment Term shall commence from the date the Student leaves the
TalentServe Program.

such as the United States and Israel, whose laws may differ from the jurisdiction in
which you live. Whether to third parties or internally, any transfers of personal
information from the European Economic Area (“EEA”) to countries not deemed to
provide an adequate level of data protection are governed by European Union (EU)
standard contractual clauses and/or equivalent data transfer regulations to protect the
security and confidentiality of personal information. We will take all steps reasonably
