This Memorandum of Agreement is made and entered this August __, 2023 by and between:

The Biology Major Students’ Society – Batangas State University, represented by the Vice
President for External Affairs, John Richmond B. Gloria, hereinafter known as BioMaSS
And
The [Name of Partner's Organization], represented by the, [Position], [Name of
Representative], hereinafter known as [Other name for Partner's Organization]

Now, for and in consideration of the foregoing conditions, the parties hereto agree to the following:
I. Roles and Responsibilities of both organizations:
 The BioMaSS shall provide the following:
o Large inclusion of the partner’s logo on all teasers of the event.
o Acknowledge the partner before and after the event by indicating “Co-
presented by...” on all posting of publicity materials.
o Provide 15 unique likes on the partner’s official Facebook page.
o Provide 10 follows on either partner’s Instagram or Twitter.
o Cross-posting of 2 of the partner’s Facebook posts on BioMaSS
Facebook Page.
o Provide a Certificate of Recognition for partner’s organization after
fulfilling all
their duties.
o Provide a Partnership Tracker.

 The [Name of Partner's Organization] shall provide the following:

o Provide 15 likes and shares on (n) publicity materials related to the
event
o Provide 15 likes and shares on (n) publicity materials related to the
event
o Provide 20 unique likes on the BioMaSS Facebook Page
o Fulfill the partnership tracker
II. Promotional Limitation
Neither BioMaSS nor [Partner's Organization name] shall be permitted to employ the other
party's corporate or trade name, trademark(s), logo(s), or other identification after the
partnership agreement unless the other party gives written consent.

III. Termination of Agreement

Either intention to terminate this MoA and any related agreements at any time and for any
reason by having provided the other party with written notice 10-15 days prior to the
event.Unless otherwise caused by an unanticipated circumstance, either BioMaSS or
[Partner's Organization name] may terminate this Agreement - in whole or in part - by formal
notice if either party fails to perform any of the provisions set forth herein.
IV. Force Majeure
Neither party will be held liable to the other for any failure or delay in performing its obligations
under the Memorandum of Agreement caused by a Force Majeure event. Each party is advised
to continue to fulfill its duties by means of reasonable efforts; under the agreement for the
duration of a Force Majeure event. If a Force Majeure event prevents a party from performing
its obligations under the agreement for more than 15 consecutive calendar days, the other
party may terminate the agreement with immediate effect by giving the other party written
notice.

V. Amendments
All amendments or revisions towards this Agreement must be in written form and signed by the
same signatory representatives, with the mutual consent of the parties. If an unforeseeable
event occurs that necessarily requires amendments, either party may initiate them.

VI. Entire Agreement

This Memorandum of Agreement contains the parties' entire understanding regarding the
subject matter contained herein and supersedes all prior agreements, arrangements,
communications, or representations, whether oral or written. In addition, the parties expect this
Agreement to constitute a complete and final representation of their understanding of the
subject matter covered by it. This Agreement may not be amended, altered, modified, or
changed unless both parties sign a written document. All prior agreements and understandings
between the parties on this subject are superseded by this Agreement.
HEREBY, the parties bind themselves to the above terms and conditions which shall be
effective on the date this contract is signed.
