I, MANILYN CASTAÑEDA, Filipino, of legal age with address at Basdiot,

Moalboal, Cebu after having been sworn to in accordance with law, hereby
certify, as follows:

I am the Corporate Secretary at SMOOTH MORNING GRIND

CORPORATION (the “Corporation”), a corporation duly organized and existing
under Philippine laws with principal office at Panagsama Road Building and Lot
No. 1056 Basdiot, Moalboal, Cebu.

According to the corporate records, a special meeting of the Board of

Directors of the Corporation was held on 14 January 2019 at its principal office,
with prior notice given to all directors and duly called for the purpose, and which
a quorum was reached and acted throughout, the following resolution was
passed and duly approved:

BOARD RESOLUTION
No. 1- 2019

WHEREAS, the Board of Directors has deem it proper and necessary for
the Corporation to open a Bank Account for its business operations;

RESOLVED, as it is hereby resolved, that the Corporation shall open

and maintain a local current account at PHILIPPINE NATIONAL BANK (PNB)
located at G/F, Stall MBL-GFS 7, 8, & 9, Gaisano Grand Mall, Poblacion
East, Moalboal, Cebu, 6032.

RESOLVED FURTHER, the Corporation hereby designates and

authorizes its Liaison Officer, MR. CHRISTIAN JOSEPH INDINO, to be the
representative of the Corporation in all dealings and transactions in the process
of opening a bank account with power to sign, execute, and deliver documents
as may be required, and to perform any other acts as may be necessary or
appropriate to effect the foregoing;

RESOLVED FURTHER, the Corporation hereby designates MR. MARC

BOISSY-PROULX, whose specimen signatures are indicated below, as the
signatory for the said bank account;

RESOLVED FINALLY, this authority/board resolution shall serve as a

Special Power of Attorney in favor of MR. CHRISTIAN JOSEPH INDINO, and
to reconfirm that he is authorized to represent and perform the abovementioned
acts.

The abovementioned resolution is true and correct copy of its original

contents in my possession and have not been revoked or amended up to the
present.
