Assignment Contract for Wholesale of Manufactured Home

This Assignment Contract (the "Agreement") is made effective as of

hereinafter referred to as "Assignor", and _____________________________, hereinafter
referred to as "Assignee".

Whereas, Assignor has entered into a Purchase Agreement dated

(hereinafter referred to as the "Manufactured Home"), which is considered personal

property;

Whereas, Assignor wishes to assign, transfer, and convey to Assignee all rights, title,
and interest in the Purchase Agreement and the Manufactured Home;

Whereas, Assignee wishes to accept the assignment, transfer, and conveyance of such
rights, title, and interest in accordance with the terms and conditions set forth herein;

Now, Therefore, for and in consideration of the mutual covenants contained herein and
other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties hereto agree as follows:

Assignment. Assignor hereby assigns, transfers, and conveys to Assignee all of

Assignor's rights, title, and interest in and to the Purchase Agreement and the
Manufactured Home, subject to all terms and conditions of the Purchase Agreement.

Consideration. As consideration for this assignment, Assignee shall pay to Assignor the
sum of $___________________, payable as follows:_________________________________

Assumption of Obligations. Assignee hereby accepts the assignment and agrees to be
bound by all terms and conditions of the Purchase Agreement, and to fulfill all
obligations of the Assignor under the Purchase Agreement.

Representations and Warranties. Assignor represents and warrants that it has the legal
right to enter into this Agreement and that there are no encumbrances on the
Manufactured Home that would impair Assignee's rights.

Governing Law. This Agreement shall be governed by and construed in accordance with

Entire Agreement. This Agreement constitutes the entire agreement between the
parties concerning the subject matter hereof and supersedes all prior agreements,
understandings, negotiations, and discussions, whether oral or written.

Amendments. No amendment, modification, or supplement of any provisions of this

Agreement shall be valid or effective unless made in writing and signed by all parties.

Severability. If any provision of this Agreement is held to be invalid, illegal, or

unenforceable, the remaining provisions shall remain in full force and effect.
