MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (the “MOU”) is entered into at Jaipur on


this ___ day of ________, 2017 between:

Mr. Dharasingh Meena S/o Shri Harchand, aged about ____ years, R/o
______________________________ hereinafter referred to as “the Party of the
First Part” [which expression shall, unless the context otherwise requires, deem
to include its successor(s), and permitted assign(s)].

AND

M/s ___________________________, a company incorporated and existing under


the laws of India, having its corporate office at __________________________,
hereinafter referred to as “the Party of the Second Part” through its Authorised
Signatory Mr. ______________ [which expression shall, unless the context
otherwise requires, deem to include its successor(s), and permitted assign(s)].
Hereinafter the Party of the First Part and the Party of the Second Part shall
jointly be referred to as “the Parties” and individually as “the Party”.
WHEREAS

1. The Party of the First Part is the sole owner of land situated at Khasra No.
642, 643, 536, 586, 587, 589, 639, 640, 644, 645, 646 and 647, village sherpur,
Dist. Sawai Madhopur, Rajasthan totally admeasuring around 3.20
hectares (hereinafter referred to as “the said land”). The said land was
converted for non-agriculture purpose vide conversion order dated
09/03/2017.
2. The Party of the First Part has agreed to lease out a total area of 10/13
Bighas from the said laid to the Party of the Second Part and in return, The
Second Part has agreed to pay a sum of Rs. ___________ as
monthly/annual rentals.

Thus the Parties have decided to enter into a Memorandum of Understanding


(hereinafter called as “MoU”) in this regard on the below mentioned terms and
conditions.

NOW THIS MOU WITNESSTH AND IT IS HEREBY AGREED AND


DECLARED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

1. That the Party of the First Part and the Second Part have mutually agreed
that the said land shall be leased out to the Second Part for a period of 25/30
years.

2. That the Parties have agreed that after expiry of the First term of 25/30 years,
right for extension of another term shall be first given to the Second Part.

3. That it has been agreed between the parties that the lease rent shall be
payable @ Rs. 2,00,000/- (Rupees Two Lakh only) per Bigha per annum.
Further, the lease rent shall be paid by the Second Part on advance basis for
six months to the First Part.

4. That any lease rent escalation shall not take place before the expiry of 3/5
years from the date of commencement of lease. The base lease rent will be
enhanced by 5% (five percent) at the end of 3/5 years and shall further
enhance by 5% (five percent) at the end of every 3/5 years.

5. That the First Party agrees to have received an amount of Rs. _____________
as token amount by the Second Party.

6. That the First Party hereby grants the right to the Second Party to assign or
sub-lease the said land or any part thereof to any entity for a lawful purpose,
to enhance the future business options.

7. That now the Party of the First Part undertakes to fully support the Second
Party to undertake the approvals and development of the said land and shall
not create any hindrance and/or encumbrance with respect to the said Land.

8. That the possession of the said land will be given by the First Party to Second
Party on the date of execution of lease deed.

9. That the Party of the Second Part will demarcate the area admeasuring 10
Bighas from the said land during the due diligence period.

10. That the Party of the First Part has agreed to hand over all relevant title
documents in favour of Party of the Second Part and also execute a Power of
Attorney in favour of the Second Party to obtain all permissions, approvals,
NOCs for the development of the said land.

11. That the Parties have agreed that the lease deed will be executed within 30
days from the date of this MoU. Further, the registration charges of the lease
deed shall be divided equally between the parties.

IN WITNESS WHEREOF the parties hereto have set and subscribed their
respective hands on the day and year first above written.
