Memorandum of Understanding between

Nisai Group Ltd (NISAI), Milton Road, Harrow, Middlesex, HA1 1XB

And

National Open College Network (NOCN), Acero Building, 1 Concourse Way, Sheaf Street,
Sheffield S1 2BJ

And

Southeast Asia Research Association of Vietnam (SEARAV), Level 3, Song Hong Building, 68
Le Van Luong, Nhan Chinh Ward, Thanh Xuan District, Hanoi

Nisai Group is a collective of educational organisations that work towards the common goal
of making education accessible to all. With the ability and experience of working with
learners aged from childhood through to adulthood, Nisai Group is internationally recognised
for the work they have done with various cohorts including those with Special Education
Needs. The sole purpose of Nisai is to ensure every person has access to education,
particularly those who struggle to access mainstream learning. At Nisai’s core is the Nisai
Virtual Academy – the UK’s only Ofsted inspected online school and with a grading of ‘Good’
Nisai is the only online provider included in the Secretary of State’s Section 41 list of approved
providers.

National Open College Network – NOCN is a market-leading international Awarding


Organisation (AO) and Government-approved End Point Assessment Organisation (EPAO)
that has been creating opportunities for 30 years. NOCN Group includes NOCN, NOCN India
Skills Foundation, CSkills Awards and One Awards.

We are trusted and recognised by employers, training providers and learners in the UK and
internationally, to provide a high quality, flexible service and we believe passionately in the
power of education and its impact on communities and individuals. As a progressive
educational charity with a social rather than commercial focus, we are at the forefront of
vocational skills development and apprenticeships, including the introduction of the
Apprenticeship Levy in the UK.

South East Asia Research Association of Vietnam – SEARAV is operating nationwide and
participating actively and effectively in all fields of science research, science technology
services, education and training, culture, healthcare, natural resources and environment
protection, relief, poverty reduction and community development assistance.

They have provided employment for thousands of workers and made convincing
contributions to the socialisation cause launched by the Vietnam Communist Party and the
State. The people and the international friends have highly appreciated those achievements
and contributions. It is likely to be said SEARAV has secured a firm foothold as a social
professional organisation through its meaningful and fruitful contributions to the society.

Aims

The core aim of this agreement is to agree the involvement of the above parties in the
delivery, assessment and examination of International ESOL programmes to the Vietnamese
market: The offer is made up of the following points:

• Support each other through the sharing of expertise, Nisai in the field of online
delivery, NOCN as an internationally recognised awarding body and SEARAV with
knowledge of the Vietnamese market.
• NOCN to act as the awarding body
• NISAI, where required to deliver International ESOL to the Vietnamese market
• SEARAV to facilitate the assessment and examination process
• Parties to the agreement to agree ongoing meetings on a monthly basis to discuss
progress and required support
• Exploit, for mutual benefit the unique opportunities offered by the support networks
and profiles of NISAI, NOCN and SEARAV
• Endorse and support the use of the expertise of all parties, through profiling good
practice through their respective networks
• To develop networking groups and events to promote the offering of all parties to
potential commissioners across the local region
• Nisai to provide ongoing support to
• All parties to collaborate to produce joint digital marketing material for the purposes
of promotion
• The use of company logos is agreed between all parties subject to joint sign off of any
marketing material

Agreement of Joint Activities


This memorandum of understanding does not preclude additional activities requiring specific
contractual arrangements occurring between NISAI, NOCN and SEARAV.

Regular meetings
NISAI, NOCN AND SEARAV agree to meet regularly to plan collaborative working and review
progress.

Funding arrangements
Financial responsibilities and arrangements for initiatives requiring funding will be mutually
agreed by NISAI, NOCN AND SEARAV

Intellectual property rights (IPR) and copyright


Ownership of copyright and related intellectual property ownership issues will be decided
prior to the commencement of each joint activity.

Confidentiality

The subject matter of this agreement and all negotiations pertaining to it shall be deemed to
be ‘Confidential Information’ for the purposes of this clause.

Save as may be required by law, each Party (the ‘Receiving Party’) undertakes to the
other Party (the ‘Disclosing Party’):

(a) to keep all information disclosed by the Disclosing Party secret at all times

(b) not by any means to disclose information disclosed by the Disclosing Party or allow it
to be disclosed in whole or in part to any third party without the Disclosing Party’s prior
written consent

(c) not to use information disclosed by the Disclosing Party in whole or in part for any
purpose except as expressly permitted by the other party (such consent must be evidenced
in writing); and

(d) to take all proper and reasonable measures to ensure the confidentiality of information
disclosed by the Disclosing Party.

Neither of the Parties shall publish any external advertising and publicity relating to this
agreement, any co-operation between them or any programmes of study or other
educational provision which may be the subject matter of such co-operation (including any
web-based advertising and publicity), unless the Parties have both agreed in writing the form
and content thereof.

General
This memorandum of understanding serves to record the understanding between NISAI,
NOCN and SEARAV. It will guide the relationship between all parties and will remain in effect
for the period stated. Any party may terminate the memorandum of understanding by service
of a ninety (90) days written notice to the other party. The withdrawal of this memorandum
of understanding will not affect the conclusions of projects formalised prior to service of any
such notice. Both parties agree to co-operate in relation to the completion of existing
projects.

This memorandum of understanding may be amended by the written agreement of NISAI,


NOCN and SEARAV.
