I make reference to our virtual meeting held 11 March 2021 and the subsequent conversations
on the subject. In confirmation the Project Management Office will be under the Architect’s
Office.

Terms and Conditions of Engagements

The commencement of the services will require the-


 Signing memorandum of agreement (MOA) as the standard conditions of engagement to
the contract as commitment to the project by both parties.

 The project will be defined by confirmation of the feasibility study, brief and preliminary
design approval. The Program development will guide the critical timelines which
includes- planning, progress approvals, financing and budget approvals and marketing.

 There are initial project costs which are required to be met by the project inception
being:
1. Project promotion and documentation costs
2. Telephone and email costs
3. Travelling costs – Site Visit, Marketing and presentation programs
4. Research Costs
5. Machine Costs- maintenance of computers
6. Brief and Preliminary Design costs upon approval of project

 Architect proposes a care-taker budget that should manage the identified


disbursements when needed. The expenses will then be absorbed into the bigger
budget expenditure upon final budget approval. The disbursements could be in the form
of fixed monthly payments based on time charges measured on cumulative hours spent
on the project.
 In the event of being disengaged from the project for whatever reason the terms and
conditions stated in the memorandum of agreement shall apply. All fees for work done to
date will be settled in full at the applicable fee condition in accordance with the standard
conditions of engagement governing the respective engaged disciplines. COMMENT

Full design program requires at least 6 -12 months continuous input before tender.

1.0 Appointments

The items below make the minimum general acceptable conditions of engagement for all the
disciplines:

 Letter of commissioning of Project Architect and other consultants


 Detailed brief
 Site Plan- as mentioned
 Proposed Budget expenditure

Our reference point will be the architect’s appointment form on conditions of engagement and
the relevant applicable statutory conditions on fee charges as guided by the listed terms in the
recommended client/architect memorandum of agreement. In addition all other disciplines have
their own respective memorandum of agreements.
The contractual obligation between all parties will be made complete upon signing of the
respective agreements.

2.0 Professional Fees

All professional fees are guided by the cost of the project and slide accordingly to the cost of the
final project completion. It therefore implies that all fee claims issued and paid for in the course
of project development are interim and will be adjusted on final account of the project
completion.

Basis and Fee Structures

a) All Professional Fees are derived as follows –


Project Cost = $xy
Total Projected Professional Fees = +/-21% of $xy
Total Project Cost = +/-21% + $xy

b) The break down on professional fees for each discipline is as follows:

1.0 Architect = 6-12% (depending on project


category) of project cost
2.0 Quantity Surveyor = 3% of project cost
3.0 Engineers (all) = 9 % of project cost
4.0 Specialist Consultants = 3% of project cost – if need be

Sum Total = +/- 21 %

c) The payments for all disciplines are made as follows-


Preliminary design = 25% of estimated fees
Design/Working Drawings = 50% of estimated fees
Supervision = 25% of estimated fees
Sum Total = 100%

These are basic minimum charges which exclude disbursements which are out of pocket
expenses. All fees are paid on current cost estimates after the completion of each relevant
stage. They also vary according to the level of input by each relevant consultant.
Disbursement charges will be done separately and these include incidental expenses, prints,
plotting costs, photocopying, research material and any excessive phone calls if applicable. All
claims are paid on presentation as stipulated in the appointment agreements (ps note-monthly
payments can be negotiated and agreed on).

3.0 Duties of the Professional Team

The specific duties of the professional team on the project will be as follows:
Specialist Services- carry out feasibility studies for the client that involves preliminary technical
or economic appraisal of the project to enable the client to make informed decision on whether
to proceed or abandon the project. This stage involves the making of the master-plan entailing a
separate charge.

Stage One- to hold and produce preliminary design work for the client to determine
requirements and scope of commission excluding the master-plan.
Stage Two- prepare detailed brief outlining planning requirements necessary for any specialist
involvement where necessary, advise client on planning requirements and detailed building
development necessary for approvals and setting any financial limitations by the client.

Stage Three - prepare detailed design or working drawings for tender stage or contract.
Stage Four- tendering and supervision of construction work and presentation of final account.
Stage Five- handover and commissioning of the project.

4.0 Professional Liabilities

All consultants carry professional liabilities within their duties. It is their responsibility to uphold
professional ethics in the course of execution of their services to the client as entailed in their
codes of conduct. The architect carries unlimited design liability as long as that defect is proven
so will be the liability. The rest of the team carry liability that span for 5/6 years of the building
liability period. Professional Fees are remunerations to the rendered services.
