THIS INDENTURE made the day of Two Thousand
and twenty one BETWEEN MARGARET MWANSA of Lusaka in the
Lusaka Province of the Republic of Zambia (hereinafter called “the Vendor”) of the one
part and MUNDAWANGA HOLDINGS LIMITED a company incorporated in Zambia
and having its registered office at Lusaka in the Lusaka Province of the Republic of
Zambia (hereinafter called “the Purchaser”) of the other part. 3

WHEREAS

1. MWAMI MWANSA (hereinafter called “the deceased”) was a tenant or lessee of


ALL THAT the property described in the schedule hereto (hereinafter called “the
property”) for the unexpired residue of a term of One Hundred years from the first
day of July One Thousand Nine Hundred and Seventy- Five created by the Land
(Conversion of titles) Act, 1975 at a rent reserved SUBJECT TO the covenants
terms and conditions contained in Part 11 of the Lands (Conversion of titles) Act,
1975 and SUBJECT TO the covenants and conditions contained in part 1 of the
first schedule to the land (conversion of Title) Regulations 1975 and SUBJECT to
the exceptions and reservations restriction and restrictive covenants and
indenture of Grant final Title made between His Majesty of one part and Thomas
Miller of the other part and dated 22 day of March 1927 so far as the same are
still subsisting and affect the said property AND SUBJECT ALSO to the
restrictive covenant and right of way contained in the indenture of conveyance
made between Margaret Mwansa of the first part and Mundawanga Holdings
Limited of the other part dated 13th September 2022. 5
2. On the fifteenth day of September Two Thousand and Twenty-Two, the
Deceased died Intestate and the High Court of Zambia through the probate
registry issued a Grant of letters of Administration to the Vendor. 5
3. The vendor has agreed with the purchaser for the sale to the purchaser of the
said property subject aforesaid but otherwise free from encumbrances at the
price of Two Million Kwacha (K2 000,000.00). 5
4. The necessary consent in writing to the Assignment hereby made has been duly
obtained
NOW THIS DEED WITNESSTH as follows:

In pursuance of the said agreement and in consideration of the sum of Two Million
Kwacha (k2 000,000.00) paid to the vendors by the purchaser (the receipt whereof the
vendor hereby acknowledges) the vendor as personal representative HEREBY
ASSIGNS unto the purchaser ALL that the property more particularly delineated and
described in the schedule hereto SUBJECT TO the right of way contained in the said
indenture of conveyance made between Margaret Mwansa of the first part and
Mundawanga Holdings Limited of the second part 13 th day of September 2022 TO
HOLD the same unto the purchaser for the residue of the said term one hundred (100)
years SUBJECT to the payment of the yearly rent and the lessees covenants and
conditions prescribed in respect thereof.3

The Purchaser HEREBY COVENANTS with the Vendor that he will hence fourth
during the continuance of the said term pay the rent reserved when becoming due and
observe and perform the covenants, terms and conditions contained in the lease and
keep the vendor indemnified against all proceedings claims, damages, costs and
demands whatsoever arising on account of the purchaser’s breach of the condition to
pay the said rent or failure to observe the said covenants terms and conditions. 5

IN WITNESS whereof the Vendor has set his hand and seal and the Purchaser has
caused its common seal the day and year first before written. 5

THE SCHEDULE hereinbefore referred to:

ALL THAT piece of land in extent Two Thousand (2000) square meters more or less
being Plot No. 139/19 situate at Lusaka in the Lusaka Province of the Republic of
Zambia which piece of land is more particularly delineated and described on Diagram
No. 2020 of 1987 annexed to the certificate of title issued in respect of this land
EXCEPT and RESERVED all minerals oils precious stones whatsoever upon or under
the said land.5
