Formation Of LLC in Delaware;

Delaware is also an “anonymous LLC” state

Essential Requirements:

1)Choose an LLC Name:

Your LLC name must contain "Limited Liability Company" or its abbreviation ("LLC" or "L.L.C."). It
cannot be deceptively similar to existing business names. You can do a free name search on the
Delaware Division of Corporations website

2)Appoint a Registered Agent:

Every Delaware LLC needs a registered agent who has a physical address in Delaware and is
available during business hours to accept legal documents on the LLC's behalf. You can act as your
own agent or hire a registered agent service.

3)File a Certificate of Formation:

This document officially forms your LLC with the Delaware Division of Corporations. It requires the
LLC name, registered agent information, and signature of an authorized person.

4)Federal Employer Identification Number (EIN):

An EIN is not mandatory for single-member LLCs with no employees, but it's highly recommended. It
allows you to open a business bank account, hire employees, and file federal taxes. You can obtain
an EIN for free from the IRS website.
