This Joint Venture Funding Agreement of EURO (EURO) against the RMB (Hereinafter
referred to as “Agreement”) is entered into and executed on this day the January 22, 2024,

is ready, willing and able to provide genuine, tax paid Euro, clean and clear and none of criminal
origin, to “Party B” and provides his Bank Deposit Account, with Banking details attached hereto
as Appendix A.

WHEREAS, , “Party B” confirms with full corporate authority and legal responsibility, that
he is ready, willing and able to arrange good, clean and clear, tax paid and of non criminal
origin RMB to “Party A”, and provides his Banking details attached hereto as Appendix A.

NOW THEREFORE, In consideration of the mutual interests and covenants, the

parties hereby confirm with full personal and corporate and legal responsibility, under penalty
of perjury, and unconditionally agree to the following terms and conditions stipulated
hereunder:
因此现在考虑到双方的利益和盟约,双方在此确认充分的个人和公司合法法律责任,根据伪证处罚法律无条

1. SPECIFICATION 概要
“Party A” Currency : Euro – Legal tax paid currency in the bank of GER

“甲方”的货币 歐元 : 在德國的银行的完稅的合法货币。
“Party B” Currency : RMB –Legal tax paid currency in the bank.

“乙方”的货币 人民币 : 在银行完稅的合法的货币。

Quantity : Euro Ten Million (10M) total .

Price ： 18%+1.5%+1.5%=21%

The Consultancy Fee：3% SHARE (1.5%-PROVIDER SIDE, & 1.5%-RECEIVER SIDE)

Exchange Quantity : as per the contract

Relating Expenses : As APPENDIX L from “Party A’s” account

Exchange Rate : According to The middle price of the Banking Exchange Rate
between Euro and RMB of the transaction day of HSBC UK.
兑换率 : 按英國上海汇丰银行有限公司当天挂牌价以歐元对人民币的中间价。
Process Location : HSBC, GER BANK PLC.
作业位置 : 德國上海汇丰银行。
Payment : On a Bank to Bank wire transfer basis.
付款方式 : 以银行对银行 TT 匯款的方式。

2. ATTESTATION 表述
1 、 “Party A” and “Party B” are entitled to enter into this Joint Venture Funding Agreement.
“Party A” is able to provide Euro to “Party B” and receives RMB payment from ” Party B”
“甲方”和“乙方”有权签订资金合作协议书。“甲方”是能够提供歐元给“乙方”,并接收“乙方” 的人民币付款。

2、“Party A” transfers the funds to “Party B’s” bank account and “Party B” transfers the funds
to “Party A’s” appointed RMB bank account

“甲方”把款汇入“乙方”在银行账户上,而“乙方”必须将款汇入到“甲方”银行人民幣账户上。

3. PAYMENT 付款
1) “Party A” makes payment of EURO Ten Million (10M) to “Party B’s” bank
account. “甲方”付款壹仟(10M) 萬歐元到“乙方”的账户上。

2) “Party B” makes payment of YMB currency which is equivalent to Euro Ten

Million (10M) to “Party A’s” bank account. “乙方”付款以等值壹仟(10M) 萬歐元
的同等值人民币存入 “甲方” 的账户上。
4. PROCEDURES 程序
1) “Party A” and “Party B” sign this Agreement face to face signatures or digital
signatures are deemed acceptable to both parties.
双方签此协议可以面对面方式签字或网签，二者均是可确认接受的方式。
2) Thereafter “Party A” and “Party B” lodge the signed Agreements to their respective
banks.
双方将签署的协议各自放入各自的银行。
3) Thereafter within Seventy Two(72) hours after verification of the fund of Ten Million
Euro transferred to "Party B's" account, “Party B” shall transfer of the funds of RMB
currency which is equivalent to agreed Tranche of Euro to “Party A’s” bank account
in agreed by both parties according to the time table, and “Party B” shall
immediately hand over the original receipt of transfer to “Party A” as evidence. 随后
当壹仟萬歐元按交貨時間表分批次转账入“乙方”账户并予以完全核实后的七十二个小时内, 依据双
方同意, “乙方” 将每批次等值歐元的人民幣元存入“甲方”银行账户上。并同时递交银行入账单原件
给“甲方”作为凭证依据。
4)The Consultancy Fee for all paymasters of beneficiaries will be paid by Party B at the same
day when Euro fund is transferred from Party A, according to the Irrevocable Consultant Fee
Payment Order as per transaction Code : ******** clear every traches accordingly.
依照交易代码: ********不可撤销佣金保障协定, “ 甲方”在汇入歐元资金后, 乙方将顾问费转进各中介及
顾问之帐户。批结批清。
6 ） The remaining of tranche will be followed in accordance with the schedule of delivery as
Appendix F until a total fund of Two Hundred EURO has been exhausted as per Transaction
Code: ******** . Party A will return the copy of Party B’s cheque to Party B and grantee there
is no other copy. Following transactions will be carried out according to the same procedures. ,
until the agreement reached between both parties after the delivery of the commodity of Ten
Million EURO has been completed as per Transaction Code: ********
剩余之批次将依照兑换的时间表如 附錄 F,直到交易代码: ******** 的资金已完全耗尽为止。届时，甲方

Each party represents and warrants under risk and penalty of perjury that the
respective parties are ready, willing and able (RWA) to perform the respective
obligations of each party to this agreement and that the mutual considerations, which
include the currencies to be exchange are good, clean are of non-criminal origin and are
free and clear of all liens and encumbrances.
双方声明并保证根据风险和伪证处罚法的有关条例双方都已准备好了,愿意和能够履行各自的义务,在
此的每一方对本协议的条款都已认真研读和仔细考虑过,其中包括现金交易的完好洁净的、无犯罪来源的,
并且对所有优先权和抵押权是自由和干净的。
7. CONFIDENTIALITY/NON-CIRCUMVENTION 保密条款
All parties, including “Party A” / “Party A’s” Mandate, “Party B” / “Party B’s” Mandate and
any and all representatives, consultants and intermediaries involved in this transaction
shall agree to act in complete confidentiality and shall not disclose the Agreement to any
other party except on a need to know the basis and shall strictly observe the rules of the
International Chamber of Commerce, Paris, France, latest edition, related to Non-
Circumvention and Non-Disclosure. This shall be valid for five (5) years.
在此所有各方,包括“甲方”/“甲方”的委任方,“乙方”/“乙方”的委任方和任何参与这交易各方的所有
代表、顾问和中介机构应完全同意,并确保完全保密和不得透露协议的第三方,除非需要知道的基础上,并
应严格遵守法国巴黎国际商会最新版的严格规定和有关保密和不予披露的条款,此有效期为五(5)年。

8. OTHER CONDITIONS 其它条件

1 Both parties agreed that only both parties' bank officers can communicate with
each other except those communications are allowed by both parties. In the event any
third party person of either party communicates with other party's bank officer, this
Agreement shall be automatically terminated.
双方同意只有双方的银行官员可以相互沟通, 除在本协议中所指明的方式。在发生任何一方的第三者与
另一方的银行官员沟通，本协议将自动终止。

2 To coordinate between the representatives of the two parties and to inform

the status report between the Banks of the two parties must be presented by paper
work.
有关此交易之进行情况,包括买卖双方之代表之协商, 银行的汇报 ，需用文字方式进行。
3 When the transaction requires confirmation of “Party B”s financial ability, “Party A”s
bank and officials have the right to verify the confirmation of “Party B”s guarantee in a
bank office to banker manner. “Party B”s bank office shall assist.
当交易进行需确认”乙方”之财务能力时，"甲方"银行官员有权以银行官对银行官的方式核实乙方担保
物的证实性，乙方银行官应与协助。
4 “Party A” and “Party B” accepted all legal responsibility of the source of funds
for the
transaction of the agreement as per Transaction Code: ******** , under the laws of HK.
“甲方”和”乙方”接受交易代码: ******** 每壹笔所有资金来源的合法性,并根据香港法律的规限下负责
承担所有的法律责任。

part of this Agreement:

All signatories hereto acknowledge that they have read and each party fully understands the
terms and conditions contained in this agreement and by their initials and signature hereby
unconditionally agree to its terms as of the date noted herein.

签署，特此无条件同意在此日期签署的所有的条件和条款。
