Sub: Appointment of Authorized Consultant & Payment of Consultancy Fees for Services rendered

We would like to inform you that we, M/S S.K. Chaudhary Enterprises have appointed your company, M/s
SPD Green India (CONSULTANT), as our Authorized Consultant to assist us in project procurement activities
and provide us consultancy services.
CONSULTANT will assist us in Business Identification, Negotiation, Finalization & all other project- related matters
as our authorized consultants. We, S.K. Chaudhary Enterprises shall provide remuneration by way of Consultancy
Fees and all prevalent Government and local taxes and levies, to CONSULTANT as decided and documented in the
Project Agreement for “Hiring of HEMM for removal of OB, extraction and transportation of coal (including
crushing) with firefighting from Khudia, Palasia, GP Top, GP Bottom, BP Top, BP Bottom & Kalimati seam at
Basantimata Dahibari Patch-B of Basanti Mata-Dahibari colliery, CV Area." (BCCL) Project Value as per
WO/Agreement, - Through L-1.

We are under legal obligation to pay the CONSULTANT for the following: All expenses for consulting officials and
vendor side will be borne by vendor scope in case job got materializes vender my deduct expenses met with
liaising officials and if the matter not materialized due to any reason all expenses will be on the head of the
vendor only let the reason whatsoever it may, be.

• Consultancy services rendered based on pre-decided, project-specific terms and conditions;

• In case of an extension of the scope of the said project resulting in an increase in project value, we are
liable and agree to pay additional Fees including all prevalent Government and local taxes and levies, on a
pro-rata basis.
• Once the project is awarded to us in Work Order/LOI from the same Contractor / Agency we agree to pay
an Introducer Fee of 0.60%(Approximately 2 crore rupees) of the total project value of the project
awarded.

• Jurisdiction: The Hon’ble courts of Delhi, shall have the exclusive jurisdiction relating to any or every
matter about the present agreement.

We understand that during providing services to us, both CONSULTANT and may be purview to Information
of a confidential and private nature. To prevent any misuse of the same at either party's behest, we agree to
sign a Non-Disclosure Agreement at the earliest.

THIS MEMORANDUM OF UNDERSTANDING/MOU (the”Agreement”) dated 0…/December/2023
is entered into

M/s SPD Green India, a company incorporated having its

registered office B-6/336, Nand Nagri, New Delhi-110093, Called as (First Party) CONSULTANT

AND
 M/S S.K. Chaudhary Enterprises firm, having its office in ,H.No. 705, Patti Musalmanan, Siyana,
Bulandshahar, U.P.-245412- Called a (Second Party) Vendor.
Name of Project for Consultancy- “Hiring of HEMM for removal of OB, extraction and transportation of coal

Fees and Payment Terms as given below:-

The Fee payable under this Agreement is 0.60%( Approximately 2 crore rupees) of the total contract
value. All prevalent statutory duties, levies or taxes are in addition to the above and must be paid by
the Vendor.
GST amount on consultancy charges shall be given extra by the Vendor (Second Party).

After issuing this LOA/Work Order in future if the Contractor takes another Order or increase the
value of the given Order with the same End client/Company, the consultant eligible to take again
same consultancy fees as mentioned in the agreement

This above said work shall get allotted/LOA /MOU/ LOI within 07 days, starting from 01.01.2024. Or
else the agreement will stand canceled automatically.

Note: - After awarding the work, the consultant is not responsible for any kind of issues between the
contractor and end client and the consultancy fee is un-revocable in any case. All disputes,
differences, and controversies arising relating to the interpretation of this Agreement shall be settled
by arbitration by the rules of conciliation and arbitration of India. The consultant will help the vendor
as per evidence and genuine facts.

Jurisdiction:- The Hon’ble courts of Delhi, shall have exclusive jurisdiction relating to any or every
matter about the present agreement.

The project value will be as per work allotted/LOA/LOI/WO. The total service charge will be 0.60(
Approximately 2 crore rupees)% of the total work value.
Service Charge will be paid 0.15( Approximately 50 Lakhs Rupees)% at the time of commencement of
work/LOA/LOI/MOU or on the same day After Getting order From L1 Company to mobilize the site
and 0.45% equal 4 RA bills.
