ORGANIZATIONAL PLAN

I. OVERVIEW

This part illustrates the form of the business organization, the liability of the owner, the
organizational chart, the management team: roles and responsibilities, business owners, and business
advisers.

II. FORM OF BUSINESS ORGANIZATION

Fruitsion aims to harness the power of partnership to create a dynamic and innovative venture in the
ever-growing health and wellness industry. By joining forces, we seek to leverage each partner's
strengths, resources, and expertise to establish a thriving business that offers high-quality fruitshakes to
our customers.

Vision Statement: To become a leading provider of delicious and nutritious fruitshakes, recognized for
our commitment to using fresh ingredients, exceptional customer service, and sustainable business
practices.

Mission Statement: Our mission is to delight our customers with refreshing fruit shakes made from the
finest ingredients while fostering a culture of collaboration, integrity, and continuous improvement among
our partners.

ADVANTAGES (List down at least 5):

1. Shared Resources: Partnerships allow for pooling of financial resources, skills, and expertise,
enabling the business to access a wider range of resources than would be possible for an
individual entrepreneur.
2. Diverse Perspectives: With multiple partners involved, the business benefits from a variety of
perspectives, ideas, and experiences, which can lead to more innovative solutions and better
decision-making.
3. Risk Sharing: Partnerships distribute the financial risks among the partners, reducing the burden
on any single individual. This shared risk can provide greater stability and resilience to the
business.
4. Complementary Skills: Each partner brings unique skills, strengths, and networks to the table,
enhancing the overall capabilities of the business. This synergy can lead to increased efficiency
and effectiveness in achieving business objectives.
5. Tax Benefits: Partnerships enjoy certain tax advantages, such as pass-through taxation, where
profits and losses are passed directly to the partners and taxed at their individual tax rates. This
can result in lower overall tax liability compared to other business structures.
DISADVANTAGES (List down at least 5):

1. Shared Decision Making: Partnerships require consensus among the partners, which can lead to
disagreements, delays, and conflicts if partners have different priorities or visions for the
business.
2. Liability: Each partner is personally liable for the debts and obligations of the partnership,
including any legal liabilities or lawsuits. This personal liability exposes partners to financial risk
and potential loss of personal assets.
3. Dependency: Partnerships rely on the commitment and cooperation of all partners to succeed. If
one partner becomes disengaged or leaves the partnership, it can disrupt operations and strain
relationships.
4. Profit Sharing: Partnerships involve sharing profits and losses among the partners according to
the terms of the partnership agreement. Disputes may arise over the allocation of profits,
especially if partners perceive inequities in their contributions or efforts.
5. Limited Growth Potential: Partnerships may face challenges in scaling up or attracting external
investment compared to other business structures like corporations. The partnership structure may
also limit access to certain markets or opportunities.

III. LIABILITY OF THE OWNER

Fruitsion, an establishment operating as a partnership, will see the business apportioned according
to the individual contributions made by each partner. In this setup, general partners assume personal
liability, regardless of their capital input, unless differing terms are stipulated in a specific agreement.
Limited partners, on the other hand, are only liable for the extent of their contributions to Fruitsion. The
profit and loss distribution hinges on the provisions outlined in the partnership agreement, often resulting
in partners who have made larger investments receiving a more significant share of the profits.
