Ensure that the Property Hereby Conveyed is free from all encumbrances at the time of

execution of the Sale Deed in favour of the Purchasers;

On a mutually convenient date, arrange for the physical inspection for the Property Hereby
Conveyed by the Purchasers;

Hand over all original title deeds of the Property Hereby Conveyed to the Purchasers at the
time of execution and registration of the Sale Deed;

Other than this Agreement and the Sale Deed, neither enter into any agreement to sell or
sale deed in respect of the Property Hereby Conveyed or any part thereof nor create any
encumbrance in respect of the property in any manner whatsoever or enter into any
negotiations or transactions of any manner in relation to the same with any third party;

Provide all documents of title as requested by the Purchasers and/or the Purchasers’ legal
counsel for enabling the Purchasers’ legal counsel to complete the title due diligence of the
Property Hereby Conveyed.

Deliver the actual physical vacant possession of the Property Hereby Conveyed to the
Purchasers at the time of the execution and registration of the Sale Deed;

Guarantee their title in the Property Hereby Conveyed, and shall enter into all the usual
covenants in the Sale Deed to be executed in favour of the Purchasers;

Ensure that the Property Hereby Conveyed is free from all encumbrances at the time of
execution of the Sale Deed in favour of the Purchasers;

On a mutually convenient date, arrange for the physical inspection for the Property Hereby
Conveyed by the Purchasers;

Hand over all original title deeds of the Property Hereby Conveyed to the Purchasers at the
time of execution and registration of the Sale Deed;
Other than this Agreement and the Sale Deed, neither enter into any agreement to sell or
sale deed in respect of the Property Hereby Conveyed or any part thereof nor create any
encumbrance in respect of the property in any manner whatsoever or enter into any
negotiations or transactions of any manner in relation to the same with any third party;

Provide all documents of title as requested by the Purchasers and/or the Purchasers’ legal
counsel for enabling the Purchasers’ legal counsel to complete the title due diligence of the
Property Hereby Conveyed.

This Agreement shall remain valid until terminated in accordance with Clause below.
