Sonata Software Ltd (SSL), initially set up in 1986 as a division of Indian Organic
Chemicals Ltd (IOCL). Promoters viz. Bhupati Investments and Finance Ltd, S B Ghia, M D
Dalal, Rajan Raheja & family have acquired the stake in SSL over a period of time. Sonata
division of IOCL was spun off as an independent company namely, Sonata Software Ltd, in
October 1994 for a consideration of Rs 8.14 crs. As a part of restructuring plan, IOCL was
disposed of and sold its equity holding in SSL to the present promoters for a consideration of Rs
78 per share and Rs 87 per share based on the valuation certificate issued by IOCL’s auditors and
in consultation with financial institution.

Abisko Development Limited

With a stake of 80%, Sonata has another subsidiary in Cyprus, Abisko Development Ltd (ADL). This is a joint venture
between Sonata and Scala Business Solutions N.V., Netherlands. Abisko was incorporated in Cyprus on December 21,
1998. Its main business activity is the development and enhancement/ maintenance of newer versions of Scala
products.

Sonata Software GmbH

Sonata Software GmbH is our wholly-owned subsidiary set up in Frankfurt, Germany. This subsidiary has been set-up
with the objective of consolidating Sonata's presence in the European Union, and to cater to the rapidly growing
German and West European markets.

The embedded systems group at Sonata provides software development and QA services for embedded and real-
time systems. We have expertise in telecom/ networking, automotive, entertainment electronics and mobile/

Controller development
We provide core-logic development for controllers used in a large number of processes like semiconductor
manufacture, injection molding, vacuum pumps, drive unit controllers for high pressure pumps, valves and
