PURCHASE AGREEMENT AND PAYMENT RECEIPT

WHEREAS, the Second Party desires to purchase 10 kilograms of gold from the First Party
for a total of 2,200,000 AED (Two Million Two Hundred Thousand Emirati Dirhams.)
NOW, THEREFORE, the parties hereby agree as follows:

1. Purchase of Gold:
• The Second Party agrees to purchase 10 kilograms of gold from the First Party for a
total sum of 2,200,000 AED.

2. Delivery of Gold:
• The First Party agrees to supply 10 kilograms of gold to the Second Party within 3 days
from the date of this Agreement signed.

3. Payment Receipt:
• On the 1st of September 2023, the Second Party paid the First Party an amount of
500,000 AED (Five Hundred Thousand Emirati Dirhams) in cash as a purchase
advance deposit.
• The First Party confirms that it has received 500,000 AED (Five Hundred Thousand
Emirati Dirhams) in cash as the advance payment for the gold.
4. Penalty for Delay:
• If the First Party fails to deliver the gold to the Second Party within 3 days of signing
this Agreement, the First Party agrees to pay the Second Party a penalty of 1% of the
advanced amount (500,000 AED) for each day of delay until the gold is delivered or
refunded.

5. Communication of Payments and Deliveries:

• All payments and deliveries must be communicated by the First Party to the Second
Party in writing with legal documents at the appropriate time.
• The First Party is solely responsible for any delay in communication or execution.

6. Governing Law and Jurisdiction

• This agreement is governed by and construed in accordance with the laws of the
United Arab Emirates. Any dispute arising out of or in connection with this agreement
shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab
Emirates.

IN WITNESS WHEREOF, the parties hereto have executed this Purchase Agreement and
Payment Receipt on the 30th of October 2023.
