AGREEMENT OF SALE

This Agreement of Sale is made and executed on this the ___ Day of
March 2023 at Hyderabad: -

Between:
Mrs. Srivani Yalavarthy, W/o. Amar Kumar Yalavarthy, R/o.501 C
Block, Green Terraces Apartments, White Fields, Kondapur,
Hyderabad, Rangareddy Dist. Pincode: 500084. (Hereinafter referred to
as the “VENDOR”) Aadhaar: 807108843909
AND

Ms. Malepati Sharmada, D/o. Malepati Subramanyam, R/o. 3/1089-


14, HariHaraputra Apartments, Y M R Colony, Proddatur, Cuddapah,
Andhra Pradesh. Pin: 516360. (Hereinafter referred to as “Vendee”)
Aadhaar: 443147286299
WHEREAS the Vendor is the absolute owner and in
possession and enjoyment of the more fully described in the Schedule
hereunder written, hereinafter referred to as the “SCHEDULE
PROPERTY”

WHEREAS the said schedule Property is acquired by the vendor


by way of Vide Sale deed No. 1815/2021 from Sri Cherukuri Amith
and Ms.Cherukuri Pallavi who were the Vendor’s for the above
mentioned sale deeds.

WHEREAS, the Vendor herein has offered to sell the above said
property to the Vendee for a total sale consideration of Rs. 75,00,000/-
(Rupees Seventy Five Lakhs Only) and the same is accepted by the
vendee.
WHEREAS the vendor has agreed to sell and vendee has agreed
to purchase the said Schedule Property as per the terms and conditions
mentioned below:

TERMS & CONDITIONS:

I. Both the parties agreed, accepted and acknowledge that owning


to mutual discussion both parties have agreed & have made their
decision in this regard and this Agreement of Sale is prepared
without any force, coercion and undue influence.

II. The Vendee is liable to make a payment of Rs.75,00,000/-


(Rupees Seventy Five Lakhs Only) to the Vendor herein, with
regard to Sale of the Schedule Property as per below table of
installments.

If the Vendees fails to pay the balance of consideration as


mentioned above, this Agreement shall stand canceled without
any further notice by forfeiting the advance amount
Rs.15,00,000/- and pay the balance amount without any interest
to the Vendees only after an alternative purchaser has agreed to
purchase the “Schedule property”.

III. The said property shall be quietly entered into and upon by the
Vendee who shall hold and enjoy the same as absolute owner
without any interruption from the vendors or any persons
claiming through the Vendor after total payment and execution of
Sale Deed.

IV. The Vendor will hand over the vacant possession of the said
property to the Vendee at the time of the registration itself and the
date of registration will be on or before 30th July, 2023, in which
failing which the Vendee is entitled to terminate, revoke, or renew
the present agreement which is completely at the discretion of the
vendee.

V. The property is sold in an as is where is condition. Before signing


of this agreement the Vendee inspected the property, and the
vendor agrees to keep the property vacant and unused for the
duration of this agreement or until its termination which ever may
happen earlier.

VI. The Vendor has paid all taxes etc., payable on the said property
up to the time of registration and the Vendee will have to pay such
taxes etc., payable as on this date of Agreement of Sale and it is
the responsibility of the Vendor to get NOC & No Due in case of
any encumbrance’s charges or mortgages before registration and
handover all the relevant documents to the vendee herein.
Property tax up to Marach 2023 is paid by the Vendor. Further
Property tax payments will be made by the Vendor

VII. The Vendor further assures & covenants the Vendee, that the
below Schedule Property is free from all encumbrances, charges,
prior assignments of sale or lease hold or court attachments and
it is not subject to any other litigation. The previous title deeds
relating to the said property hereby will be handed over to the
Vendee at the time of registration.

VIII. The Vendor hereby agrees to co-operate with the Vendee to get the
title of the said property changed in the name of the Vendee in
Revenue Records.
IX. The Vendor does hereby further agree with the Vendee at all times
hereafter at the cost of the Vendee to do and execute all
such necessary lawful acts, deeds, and things for further and
more perfectly assuring the said property to the Vendee according
to the true intent and meaning of this deed.

X. The land on which the house was constructed is not an assigned


land within the meaning of A.P. Assigned lands (Prohibition of
Transfers) Act. No.9 of 1977 and it does not belong to Government
agencies or their undertakings.

SCHEDULE OF PROPERTY

All that the Semi Furnished Flat Bearing No. 501, on Fifth
Floor, in the Apartment known as “CHATURBHUJA HOMES-1”,
admeasuring 1770.00 Sq.Feet (including common area and car
parking), together with proportionate undivided share of land
admeasuring 68.56 Sq.Yards out of total land admeasuring 2360.0
Sq.Yards., equivalent to 1973.18 Sq.Meters, on Plot Nos. 77 and 78, in
Survey Nos.31,32,33,34 &35 situated at “JUBILEE GARDENS”
Kondapur Village, Serilingampally Mandal and GHMC Circle,
Rangareddy District bounded by:

NORTH : Open to Sky


SOUTH : Open to Sky
EAST : Corridor and open to Sky
WEST : Open to Sky
IN WITNESSES WHEREOF, the Vendor and Vendee have signed this
Agreement on the ___ Day of March 2023 at Hyderabad with their free
will, consent and without any force, coercion, and undue influence.
