AND WHEREAS for the execution of the said contract, ITD Cementation India Limited
was in
requirement of a large number of heavy construction machinery of various specifications,
types, and
categories to accornplish the Scope of Works within the project completion schedule

indirect prevailing as at the date of executing the Lease Agreement. GST will be payibte extra at

G*, TERMINATION, RISK PURCHASE, FORECLOSURE

& CANCETL]NG OF THE CONTRACT

without being iiable for any compensation to the Lessor,

the Lessee may, in its absolute discretion,
terminate the Agreement uncler following circumstances:

i) Should the Equipment not be mobilized at the latest

seven [7] days after the period stated in
Annexure-D Scope Matrix.

ii) The Lessor has abandoneci the Contract,

iii) suspension of service or breakdown of External Equipment for a continuor-rs

period of 7 days.
iv) The Lessor is not executing the work in accordance
with the Agreen.rent or is persistently or
flagran[ly .egiecting to carry out riis obligations under the
Agreement.

v) The l'essor is adiudged insolvent or enters into composition

with his creditors or being a
company goes into liquidation either cornpulsory or voluntary.

vi) Breach any of the terms and fails to comply with any of his
obligations uncier the Agreement.

to correct the breach

period, then the Agreernent will terminate at the end of the notice period.

Agreement without assigning any reason by giving 15 days' notice in writing

The Lessee shall have the option of cancelling this work order agreement and

Upon termination of Agreement, the Lessee shall make payment of amount clue after recovery

any amounts due to be paid by Lessor to the Lessee. The Lessee shall also hold any due amount
payable by Lessor to port / local authorities and/or any other agencies. This withheld
antount shall
be released once the Lessor submits the proof of payments done towards aforesaid due amount

Any dispute uot resolved amicablv shall be settled through the courts at Mumbai jurisdiction only
in accordance with the Governing Laws of India.
