Contract Details/Terms & Conditions:

This Contract ("Contract") is entered into between Transworld Associates Private Limited
("TWA") and [Customer/party Name] ("Party") on [Insert Contract Date] ("Effective Date").

1. Contractual Agreement: This Contract constitutes a legally binding agreement between

TWA and the CounterParty.

2. Board Resolution or Form 29: The party shall provide a board resolution or Form 29 of
SECP, demonstrating authorization for signing this Contract.

3. Rates and Taxes: The rates of the Services under this Contract offered by Transworld
Associates (Private) Limited (the "Company") shall exclude taxes, duties, charges, and levies
applicable under Federal and Provincial laws. The party agrees to provide a National Tax
Number ("NTN") to the Company for taxation purposes and undertakes to timely submit
applicable taxes to the Government of Pakistan as per prevailing regulations.

4. The term "Service Lock-In Period" refers to the duration of the Contract specified herein.
Upon completion of the initial term, the Contract shall automatically renew for successive
terms unless terminated by either party with prior written notice.The Services under this SOF
shall commence from the date of link activation ("Commencement Date"). The initial term of
this Contract shall be One (01) Year from the Commencement Date, known as the "Service
Lock-In Period."

5. Subsequently, the Services shall automatically renew for additional terms of One (01) Year
each unless the Company receives a written notice of termination not later than thirty (30)
days before the completion of the Service Lock-In Period or any Additional Term.

6. To safeguard against potential losses, the Customer is required to provide a guarantee

instrument, such as a security cheque, to the Company upon execution of this Contract. This
guarantee instrument serves as recourse for recovering amounts associated with the Service
Lock-In Period in the event of SOF termination due to non-availment of services or non-payment
by the Customer.

7. Termination Notice Procedure of this contract is as follows;

a. Notice Requirements:

Either party intending to terminate this Contract must provide written notice to the other party.
The notice must be served at least thirty (30) days prior to the intended termination date. The
notice shall specify the grounds for termination and any remedial actions required to avoid
termination.

b. Grounds for Termination:

The Company/Part 1 may terminate this Contract if the party 2 commits a material breach of any
provision herein and fails to remedy such breach within a specified cure period.

The company may terminate this Contract if the customer/ party becomes insolvent, files for
bankruptcy, or undergoes any similar financial restructuring.

If the Customer fails to make timely payments as per the terms specified in this Contract, the
Company may terminate this Contract upon written notice to the Customer/party.
c. Remedial Actions:

Prior to termination, the company intending to terminate shall provide written notice to the
customer specifying grounds of termination. The Customer party shall be given a reasonable
opportunity to cure the breach within a specified cure period. If the breach is not remedied within
the cure period, then company may proceed with the termination as per the notice provided.

d. Effect of Termination:

Upon termination of this Contract, both parties shall cease providing and receiving services as
per the terms herein. Any outstanding obligations or liabilities accrued prior to termination shall
remain enforceable and Company may recover any outstanding amount against the customer
party.

8. Our recovery department established within TWA will facilitate the recovery of outstanding
amounts from customers in accordance with legal procedures.

9. This Contract shall also be witnessed by an independent third party to enhance its legal
credibility and validity.

10. The Company shall implement any changes in laws, regulations, or Policies concerning data
or voice services issued by the Pakistan Telecommunication Authority ("Authority"). The terms
and conditions of the Services under this SOF /Contract shall vary accordingly. The Company
shall endeavor to notify the Customer in writing of any such variations.

11. The first payment (MRC) is due in advance before the activation of the Services.
Additionally, the Customer shall submit a security deposit equivalent to one (01) month MRC of
active capacity. All payments for the Services under this SOF shall be made in US Dollars or
equivalent Pakistani Rupees as per prevailing interbank selling rates. The Company shall bill the
Customer immediately from the Commencement Date, and invoices shall be issued in advance.
Payment is due within fifteen (15) days of the invoice issuance date. In case of default, the
Customer shall pay interest at the monthly rate of 1.5% on outstanding amounts. The Company
reserves the right to downgrade or suspend Services in case of failure, delay, or partial payment
by the Customer.

12. It is agreed that tentative timelines for service commissioning will be within one (01) week.
The final timelines for the date of link activation shall be communicated to the Customer after
formal order placement.

13. The Customer agrees that the Company's liability is limited to the Service Level Agreement
("SLA") for the Services. The Company shall not be liable for any indirect, incidental, special, or
consequential, exemplary, or punitive loss or damage arising out of the performance or failure to
perform the Services under this SOF. This includes but is not limited to damages for lost profits,
lost revenues, loss of goodwill, loss of data, loss of anticipated savings, loss of customers,
interference with business, or cost of purchasing replacement services, whether or not caused by
the acts or omissions or negligence of their employees or agents, regardless of foreseeability, and
regardless of whether they have been informed of the possibility or likelihood of such damages.

14. This SOF/Contract shall be construed and enforced in accordance with the laws of the
Islamic Republic of Pakistan. The courts situated at Islamabad shall have exclusive jurisdiction
to hear all matters arising out of this SOF.

15. By signing this SOF/Contract, the Customer acknowledges and agrees that upon acceptance
of this SOF, the terms and conditions mentioned herein will constitute a valid and binding
agreement between the Company and the Customer. However, should the Company decide at its
sole and absolute discretion, the Customer hereby agrees to enter into a separate Services
Agreement with the Company to more fully set out the details on which the Company is to lease
out capacity vis-à-vis the services to be provided by the Company to the Customer in respect of
the system being maintained/operated over a fiber optic private submarine cable system known
as TW-1 by the Company.
