Contractor /Agreement for the use of the Akestech Infotech Pvt Ltd.

This agreement entered into and between Company Name hereinafter referred to as “the Client”
having its office at Office Address and Akestech Infotech Pvt Ltd hereinafter referred to as “the
Contractor” having its office at Lucknow, Uttar Pradesh, India.

Whereas the Client is desirous of engaging on work/completing the ongoing project. Whereas the
contractor has agreed to render the services on the terms specified below in terms of this Agreement It
is agreed by and between parties as below

OBLIGATIONS OF THE Contractor

612, 6th Floor, Parsvnath Planet Plaza, Vibhuti Khand, Gomti Nagar, Lucknow - 226010, Uttar Pradesh

THE CONTRACTOR
● Agrees to assign XXX Developer
● Agreed developers assigned to the Client will work exclusively for the Client for the stipulated
dates starting from Start Date.
● Will perform such Prescribed Duties and Services at the contractor’s premises. (NOT on the
Client’s premises)
● Agrees to maintain complete Confidentiality and secrecy and agrees not to disclose to any
outside persons/ parties any of the information that they may have access to during this
contract
● Agrees not to copy or transfer any data or information without permission from the client
● Shall provide alternate resources if the assigned resource does not perform the task at par
excellence.

THE CLIENT
● Not engages or initiate any contract with the Client’s resources and not to initiate any hiring
● Agrees strict code compliance and no part of code to be copied/reused by the developers.
● Agrees not to undertake any other paid assignments (Related to “The Client” services) without
the permission of the company.
● Agrees to adhere to the terms and conditions of contracts entered into between the company
and its clients and / or customers.
● Agrees to work on 8 Hours per day (between 9:00 AM and 6:30 PM IST) and which included five
days a week from Monday to Friday.
● Need to inform prior 30 days in case of discontinuing the hiring of resources.

List of Work/Activities to be performed by the Contractor: (For 40 Hours/Week)

● To Coordinate with the existing team through Skype to work along with them
● To Work on the Client’s server or on the Client’s SVN Copy (Or GIT).
● To Deploy work properly and send the daily progress update to the Client’s assigned manager
email address.
● To Properly communicate with the Client’s team through Skype or Email.
● No communication would be entertained via personal mobile

PAYMENT SCHEDULE & TERMS

● The Client agreed to pay compensation to The Contractor Rate XXX USD for the remote
developer.
● Payments should be done within 7 working days from the date of Invoice.
 ● Service may be suspended for a certain period of time in case of late payment.
● Additional GST will be applicable in case of India.

● Part 1: Advance payment (50%) , at the time of signing off by the Contractor resource
● Part 2: Remaining 50% After completion of 15 days by the Contractor resource

● We will be keeping 8th Oct,2022 and 15th Oct,2022 as working saturdays.

For Onsite Resource facilities & cost Client needs to provide in advanced by mutual understanding
are as below:
● Visa processing fees
● Ticket cost for international Traveling with insurance (Arranged by Contractor)
● Traveling cost from accommodation to workplace
● Arrange accommodation with laundry
● Arrange Meal (Breakfast, lunch & dinner) as requested by the resource (eg Vegetarian).
● Allow home visit after every 3 months with 10-15 days of remote working facility
● Medical expenses during the contract period.
● Salary details should not be disclosed with resources.
● The Client agreed to pay compensation to The Contractor Rate 4500 USD for the Developer per
month (160 Hrs).

CONFIDENTIALITY
● The Contractor shall not during the operation of this Agreement or thereafter use for own
benefit or for the benefit of any other person or divulge or communicate to any person except
to those officials of the Client province it, the secrets of the Client or the client’s client or any
 other information which the Contractor may receive or obtain in relation to the Company’s or
the Client’s affairs or those of its customers or of the data
● bases, internet access or any tools or techniques which are carried on or used by the Company
or the client. The Contractor shall further cooperate with the Company, its client and any other
persons the Company or the client may designate to obtain such security clearance as required.

RENEWAL/TERMINATION
● It is agreed that the Client can renew this contract after 30 days with mutually agreed terms.
● It is also agreed that either party can terminate this contract with prior notice of 30 days on
either side by compensating mutual terms.

REVENUE HIKE
● It is agreed that the amount of contract revenue will be increased by 25 - 30 % by the Client
after completion of 12 Months from the Start date if the client wants to continue with the same
resource otherwise the resource will be changed.
