purpose inthe said property.

2. Toapply,forpermission/exemptionfromtheCompetentAuthority,the

Stateof_________and/oranyotherauthority/authoritiesunderthe

provisionsofUrbanLand(CeilingandRegulation)Act,1976(for

brevityULC&RAct)andforthepermissionand/orsanctionfor

developmentofthesaidpropertyundertheprovisionsofULC&RAct,

andforthatpurposetomakeanydeclarations,signformsinourname
andonourbehalfasourAttorney(s)shalldeemfitandproperalsoto

appearbeforeappellateauthoritiesunderthesaidULC&RActand/or

StateGovernmentinconnectionwiththepermissionfortransferofthe

saidpropertyasalsodevelopmentofthesaidpropertyasaforesaid

andgenerallytodovariousacts,deeds,mattersandthingsconnected

withthemattersrelatingtoULC&RActinthemanneroursaid

Attorney(s)maydeem fitandproperandconduciveinconnectionwith

allmatterspertainingtoUrbanLandCeilingclearance.

3. Tomakeandprepareand/orcausetobemadeandpreparedattheir

entirecostallsuchlayout,sub-division,plans,specificationsand

designsand/oranyalterationsintheexistingplansand/or

specificationsasmaybenecessary,requiredandadvisableatthe

discretionofoursaidAttorney(s)forthepurposeofconstructingthe

buildingsonthesaidpropertytoMunicipalCorporationof_________

and/oranyotherConcernedAuthorityand/orGovernmentof

_________and/orLocalBodiesandtoengagetheservicesofany

Architect, Engineer,Consultant,or any person asmaybenecessaryor

advisableatthediscretionofoursaidattorneyandtopaynecessary

feesandpremiumrequiredforgettingtheplanssanctionedanddoall

otheractsandthingsasmaybenecessaryforgettingtheplansofthe

proposed buildingssanctioned bytheMunicipal andother authorities.


4. Topayanddischargeallgroundrent,taxes,rates,assessments,

charges,deductions,expensesandallotherpaymentsandoutgoings

whatsoeverdueandpayableorwhichmayhereafterbecomedueand

payable fororonaccountofthesaidpropertyfromthedateofthesaid

agreementonwards.

5. Tocommence,carryoutandcompleteand/orcausetobecommenced

andcompleted,constructionworkattheirentirecostonthesaid

propertyinaccordancewiththesanctionedplansandspecifications

andsofarasanyconstructionworkisconcerned,toseethatall

applicablerulesandregulations,whicharemadebytheGovernment

of_____________and/orMunicipalCorporationof_____________

and/orTownPlanningAuthoritiesand/orCollectorand/oranyother

CompetentAuthorityorauthoritiesforthetimebeingarestrictly

observed.

6. Toinvitetendersandofferforthepurposeofconstructionofoneor

morebuildingsorstructuresonthesaidproperty,toacceptsuch

tendersoroffersandsuchconsiderationandonsuchtermsand

conditionsasthesaidattorneysmayinhis/theirabsolutediscretion

deemfit,togivetheconstructioncontracttosuchperson(s)asour

said attorneysmay deemfit and proper andtogetallsuchbuildingsor

structuresdulycompletedbythesaidcontractorsandtoenterinto
sucharrangementswithsuchandotherpersonorpersonsorbodyor

bodieswhethercorporateorotherwiseforthepurposeofdevelopment

ofthesaidpropertywholly,partlyorinstagesandforconstructionsof

buildingsorstructuresthereonand/orfurnishingthepremisestherein

asthesaidattorneysmayinhis/theirabsolutediscretiondeemfitand

topaythecostofconstructionanddevelopmentofthesaidbuildings

orstructuresandfurnishingofthepremisestosuchcontractorsand

otherpersonsorbodiesandtoobtainvalidreceiptsanddischarges

therefortoenterintocontractsforsupplyofmaterials,labourandfor

allotherservicesasmayberequiredfordevelopmentand

construction ofthebuildingsorstructuresonthesaidproperty onsuch

termsandconditionsasmy/oursaidattorneysmayinhis/their

absolutediscretion deemfit andproper.

7. Tocarryoncorrespondencewithallconcernedauthoritiesandbodies

includingtheGovernmentof___________andallitsdepartments,the

MunicipalCorporationof___________and/orCitySurveyOfficer

and/orPoliceAuthoritiesforthetimebeinginconnectionwiththe

sanctionofplans,obtainingoffloorspaceindexfortheconstruction

proposedtobecarriedoutonthesaidpropertyandanyothermatters

pertainingto thesaid property.

8. TodealandcorrespondwithMunicipalCorporationof____________
includingallitsDepartmentsorofficersoranyotherofficersor

Authoritiesinconnectionwithorrelatingtoortothesaidproperty

hereunderandinparticulartodothefollowingacts,deeds,matters

andthingsviz.:

(a) Toapplyforandobtain,sanction,revalidationwithfurther

alterationsoradditionsormodifications,asoursaidAttorney(s)

mayrequire;

(b) Toapplyforandobtaintheoccupationand/orcompletion

certificatesinrespectofthebuildingstobeconstructedand

completed on the said property;

(c) TodealwiththeAssessmentDepartmentoftheMunicipal

Corporationof___________andtogettheassessmentfromthe

MunicipalCorporation of __________of the said property.

9. Toappearandrepresentusbeforeanyandallconcernedauthorities

andpartiesasmaybenecessarilyrequiredand/oradvisableinthe

solediscretionofoursaidAttorney(s)fororinconnectionwiththe

developmentofthesaidpropertyandtomakesuchagreements

arrivedatsucharrangementasmaybeconducivetothedevelopment

workandcompletingthe same.

10. Toenteruponpropertyatanytime,affixboard,putthebarbedwire
fencingorconstructacompoundwallonthesaidpropertyorany

portionthereofasperdemarcationthereofandtomakeallpayments

forgettingthework done.

11. Torepresentbeforethepublic,localand/orprivateauthoritiesin

respectofthedevelopmentofthepropertyandtomakesuchofthe

actionsandthingsasmaybenecessaryforeffectuallycommencing

the saiddevelopmentwork andcompletingthe same.

12. Todealwiththecorrespondencewiththe________ElectricSupply

andTransportUndertakingLtd.forobtainingelectricconnection

includingexecutionofleasedeedinrespectofanyportionofthesaid

propertyforthepurposeofenablingthe_________ElectricSupply

andTransportUndertakingLtd.toputupanderectanelectric

sub-stationforthesupplyofelectricitytothebuildingsthatmaybe

constructedonthesaidpropertyandforthatpurposetosign,all

letters,applications,undertakings,termsandconditionsasmayfrom

timetotimebethoughtnecessaryorasmayberequiredbythe

concerned authorities.

13. Toempoweronourbehalfandinournameandtorepresentour

interestbeforetheCitySurveyAuthorities,LandRecordAuthorities,

CollectoroflandRevenueandAssessorsofMunicipalRatesand
Taxes,TownPlanningAuthorities,CommissionerofPoliceand

MunicipalCommissionerandotherofficersforthe grantofthelicences

orpermitsorforanyotherpurposeorrenewalthereofasmaybe

necessaryunderanylocalAct,Rules,RegulationsorBye-lawsand

alsotoappearbeforeanypublicorGovernmentofficerorother

Authoritieswhosoever.

14. Tomakeapplicationsforconnections,electricsupplyandother

incidentalrequirementswhichmayberequiredforthepurposeof

developmentofthe aforesaid property.

15. Toask,demand,suefor,enforcepaymentor/andrecoverandreceive

andgiveeffectualreceiptanddischargefromanypersonorpersons,

rentsand/orcompensationand/ormesne,profitsinrespectofthesaid

propertywhichnowareorwhichatanytimeortimeshereaftermay

becomedueand payabletous.

16. ToapplyforrefundofdepositsmadeortobemadewiththeMunicipal

Corporationof___________,________StateElectricityBoardand

otherconcerned Authoritiesandreceivethesaidrefunds.

17. Tonominate,appoint,engageandauthorisesolicitors,advocates,

Income-taxandsalestaxpractitioners,CharteredAccountants,
Architects,Surveyors,Engineers,Contractors,Sub-Contractorsand

otherprofessionalagentsandtosignandgivewarrantsor

vakalatnamasorothernecessaryauthoritiesintheirfavourfromtime

totimeandtorevoketheirappointmentsandpaytheirremuneration

includingspecial feesand charges.

18. Tomake,signandsubmitapplications,petitions,lettersandwriting

appeals,etc.toappropriateGovernmentDepartments,Local

authoritiesand/orotherCompetentAuthoritiesundertheUrbanLand

(Ceiling&Regulation)Act,1976oranyotherlaworanyother

authoritiesforallandanylicences,permissions,exemptions,

sanctions andconsents required by any law orotherwiseinconnection

withthemanagement,improvementsanddevelopmentofthesaid

property.

19. Inconnectionwithorrelatingto thesaidproperty to take actionagainst

personortenants,occupiers,etc.ifany,inanycourt,torepresentus

inanyCourtoflawandtosignallapplications,plaints,written

statements,applications,affidavits,review,appeal,petitions,onour

behalffromtimetotimebefoundnecessary,properand/orenterinto

anyagreementrelatingtosaiddevelopmentofpropertyortoreferthe

sametoarbitrationortootherwisedealwiththesameaseffectivelyto

allintentsandpurposesaforesaidtoappointAdvocates(s),Solicitors
andCounselandtosignvakalatnamaand/orauthorisationsonour

behalf,but attheir entirerisk asto costs.

20. Incasethesaidpropertyoranypartthereofisnotifiedforacquisition

orrequisitionorreservationorroadwidening,toappearbeforethe

relevantauthoritiesandtofileapplications,objections,claimsfor

compensationorotherwiseandtodoallotheracts,deeds,matters

andthingsasmaybenecessaryinthatbehalfandtofileappeals,

references,petitionsagainstanyorderorordersmadebysuch

acquisitionorrequisitioningauthoritiesandtoacceptserviceofany

writ,summonsorotherlegalproceedingsormotionandtoappearand

representusinanycourtandbeforeallmagistrates,judges,judicial

officersandotherauthoritiesandtribunalswhatsoeverasbythesaid

attorney'sshallbethoughtadvisableandtocommenceandcontinue

anysuit,petitions, actions oranyotherproceedings in anycourtof law

andbeforeanypublicofficersortribunalsforreceivingcompensation

foracquisition,requisition,reservationand/orreliefforde-acquisition

or de-requisitioning or de-reservationor otherwise whatsoever.

21. TomakeapplicationtotheauthoritiesoftheMunicipalCorporation

___________andsuchotherprivateandpublicauthoritiesformaking

availabilityofwater,electricity,etc.onthesaidpropertythatmaybe

requiredforcommencingthedevelopmentworkandtocompletethe
sameandforthattoexecutenecessarywritingsincluding

undertakings.

22. Tomakeapplicationstothegovernmentorsemi-government

authoritiesforsanctionofcementandsteeland/orsuchotherbuilding

materialsasmayberequiredforthesaiddevelopmentworkandfor

thatpurposetoexecutenecessarywritingsincludingundertakingsand

bondsandto furnishnecessarydepositsfor the same.

23. Tomanagethesaidpropertywrittenhereunderandtotakesuchof the

stepsasmaybenecessarytomanagethesaidpropertytillthetimeof

completion of thesaiddevelopment.

24. Toevictortakepossessionofthesaidpropertyinoccupationofthe

tenants,occupantsortrespassers,ifanyinthesaidpropertyorany

partthereofandtotakeallstepsinthatbehalfsuchasnegotiation,

settlement,compromiseormakeagreementstogettheirrights

surrenderedandextinguishedandalsotocreatetenantsofsuch

durationasourattorney(s)shalldeemfiteitherinournameorinthe

nameof ourattorneys andto collectandreceiverents.

25. Tomortgagethesaidpropertyoranypartthereofinfavourofany

bank(s)orotherfinancialinstitutionsinsuchamannerasthe
attorneysthinkfitandproperforobtainingaloanbytheattorneysand

alsotoexecutenecessarydeeds,affidavits,indemnitybondsorother

relevantdocumentsforcreationofmortgageorchargeonthesaid

property, astheattorneys think fit.

26. Tosignandexecuteallpapers,correspondenceandallotherdeeds

andassurancesanddocumentsofanykindwhatsoeverwhichwe

ourselvescouldhavedoneforthecompletionofthesaiddevelopment

work.

27. ToattendandtorepresentusbeforeanyCollector,Authoritiesor

officersofGovernmentofIndiaoranyotherStateorStates,beforeall

Revenue,Municipal,Publicorotherofficersincludingthoseof

Income-taxasoccasionshallariseforanypurposeconnectedwiththe

saiddevelopmentwork.

28. Todoanyact,deedorthing,asoursaidAttorney(s)may deem fitand

properandnecessaryinthebestinterestofourselvesandinthebest

interest of the said property.

29. Todoallotheractsandthingswhichmaybenecessarytobedonefor

renderingthesepresentsvalidandeffectualtoallintentsand

purposesinthe best interest ofthesaidproperty.


30. Foranyofthepurposesmentionedhereinabovetosignall

applications,papers,undertakings,termsandconditionsasmaybe

required fromtimeto time,attheirown cost.

31. Toadvertiseinthenewspapersforthesaleofresidentialflatsinthe

developmentandtoenterintoagreementsforthesaleofsuch

residentialflatswiththeprospectivepurchasersonandforsuchprice

orconsiderationanduponsuchtermsandconditionsasoursaid

Attorney(s)shalldeemfitandproperandforthesameandalsoto

executeallsuchwritingsasmaybenecessary,effectuallyentering

intothesaidAgreementsforsaleofresidentialflatsandtodoallsuch

necessaryactsandthingsasmaybenecessaryorproperinthat

behalf.

32. Subjecttofulfillmentofobligationsunderthesaidagreementof

development,tosignandexecuteforusandonourbehalfthe

conveyance(s) in favourofour said Attorney(s) and/or theirnominee or

nomineesincludingco-operativesociety(s)andtopresentanysuch

conveyance(s)forregistrationtoadmitexecutionandreceiptof

considerationbeforetheSub-Registrarhavingauthorityforandto

havethesaidconveyance(s)registeredandtodoallacts,thingsand

deeds,whichoursaidAttorney(s)shallconsidernecessaryfor
conveyingthesaidpropertytothepurchaserortheirnomineeor

nomineesasfullyandeffectivelyinallrespectsaswecoulddothe

sameourselves.

33. Toapply forno-objectioncertificateor necessarypermissionsfromthe

MunicipalCorporationofGreaterBombay(FireBrigadeDepartment)

foroccupyingthebuildingandtodoallacts,deedsorthingsforthe

saidpurpose.

34. Tosigndeclarationsasmayberequiredundersection269UCOfthe

Income-taxAct,1961andapplicationundersection230A(I)of

Income-taxAct,1961andtoappearbeforeanytaxauthorityonour

behalftodoalltheacts,deeds,mattersandthingsnecessaryfor

obtainingcertificatesunder theIncome-taxAct,1961.

35. Topresentforregistrationwiththeregisteringauthoritythedocument

ordocumentsofwhatsoevernatureexecutedbyusandtoadmitthe

executionthereof before theregisteringauthority.

36. Tosign,transferforms,documentsandwritingfortransferringthe

propertyintherecordsofGovernmentormunicipalauthoritiesand

other publicauthoritiesandtodo allother actsin connection therewith.


37. Foralloranyofthepurposesofandpower,authoritiesanddiscretion

conferredbythesepresentstouseandsigninournamesorinwhich

wemaybeinanywayinterestedortouseandsignhis/theirnameas

our attorney(s) shallthink fitwithoutanyreference or recourse tous.

38. Andalsoformoreeffectuallydoing,executingandperformingthe

severalmattersandthingsaforesaidtoappointfromtimetotimeor

generallysuchpersonorpersonsasourattorney(s)maythinkfitas

theirsubstituteorsubstitutes,todo,executeandperformalloranyof

suchmattersandthingsasaforesaidandanysuchsubstituteorother

inhisortheirplaceandweherebyagreeatalltimestoratifyand

confirmwhateverourattorneysoranysuchsubstitutesorsubstitute

shalllawfullydoorcausetobedoneinoraboutthesaidproperties

andevenincaseofdemiseofanyofusourheirsand

successors-in-titleoradministrators andassignsshallremain bound to

reconstituteoursaidattorneyortheirnomineeswithsuchpowersas

per their directions.

39. Andtodoeverythingwhateverwhichmaybeatthesolediscretionof

oursaidAttorney(s)deemedfit,orexpedientforsale and/orenjoyment

and/ordevelopmentofthesaidpropertyandwhichweourselvescould

do ifpersonallypresentandasif thispowerhad notbeenexecuted.


40. Andgenerallytodoandcausetobedoneallacts,deeds,mattersand

thingsasoursaidAttorney(s)shallthinkfitandproperforthepurpose

ofsaleofflatsandenjoymentandthedevelopmentofthesaid

property, asamplyandeffectualaswecouldhave personallydone.

41. Allchargesandexpensesofandincidentaltoanyact,deed,matteror

thingdoneorcausedtobedonebyoursaidAttorney(s)inexerciseof

anypowerorpowershereincontainedshallbeborneandpaidand

providedforbyoursaidattorney(s)aloneandweshallnotbe

responsibleforthesameandthesaidAttorney(s)shallindemnifyand

keepindemnifiedourestateandeffectsfromandagainstthepayment

oftheaforesaidcosts,charges,thatmayhavetobepaidbyusby

reasonofourAttorney(s)doingorcausingtobedoneanyact,deed,

matter orthingbyvirtue ofthesepresents.

42. This powerof attorneyshallnotberevokedby usforthereasonsoron

thegroundswhatsoeveranditshallremainirrevocabletillthesaid

constitutedattorneyscompletethedevelopmentworkandputthethird

partyorpartiesinpossessionofthesaidflatsdulyconstructedby

themanduntiltheconveyance(s)ofthesaidpropertyisexecutedin

favourofoursaidattorney(s),theirnominee/nominees,assignee

includingco-operativesocietyor societies.
43. UponthedeathorincapacityofanyoftheExecutantshereof,this

powerofattorneyshallnotbecomeinoperativeinrespectofother

Executants.Insuchaneventuality,itshallbetheresponsibilityofsuch

otherExecutantstoobtainadditionalpowerofattorneyfromthelegal

heirs of such deceasedexecutant.

44. ANDWETHEABOVENAMEDHEREBYAGREEANDUNDERTAKE

toratifyandconfirmallandwhatsoeverthesaidattorneysunderthe

powerinthatbehalfandshalllawfullydoorcausetobedoneinthe

premiseseitherjointlyand/orseverallyaforesaidbyvirtueofthese

presents.
