Contract for International

Sale of Goods

Between

PT KOMAMPUS

(As seller)

And Bioxyne International

(As Buyer)

This contract for international sale of goods effective as of March 3, 2021 is between PT
KOMAMPUS (seller) a corporation duly organized and existing under the law of Indonesia, and
Bioxyne International (buyer) a corporation duly organized and existing under the law of
Australia.

Where as,

 That the parties have signed an agreement (MOU) on February 25, 2021.
 The contract covers the purchase of good specified which is shall serve for the contraction of
motorway in Australia.

Article 1

Definitions
1. Seller is obliged to prepare the goods specified forward to delivery and to transfer the
ownership of the goods to the Buyer.
2. Buyer is obliged to accept the goods from the Seller and to pay purchase price agreed
forward.
3. Cataclysm Burning Oil Heavy Excavators and Cataclysm Fire Trucks is heavy equipment for
the road.

Article 2

Commitment

The Buyer to buy Cataclysm Burning Oil Heavy Excavators and Cataclysm Fire Trucks from the
Seller with the specification as specified in Appendix 1 to the price for each 300.000 USD ( a
three hundred thousand US dollar), equivalent to 3.6 three point six billion rupiah.

Article 3

Payment and Dilivery

1. The Buyer shall pay the price of the Cataclysm Burning Oil Heavy Excavators and Cataclysm
Fire Trucks as defined in Article 1 no later than March 10, 2021.
2. The Buyer shall pay to the Buyer for the goods, which is subject of the present contract, with
a bank transfer as follow:
a. The Buyer shall pay a first down payment in the amount of 50% of the purchase price via
a bank transfer.
b. The Buyer shall pay second 30% of the purchase price via a bank transfer after the Seller
deliver of the Cataclysm Burning Oil Heavy Excavators and Cataclysm Fire Trucks.
c. The Buyer shall pay second 20% of the purchase price via a bank transfer after the Buyer
accept of the Cataclysm Burning Oil Heavy Excavators and Cataclysm Fire Trucks in
Australia.
3. The seller shall deliver of the Cataclysm Burning Oil Heavy Excavators and Cataclysm Fire
Trucks as defined in Appendix 1 no later than five days after received the payment by date
March 15, 2021

Article 4

Condition Precedent

1. The Buyer shall pay the price in accordance with the provisions of Article 2 only if the Seller
has sent the official letter about the condition of the goods to the buyer at the latest on March
8, 2021.
2. The official letter referred to in paragraph 1 are:
a. Description of the Cataclysm Burning Oil Heavy Excavators and Cataclysm Fire Trucks in
goods condition from dealer.
b. Description authenticity and suitablitiy of chassis number and engine number of goods
from dealers and the authorities.

Article 5

Respresentation and Warranties

Seller hereby represents and warrants that:

a. The Saller is legitimate and authorized in selling Cataclysm Burning Oil Heavy Excavators
and Cataclysm Fire Trucks, accordance with applicable regulations.
b. The Cataclysm Burning Oil Heavy Excavators and Cataclysm Fire Trucks are legitimate
goods, including machine, spare parts and all component with in.
c. The Seller is obliged to remove defects that occurred during the warranty period without any
unnecessary delay after a notice is submitted from the Buyer and at their own expenses.
 Should the Seller fail to fulfil this obligation, the Buyer is futile expiration of a reasonable
grace period, entitled to remove the defaults at the Seller expenses.

Article 6

Convenants

1. The Seller shall bear all coast of repairs of the damage caused the goods delivery error or
because of their hidden defects.
2. The seller shall provide the services for the free during the first year at an authorized dealer
who has been appointed.

Article 7

Indemnity

The Seller shall hold harmless and indemnify the Buyer against any losses, liablitiy, claims and
expenses arising out of or relating to this transaction, provide however that:

a. This obligation of Seller to indemnify Buyer shall apply only to losses, liabilities, claims and
expenses which are asserted by third parties on or before March 3, 2021.
b. This obligation of Seller to indemnify Buyer shall be limited to the value of the amount up to
100.000 USD (one hundred thousand dollars).

Article 8

Assignment

1. Any amount payable by the buyer in this agreement is not paid as and when it becomes
payable.
2. The Buyer fails to perform or observe any convenant in this agreement and does not remedy
the failure on or before the seven day after it occurs.
3. Any representation or warranty of the seller in this agreement proves to have been incorrect,
incomplete or misleading at the time it was made.
 Article 9

Choice of Law

This Contract, its interpretation, issues of validity or invalidity as well as consequences of its
breach shall be governed by Indonesia law and buyer version: Australia law.

Article 10
Jurisdiction

Any dispute, controversy or claim arising out of or in relation to this contract, or the breach,
termination or invalidity thereof, shall be decided by Jakarta Court, Indonesia. The rights and
obligations of the parties shall be governed by the substantive laws of the Indonesia. The
language to be used in proceedings shall be English and Buyer version dispute shall be decide by
arbitration, the arbitration shall be held in Australia, language of use shall be English.
