DRAFT AGENCY AGREEMENT

A.) This Agency Agreement is made on this 1st of March 2023 between the following
parties:

(hereinafter shall be referred to as "Principal").

(hereinafter shall be referred to as "Agency").

2) Products:

1-Water Valves , Expansion Joints ..etc mentioned on Duyar's '' General Catalogue''
2-Fire products mentioned on Duyar’s “FIRE SYSTEMS PRODUCT CATALOGUE”

3) Brands: DUYAR

4) This agreement shall be effective starting from 1st of JUNE 2023 for a period of 2 year and
shall expire on 30st of MAY 2025

5) Territory : QATAR , OMAN , SAUDI ARABIA

*Exception: Principal can supply directly to clients the products in QATAR territory on agreed conditions
with the Agency. (If there is no clarifica on, 3% commission on the amount of the related invoice will be
credited to the Agency.)

B). Principal and Agency hereby agree on the following terms:

1-Principal hereby appoints Agency as the Authorized Agent to represent the Principal in the Territory under
brand name DUYAR and to identify new costumers for Principal. The Agent hereby accepts and acknowledges
this appointment.

2-Principal hereby warrants to the Agent that all goods and products supplied by the Principal shall be in good
condition in terms of material and workmanship.

3-In case of any claim, request, such condition shall be submitted by post within fifteen days as of delivery of
goods. In case any claim arises, the Agency shall send products to the factory of the Principal upon mutual
agreement. Afterward, the Principal shall promptly procure new products and shall at no cost forward these to
the place designated by Agency upon mutual agreement

4-Agent and Principal shall maintain the confidentiality provisions of this Agreement excepting the disclosure
provision required by Law.

5- The Principal shall provide and make available documents and papers required for registration in ASHGAL
AND KAHRAMA

6-Following registration by Agency, this Agreement shall prevail until 30th MAY 2025 for a period of (2) year
starting from 1st of JUNE 2023.

However, Agents shall order a minimum of 150.000,00 USD value stock till the end of JANUYARY 2024 and shall
be requested to reach the target of a minimum of 250.000,00 USD for the end of 2025 Such a figure shall
automa cally increase from the second year as a minimum of 10 % per year.

If the target is not achieved, the Principal will have the right to terminate this agreement. This agreement shall
not be automatically extended on the expiry date without the approval of the Principal. Each Party shall be
entitled to terminate this Agreement 60 days prior wri en no ce to be delivered to the other Party.

7-Price validity for Duyar Valve will be checked every 6 months and shipment plan must be prepared by Agent
for given quantities.

8-The warranty period is 24 months from the date of the invoice.

9- Payment of the orders will be %100 irrevocable and confirmed L/C payable 120 days after proforma invoice.
The prices are in USD and Ex-works Istanbul.

10- The validity, performance, construction, and interpretation of this Agreement shall be governed by the laws
of Turkey. With respect to any disputes which cannot be resolved by internal processes, and subject to the
mandatory arbitration provision herein, the partners agree that jurisdiction for any legal action will be the state
courts located in İstanbul, Turkey. The parties hereby consent to the personal jurisdiction of such courts as
described above.

11-Parties have executed this Agreement in two copies and have caused their signatures by their duly
authorized representatives, stipulated below.
