1. GENERAL

Husky‐CNOOC Madura Limited (HCML) one of Production Sharing Contract (PSC)


operate in East Java Offshore has been in production since 2017 and become one of
major gas supplier to East Java Area.

HCML operating asset is BD field, 2M fields (MDH & MDA) and MAC Field. Located
offshore in the Madura Strait East Java

Husky-CNOOC Madura Limited (COMPANY) has identified a requirement for a call-


off Engineering Services contract for a two (2) years period. Upon COMPANY’s
issuance of a Service Order, CONTRACTOR shall perform studies, research, specialty
engineering and integrity assessment works to support COMPANY’s effort in

maintaining the integrity of COMPANY’s production facilities. The services shall


provide engineering package that includes recommendation, drawings, calculations,
procedures, etc. for inspection, maintenance, repair, rehabilitation, and new development
through reliable, optimum and cost effective alternatives (the “Service”).

This contract will be used to provide reimbursable engineering services to support


offshore and onshore oil and gas production facilities modifications and improvement.

COMPANY will issue from time to time specific service orders/work instruction to carry
out specific work under this contract. COMPANY will also issue the detailed scope of
work for such service orders/work instructions.

COMPANY’s objective is to carry out all modifications projects and new build projects
in a safe manner with minimum downtime of the existing facilities. Due to the
complexity of the engineering required for offshore retrofit projects, a CONTRACTOR
with an established engineering office in Jakarta (Jabodetabek) that has outstanding
capability, latest software available and a proven track record of engineering offshore oil
and gas retrofit projects and Greenfield gas development projects is required. The
CONTRACTOR must have sufficient staff and resources in its Jakarta office to be able
to complete the scope of work within the specified time frame and to be able to rapidly
respond to requests for engineering assistance to support offshore oil and gas production
facilities and operations. In addition to this, CONTRACTOR shall have experience of
engineering and project management of gas compression projects.

2. LOCATION OF THE SERVICES AND POINT OF MOBILIZATION /


DEMOBILIZATION

2.1. CONTRACTOR shall perform the services at:

 COMPANY’s Office Jakarta


 COMPANY’s Shore base (Madura & Banyuwangi)
 COMPANY’s Offshore Madura Strait.
 CONTRACTOR’s Jabodetabek representative office or other location approved by
COMPANY
 Other COMPANY’s premises and/or other designated place as stated in each Service
Order.

2.2. Point of Mobilization and Demobilization

 COMPANY’s office Jakarta


 COMPANY’s shore base (Madura & Banyuwangi)
 Other COMPANY’s premises and/or other designated Point of Mobilization as
stipulated in each Work order

3. SCOPE OF WORK

The Services shall include, but not limited to, all the labor, permanent and consumable
materials, supervision, equipment, software and any other items mentioned, stated,
required or reasonably implied, to efficiently execute the Services in accordance with the
conditions set forth in this Scope of Services.

All services provided by the CONTRACTOR shall comply with statutory regulations,
applicable industrial and COMPANY codes, standards and specifications. Any
recommendation, design and procedures as a result of the study, research, engineering
and assessment shall be based on reliable technical approach and shall be workable.

Each work case will have a dedicated Service Order and may contain one discipline area
or a combination of multidisciplinary areas as detailed below. Where there is any case
that has not been specified hereinafter, does not excuse CONTRACTOR from providing
the qualified personnel, equipment and software for such work case.

The work to be performed during contract is described as follow:

3.1 Existing Platform De-bottlenecking/Modifications Engineering

From time to time, there will be a requirement for the existing facilities to be modified
and/or de-bottlenecked. COMPANY will provide the scope of work at a later date.
CONTRACTOR shall carry out all necessary site visits for modifications work as
mandated by scope of work.

3.2 Pipeline
During contract period COMPANY may require service from CONTRACTOR, pipeline
engineering, pipeline assessment, subsea tie-in design, etc of new pipeline or existing
ones.

3.3 Update As Built Critical Drawings

COMPANY’s ISO14001 accreditation requires that certain design documentation is


retained in an as-built status. The nature of retrofit works carried out on COMPANY
facilities dictates that certain project work scope deliverables may not include all affected
“critical” drawings. From time to time as determined by COMPANY, these documents
will need to be returned to as built status.

The Engineering work scope will include typically:


- Offshore site visit for verification by relevant disciplines
- Update critical drawings (electronic in AutoCAD)

Critical drawings/documents that are required to be kept in an as built condition include,


but not limited:

4. DISCIPLINE ENGINEERING SCOPE OF WORK

For all aforesaid projects, CONTRACTOR needs to carry out work covering, as a
minimum, the following activities:

4.1. Process & Safety Engineering

a. Perform process simulations and heat & material balance for various cases
b. Prepare/update P&ID’s and UFD’s and PFDs
c. Process input for instrument data sheets
d. Provide composition and operating data for input to materials selection
e. Define tie-ins, interface schedules and work sequences
f. Perform safety assessment / study for ongoing projects or by COMPANY request
g. HAZID & HAZOP Analysis
h. Fire & Explosion Risk Assessment (FERA) Analysis
i. Quantitative Risk Assessment (QRA) Analysis

4.2. Mechanical / Piping Engineering

a. Prepare demolition drawings wherever applicable

4.5. Civil and Structural Engineering

a. Civil Integrity
 Concrete Technology
CONTRACTOR shall provide services in concrete technology, in particular for
onshore foundations that support plant facilities such as module, building,
receiver, launcher, piping, etc. This services shall cover the design of new
concrete-based facility and assessment of the existing concrete structure,
including field-test, laboratory test, condition evaluation, retrofit design, etc.
 CONTRACTOR shall provide services to perform integrity assessment and
engineering design which may impact from damage, defect, etc. for the existing
onshore facility condition such as building, equipment, etc. to ensure its
workability and safety purposes.
b. Offshore Structural Integrity Evaluation
CONTRACTOR shall perform structural integrity assessment and workability
assessment of jacket and deck, using linear and non-linear analysis approach by
incorporating the existing condition of the structure which may include mechanical
damage, corrosion, material damage or other defect, and seabed subsidence.
CONTRACTOR shall perform engineering design of strengthening, repair and re-
instatement as required in order to ensure the integrity and workability of the existing
structure. This may cover finite element analysis, drafting and reporting, as follows:
 Review and update jacket and deck in place, seismic, fatigue and advanced
analyses
 Define jacket and deck modifications
 Provide miscellaneous calculation (pad-eyes, sling, temporary support, etc)
 Pile drivability analysis
 Pile make up/handling study
 Serviceability study for the simple/temporary structure
 Produce and review all structural drawings

c. Structural Defect Evaluation


CONTRACTOR shall evaluate the failure mechanisms of a known defect in
structural component and recommend method to prevent the growth and failure. This
service may include field measurement/test, laboratory test and finite element
analysis.
d. Define requirements for material procurement (Procurement Engineering) and
offshore hook-up (T&I Engineering)
e. Prepare MTO’s (incl. weight calculation)

4.6. Pipeline Engineering

4.7. Miscellaneous Services Support

3.7.1 Failure and Root Cause Analysis

CONTRACTOR shall perform failure and root cause analysis and assist COMPANY in
incident investigation of leak or failure on COMPANY assets, determine causes, provide
recommendation to avoid recurrence, recommend remediation for immediate short-term
and long-term actions.

3.7.2 Fitness for Work Analysis

CONTRACTOR shall perform Fitness for Services analysis on known defects/anomalies


on pipeline, riser, structure, pressure vessel, piping, etc. with reference to applicable
codes, procedures, and specification. In this study, CONTRACTOR shall evaluate all
relevant deterioration mechanisms, recommend mitigation and remediation required.

3.7.3 Risk Analysis

CONTRACTOR shall perform engineering risk assessment and analysis including, but
not limited to, risk-based program verification, risk-based design criteria development
and risk mitigation method.

3.7.4 Specification Review

CONTRACTOR shall assist COMPANY to review various specifications, standards,


guidelines, manuals and drawings and ensure the compliance with for tender, contract
preparation, for engineering design, construction, and installation.

3.7.5 Laboratory and Destructive Testing/Modeling

CONTRACTOR shall perform laboratory test, modeling and simulation for a specific
case. It may be conducted in a wave tank, fluid mechanic laboratory, concrete laboratory,
material and metallurgical laboratory, dynamic testing laboratory, computation
laboratory, etc.

4.8. Project Engineering

a. Assist COMPANY in developing a project schedule, cost control, inter discipline


check, man hour and resources estimation.
b. Coordinate third party studies including safety audits, noise and a vibration studies,
HAZOP, etc.
c. Provide purchasing assistance to COMPANY as required.
d. Provide on-site assistance to COMPANY as requested. CONTRACTOR shall
provide fabrication/construction/installation support as required for its design
projects. This will include production of construction mark-ups and as-building of
final commissioned installation. Any site visits/redesign required to solve installation
clashes etc shall be at CONTRACTOR’s expense.
e. Submit & monitoring CONTRACTOR’s weekly report, cost spending report, and
close out report

5. DELIVERABLE LIST

Following is the minimum deliverables for various disciplines engineering as described


in section-2 to section-3 above.

5.1. Project Management

a. Time schedule for overall project (must be submitted before the project begun)
b. Minutes of Meeting (MOM) of every discussion with the COMPANY reps
c. Actual timesheet of manpower which have to be submitted by weekly (will be
verified by the COMPANY)
d. Quick respond of CTR (maximum 1 week) after being requested by COMPANY

5.7. Notes On Deliverables

 Draft Final Report: an individual written report, prepared in an agreed format,


containing a complete and final conclusion of the requested services, shall be
submitted within a period of time specified in the Service Order for each specific
Work. COMPANY will review, comment or approve, and will revert to
CONTRACTOR within ten (10) workdays.
 Final Report: within ten (10) workdays of COMPANY approval of the final draft
report, CONTRACTOR shall deliver to COMPANY one (1) original, one (1)
hard copy and one (1) soft copy of the final report incorporating COMPANY’s
review and comments, including electronic copy of software input and output.
For services which computer analysis or finite element analysis is performed, a
soft copy of the input and output files shall also be delivered

2. Technical Presentation:

 Upon COMPANY’s request, CONTRACTOR shall make presentation on the


Services regarding the methodology, results, recommendation, etc. and shall be
attended by key personnel involved in the particular services.
 All engineering drawings shall be prepared in accordance with COMPANY
procedures.
 All CAD deliverables shall be in AutoCAD 2020 or later (.dwg) format.
COMPANY shall require both hard and soft copies of CAD deliverables.
Quantities will be specified within individual Service Order/Work Instructions.
 CONTRACTOR shall furnish, upon request and at no charge to COMPANY,
copies of all engineering analyses input and output on USB Flash Disk at the
completion of each project.
 CONTRACTOR shall furnish, upon request and at no charge to COMPANY,
copies all 3-D model files (model and database) in a format compatible with
AVEVA PDMS review and Autodesk Navisworks Viewer at the completion of
each project.
 Transmittals shall be used for the transfer of any documentation, USB Flash Disk
and the like.
 All documentation furnished by CONTRACTOR shall be in the English
language.
 All engineering units shall conform to U.S. standards using the foot-pound-
second system. Exceptions shall require COMPANY acceptance.
 Procedures, reports and other documentation prepared by CONTRACTOR for
submittal to COMPANY shall be bound in standard loose-leaf two (2) binders
with “letter” size paper. Drawings shall be prepared on COMPANY’s provided
standard size sheets.
 COMPANY shall have title to all drawings, specifications, reports, test results
and specimens, data and work product of CONTRACTOR in relation to the
Services.

6. ENGINEERING INPUTS PROVIDED BY THE COMPANY

COMPANY will furnish following drawings/documents to enable CONTRACTOR carry


out aforesaid work. CONTRACTOR is responsible to advise COMPANY if additional
input/documentation in addition to the ones listed below-

a. Drawings/documents for the existing facilities as applicable and if available


b. The document numbering system
c. The drawing preparation & distribution procedure document number.
d. COMPANY’s HSE Policy document
e. COMPANY’s General Specifications
f. Copies of Purchase specifications for materials purchased by COMPANY
g. Some specific catalogue information for the bought-out items as applicable
h. Vendor drawings/information for materials purchased by COMPANY and required
for completing the design.

The above COMPANY-supplied documents will be listed in each Scope of Service


prepared for each specific service. Any other documents or information seen by
CONTRACTOR as relevant to each services, will be provided at CONTRACTOR's
request, if available.

If the needed information or document is not available, CONTRACTOR may propose


assumptions or approach for COMPANY review and approval. In the case where the
specific information/data or document is essential in order to enable CONTRACTOR to
perform the Services, CONTRACTOR has an obligation to collect all the required
information/data with or without any help from COMPANY.

7. EXECUTION OF THE WORK

a. Work to be awarded to CONTRACTOR under this Contract will be released by a


written instruction from COMPANY for each work case, which will describe the
background, Scope of Services, and the expected performance deliverable and time
frame.
b. The CONTRACTOR proposals shall at least include but not limited to:
 Work Background
 Methodology and technical approach describing how the CONTRACTOR will
execute the Services
 Project management including resources, time and cost planning
 Proposed personnel including CVs
 Proposed Scheduled
 Cost Proposal
 List of Deliverables
c. COMPANY will review CONTRACTOR’s proposal and may request clarification
and interview of the personnel if necessary. COMPANY will issue a Service Order
upon approval of the proposal as the reference for CONTRACTOR to perform the
Services.
d. CONTRACTOR will prepare an estimate of the man-hours and cost for each written
instruction, a full list of deliverables and a schedule for performance of the work and

submit to COMPANY for approval. Such instructions can be issued against this
contract for a period of twenty four (24) months following contract award.
e. The work shall be completed in accordance with the schedule agreed between
COMPANY and CONTRACTOR prior to work release and stated in the instruction.
f. Work in progress at the twenty four (24) months contract expiration date shall be
completed under the terms of the contract or terminated in accordance with
COMPANY requirements.

8. WORK FORCE ORGANIZATION

a. CONTRACTOR shall assign a Single Point Contact (SPC) for the whole duration of
the contract. The SPC shall be authorized, on behalf of the CONTRACTOR, to
receive and respond to all instructions in connection with the Services requested from
COMPANY representative, to act as liaison person for CONTRACTOR for day to
day activities to ensure the good performance of the Services including manage and
monitor performance, expenditure, etc.

b. The SPC shall be available within two (2) workdays upon COMPANY request to
respond to any instruction and to attend meetings related to the contract i.e. Scope of
Service, progress review meeting, Quarterly Performance Review, etc.

c. SUBCONTRACTOR Management
 Subcontracts
CONTRACTOR may assign subCONTRACTOR to perform the Services in
whole or in part. If the Services is subcontracted, CONTRACTOR shall notify
COMPANY in writing of all proposed subcontracts prior to execution of the
related subcontracts and shall furnish, at COMPANY’s request, copies of
executed subcontracts. CONTRACTOR shall have a written contract in place for
each proposed subCONTRACTOR prior to such subCONTRACTORs
performing any services, containing terms and conditions substantially similar to,
and no less onerous than, those contained in this contract. CONTRACTOR shall
assure that any such subCONTRACTORs carry out the Services assigned thereto
in accordance with the requirements of this contract and CONTRACTOR shall
remain liable to COMPANY for all services performed by subCONTRACTORs.
 Integration
CONTRACTOR shall endeavor to integrate subCONTRACTOR personnel into a
single integrated organization to deliver the services. Integration shall extend
across planning, cost control, HSE, engineering, and QA/QC of the services.
 Integrated Management System
CONTRACTOR shall establish an integrated management system that clearly
documents the following:
- An interface chart clearly identifying the management structure that will be
established to manage the subcontract and the three keys risks associated with
each sub-contract
- A description of the roles and responsibilities of all positions identified on the
above referenced management structure

- The key business performance metrics (KPI’s) that will be used to monitor
the performance of the subCONTRACTOR
 SubCONTRACTOR Performance Management
d. CONTRACTOR shall establish and maintain a system of KPI’s that shall be agreed
prior to the commencement of each Work in a manner similar to that which company
employs to monitor CONTRACTOR.
e. CONTRACTOR’s representative shall report to COMPANY’s Project
Engineer/Manager resident in Jakarta.
f. CONTRACTOR shall provide COMPANY with a list of the proposed manpower and
schedule for each item of work prior to receipt of an instruction authorizing
CONTRACTOR to proceed with the work.

9. PROJECT STAFFING

a. The man-day estimate provided by COMPANY in Exhibit-B, is for bid evaluation


only and shall not be deemed to imply a commitment by COMPANY.
b. CONTRACTOR shall provide COMPANY with candidate qualification resumes for
approval prior to assigning new personnel to, or removing existing staff from the
work.
c. CONTRACTOR shall maintain an adequate pool of qualified managers, schedulers,
engineering, designers, draftsmen, and other support personnel to satisfactorily staff
all work required by this Contract.
d. CONTRACTOR personnel shall be billed to COMPANY at the level of their work
assignment on COMPANY projects and at rates as listed in Exhibit B, Schedule of
Contract Price and Rates. The qualifications and experience of personnel for each
position shall conform with the minimum requirements stated in Attachment-A1 or as
approved by COMPANY’s project manager

10. WORK SCHEDULE

a. The work schedule for CONTRACTOR’s personnel, local leave and vacation shall be
arranged by CONTRACTOR to suit the requirements of the work in progress.
b. Each of CONTRACTOR’s personnel shall submit weekly time sheets showing hours
spent on each work assignment. These time sheets, approved by COMPANY, shall
be attached to CONTRACTOR’s invoice along with a copy of the written Instruction
authorizing the work.
c. CONTRACTOR’s timesheet shall be submitted for approval on weekly basis. Late
submission will not be approved and paid by the COMPANY.
d. The normal working schedule for office based personnel at either CONTRACTOR’s
or COMPANY’s Jakarta Offices shall be eight (8) hours per day, five (5) days per
week, Monday through Friday, for a total of forty (40) working hours per week.
e. The normal working schedule for offshore shall be twelve (12) hours per day, seven
(7) days per seek.

f. Overtime shall be periods worked in excess of above outlined normal working


schedules for office based and offshore based personnel. Overtime shall be
reimbursed by COMPANY at the same hourly rate as that used for standard hours.

11. CONTRACTOR FACILITIES AND PERSONNEL REQUIREMENTS

11.1. Engineering Office Location and Facilities

COMPANY may from time to time have a full time representative(s) in


CONTRACTOR’s offices in Jakarta as required for the duration of the project, to provide
assistance in interpreting the General Specifications, provide information regarding
COMPANY’s procedures and operating requirements, design criteria, review design
drawings, calculations, specifications and documents, and monitor progress. To facilitate
this, it is required that the CONTRACTOR’s engineering office be located in Jakarta
(Jabodetabek), Indonesia.

CONTRACTOR shall provide the office facilities for four (4) COMPANY personnel
including the telephone, fax, personal computer with internet connection and connected
printer and stationary. COMPANY shall not separately reimburse for these services and
CONTRACTOR must include the same in the hourly rates quoted for the work.

To be able to execute the work efficiently CONTRACTOR’s engineering office shall


have a minimum of thirty (30) full time employees engaged in engineering works for
offshore oil and gas field development. Support from an overseas parent or affiliate that
has at least two hundred full time employees is also a requirement.

Given that the scope of work would generally be multi-disciplinary in nature, all the
engineering work is required to be performed in one location by a single entity (ie.
without outsourcing except for some special studies or as may be agreed from time to
time with COMPANY) to achieve maximum coordination and integration of
multidiscipline activities.

11.2. Quality Management System

CONTRACTOR is required to demonstrate that it uses and maintains a quality


management system in the engineering office proposed for the work. The quality system
shall include the management of sub-CONTRACTORs and vendors.

11.2.1. Appraisals

CONTRACTOR shall submit a list of any quality appraisals carried out by


external sources within the last twenty-four (24) month period, identifying the
source and the standard against which the appraisal was carried out with the
results summarized.

CONTRACTOR shall submit a list/register of internal quality audits carried out


within the last twelve (12) month period clearly identifying the
subject/department, observations, non-conformances and follow-up plans.

CONTRACTOR shall submit a copy of its Corporate Quality Manual that shall
include as a minimum:

a. Policy and authority statement


b. Details of corporate organization & structure
c. Details of quality documentation hierarchy
d. System of qualifying personnel and assurance of suitability of staff
e. Generic job descriptions
f. System of selection, qualification and control of sub-CONTRACTORs,
including vendors/sub vendors and agents.
g. Control of interface activities and coordination measures between various
departments and offices during all phases of the work.
h. Overall list of generic procedures including a brief description of their
application.
i. System for preparation, checking and approval of work documents/procedures
j. System for dealing with project changes, design changes, revisions to
constructions procedures etc.
k. Document control and management system

11.3. Project Planning and Control System

CONTRACTOR shall demonstrate it is in possession of and can effectively use a


suitable and acceptable planning and control system, which can ensure that
COMPANY’s objectives and scopes of work are translated into the most efficient
possible methodology and strategy for execution of the works. Through the
implementation of the control system and a disciplined approach to the control of the
work, an efficient and effective work execution plan shall be produced.

The objective of the planning process is to ensure that the work activities of the
COMPANY are planned, managed and controlled, and performance objectives are met.
COMPANY views planning within the control environment as the tool to allow
identification of a project’s needs, progress to be monitored and goals achieved.

CONTRACTOR shall provide “running cost” report of the project, minimum for every
month. The minimum information shall include contract used, remaining budget,
schedule/date for total contract and each project. A spreadsheet template of the running
cost report will be given by COMPANY, CONTRACTOR may modify the spreadsheet
as necessary.

Quality and safety shall be of high priority for the design work and drawings generated
and shall be clash free. Necessary verification/ site checks shall be carried out for clash
free modification work. Any major modification for clashes will be back charged

11.4. Platform Retrofit and Pipeline Engineering Experience and Track Record

CONTRACTOR shall demonstrate extensive knowledge and experience and an


acceptable level of engineering expertise in offshore platform modification and pipeline
engineering projects, performed in CONTRACTOR’s Jakarta office.

CONTRACTOR must have completed at least two engineering contracts for the design
of modifications to existing offshore platform facilities and pipeline engineering. Each
contract which shall have been executed within the last five (5) years and have had a total
contract value for engineering exceeding US$ 500,000. Each contract must also have
been performed in CONTRACTOR’s Jakarta office.

11.5. CAD Facilities and Personnel

CONTRACTOR shall have in place in its Jakarta engineering office, an AutoCAD


system with a minimum of 30 work-stations operated by fully trained and experienced
personnel. The system shall be able to print drawings of A4 to A0 sizes, and be able to
generate various design drawings including but not limited to schematic drawings like
PFD’s, P&ID’s, electrical single line diagrams, instrument loops and logic diagrams,
scaled and dimensioned drawings such as equipment layouts, piping layouts, structural
and architectural drawings. For retrofit work involving relatively major modification and
hook-up on a live platform, it is essential to have the capability to produce high quality
precision accuracy drawings that will minimize rework offshore as well as platform
shutdown duration.

In addition, for plotting requirements, the facilities shall be supplemented with the
following (or their equivalent):

a. 1 HP Desk Jet 750 C Plus, A0 Size (Color)


b. 1 HP Color Laser 5550 DN,

CONTRACTOR shall have in its Jakarta Office the following CAD capability:
a. 3D plant modelling package such as PDMS or equal (optional)
b. 2D/3D drafting package: AutoCAD 2020 or later
c. Fully trained personnel to operate the above.

CONTRACTOR shall also be able to demonstrate that he is fully experienced in the use
of the above CAD systems to produce accurate clash-free drawings with multi-
disciplinary input.

CONTRACTOR shall also demonstrate that it has access to and the capability to utilize
from its Jakarta office as may be required, a full 3D plant modelling package such as
PDMS or its equivalent and it is experienced in the use of the above to generate 3-D
offshore platform models. This facility may be sub-contracted by CONTRACTOR,
provided CONTRACTOR directly controls the work.

CONTRACTOR shall have a full range of duplicating and copying equipment for
efficient and economical reproduction of reports, specifications, bid documents, and
engineering drawings of all sizes.

The Services shall include the provision of reports, documentation, data and the like. The
cost for such reports, documentation data and the like, in paper and in CD ROM, shall be
included within the overhead cost in the unit rate for personnel based at
CONTRACTOR’s premises. CONTRACTOR shall provide up to three (3) copies.

11.6. Computer Software

CONTRACTOR shall demonstrate that its engineering office utilizes a full range of
proven engineering and planning software for execution of engineering studies, designs
and documents, development and printing.

CONTRACTOR shall as a minimum demonstrates adequate experience in the use of the


latest version of appropriate computer programs (at least one program per application)
list below for performing the work. Equivalent or more advanced computer programs for
the same program in lieu of those listed below are also acceptable, including any in-
house programs.

CONTRACTOR shall also describe the computer hardware it has available and clearly
demonstrate it has sufficient hardware capability to support the relevant software. All
software (every copy) used by CONTRACTOR shall be fully licensed and authentic.

Man-hour rates of CONTRACTOR shall be inclusive of the use of the above software.
CONTRACTOR’s will reimburse at cost for use of specialist software that may from
time to time be required by COMPANY for performance of the work.

11.7. Personnel Qualifications

A pre-requisite for the successful completion of the work is that CONTRACTOR must
have key personnel currently in full time employment. CONTRACTOR shall
demonstrate that it has suitable, competent and experienced personnel who are proficient
in the fields of work required for this project.

In particular, CONTRACTOR shall demonstrate that it has within its Jakarta office, full
time personnel who have an appropriate level of expertise and experience as specified in
Exhibit-A1.

For each position, CONTRACTOR must clearly state if the individual is currently
working in CONTRACTOR’s Jakarta office and holds an Indonesian work permit.
CONTRACTORs should note that mobilization, de-mobilization and work permit costs
for individuals not permanently resident in Jakarta is not separately reimbursable by
COMPANY and must be included in CONTRACTOR’s hourly rate as applicable.

11.8. Provision of CONTRACTOR’s Personnel

CONTRACTOR shall, at its sole cost and responsibility, assign exclusively to perform
the Services; competent, well-trained, experienced and qualified personnel in oil and gas
industry as specified in above.

The CONTRACTOR shall provide personnel as defined above with specific names,
resumes and valid medical record for review. Before initial acceptance of any candidate,
COMPANY shall interview CONTRACTOR’s proposed candidates at COMPANY’s
office. CONTRACTOR, at its sole cost, shall make all necessary arrangements for the
interview. The CONTRACTOR shall mobilize its approved personnel within twenty one
(21) calendar days of the date for commencement.

The COMPANY may at its discretion approve or refuse the provision of any such
CONTRACTOR's personnel by stating the reason and may within fourteen days of

interview process notify the CONTRACTOR in writing of its approval, trial period, or
refusal. Absence of such notification by the COMPANY within fourteen days shall
constitute approval.

If CONTRACTOR fails to provide the resources that satisfy COMPANY requirement


and in timely manner, COMPANY may, at its sole discretion, select and appoint
personnel to be hired through this contract and will compensate CONTRACTOR with
the same rate as stipulated in Exhibit B of this contract. Any other costs implication due
to this failure shall be borne by CONTRACTOR.

11.9. Removal and Replacement

The CONTRACTOR must make every reasonable effort to ensure that


CONTRACTOR’s personnel remain the same throughout the duration of the Contract.
The CONTRACTOR shall not remove any of its COMPANY approved personnel from
the project, without written approval from COMPANY Representative and the approval
shall be obtained at least one month prior to the replacement of any of the
CONTRACTOR’s Personnel.

However, at the instruction of COMPANY in writing, CONTRACTOR shall remove


from duties any of the CONTRACTOR's personnel who are not performing the Work in
accordance with the requirements of this Contract or is otherwise considered unsuitable
to COMPANY. COMPANY shall state the reason for such removal in the written
instruction.

The CONTRACTOR shall immediately at its cost and expense replace the removed
person under the provisions of clauses above with qualified and capable person to
perform the duties of position being left. This sub-clause shall also apply to
CONTRACTOR's personnel leaving by their own desire although in this case no
incumbent personnel may be substituted until his proposed successor’s qualification is
assessed and approved by the COMPANY.

11.10. Mobilization and Demobilization

CONTRACTOR should, at its own cost and expense, provide for and arrange all
mobilization and demobilization inclusive of all transportation and accommodation for
CONTRACTOR’s personnel and tool/equipment to COMPANY’s worksite and
COMPANY’s point of mobilization and demobilization. The equipment for use offshore
should be sent to COMPANY’s shore base or other designated point of mobilization as
stipulated in the Service Order. COMPANY will provide sea transportation from
COMPANY’s shore base to survey location and return.

12. STANDARD PERFORMANCE

a. CONTRACTOR shall carry out the Services hereunder with due diligent, in a safe
and professional workman manner. All services provided by the CONTRACTOR

shall comply with statutory regulation, applicable industrial and COMPANY codes,
standards, and specifications.
b. CONTRACTOR shall respond to any Service Order/ instruction/ COMPANY’s
request within two (2) working days following the issuance date of the Service
Order/ instruction/ COMPANY’s request.
c. CONTRACTOR should inspect all materials and equipment furnished by
COMPANY before use, and shall notify COMPANY if any defects on the supplied
materials and equipment are found.
d. CONTRACTOR shall complete each Work at the date set forth in the Service Order.
e. The Services shall be deemed completed only upon written acceptance by
COMPANY’s Representative which is evidenced by an acceptance signature on the
Work order.
f. CONTRACTOR should provide at least at its own cost all services and supplies for
its personnel, including but not limited to:
• Personnel insurance coverage
• All safety equipment and training included but not limited to PPE (safety hats,
safety boots, fire retardant coveralls, gloves, eye goggles and ear protectors, etc)
and Safety training as specified by COMPANY.
• Mobilization/demobilization expenses, unless specifically allowed for in this
contract.
• Accommodation, visas, work permits and other expenses as required while
resident in Indonesia, except at job site.
d. CONTRACTOR shall respond to any Service Order/ instruction/ COMPANY’s
request within two (2) working days following the issuance date of the Service
Order/ instruction/ COMPANY’s request.

13. CONTRACTOR’s Obligation

a. All CONTRACTOR’s personnel shall be deemed to be the servants of the


CONTRACTOR and the CONTRACTOR shall be solely responsible for payment of
salaries to such personnel. The CONTRACTOR shall meet all costs for its personnel
including but without limitation those associated with formalities, travel,
accommodation, holiday/rest periods and sickness throughout the Services.
b. The CONTRACTOR shall ensure that when appropriate all CONTRACTOR's
personnel are in possession of valid passports and shall obtain all visas and entry or
other permits required to enable such CONTRACTOR's personnel to proceed to and
work in COMPANY’s worksite.
c. The CONTRACTOR shall ensure that all of its personnel diligently perform the
Work under this Contract and obey all lawful orders and instructions of the
COMPANY.
d. CONTRACTOR shall comply with COMPANY’s policy concerning HSE (Health,
Safety and Environment).
e. CONTRACTOR shall provide personnel who have received proper safety training
related to his or her assigned responsibilities. CONTRACTOR shall provide the
appropriate safety equipment related to the tasks to be undertaken including, but not
limited to, hardhat, safety glasses, earplugs, safety shoes.

f. CONTRACTOR shall be responsible to complete for any mandatory training


instructed by COMPANY, shall include, but not limited to First Aid, Water Survival,
and Fire Fighting.
g. CONTRACTOR should, at its own cost and expense, provide for and arrange all
mobilization and demobilization inclusive of all transportation and accommodation
for CONTRACTOR’s personnel and tool/equipment to COMPANY’s worksite and
COMPANY’s point of mobilization and demobilization. The equipment for use
offshore should be sent to COMPANY’s warehouse or shore base or other designated
point of mobilization as stipulated on Service Order. COMPANY will provide sea
transportation from COMPANY’s shore base to survey location and return.
h. CONTRACTOR shall submit a complete inventory report to COMPANY’s
Representative on its equipments, tools and consumables sent to offshore within two
calendar days. Equipment, tools and consumables not listed in the inventory shall be
deemed as COMPANY’s property.
i. CONTRACTOR shall provide daily time sheet to be reviewed, signed and recorded
by COMPANY’s Representative at the worksite.
j. CONTRACTOR shall follow COMPANY’s crew change schedule.

14. COMPANY’s Obligation

a. COMPANY shall issue Service Order (SO) or Instruction to Perform (ITP) to


CONTRACTOR at least 1 (one) day prior to mobilization.
b. COMPANY reserves the right to suspend the Work due to safety infringement until
corrective action is made by CONTRACTOR within 7 (seven) calendar days.
c. COMPANY shall provide transportation of CONTRACTOR’s personnel and
equipment from Point of Mobilization to Point of Demobilization.
d. COMPANY shall furnish CONTRACTOR’s personnel with standard COMPANY
meals and accommodations onsite.
e. COMPANY shall have no responsibility to provide CONTRACTOR’s Personnel
with medical treatment except an emergency medical treatment as available at
worksite.
f. COMPANY reserves the right to terminate the Contract in case the CONTRACTOR
cannot or fail to perform the Work.
g. COMPANY reserves the right to de-mobilize CONTRACTOR’s Personnel for:
 Work which is performed not to COMPANY’s specification
 Theft or damage to COMPANY’s Property
 Violation safety rules to endanger life
 Without using complete safety apparatus

15. INDONESIAN REGULATIONS

The design of the platform modifications and pipeline engineering will be in compliance
with the latest editions of the following regulations:
