The internship opportunity with us has been designed to provide you with an excellent platform
to learn and enhance your business perspective. We hope the project assigned to you during
internship will provide you with a set of new learnings and a better appreciation of the company
and its functioning. The offer of internship is subject to the following terms and conditions.

Place of Assignment & Department

You shall be working in the Sales & Marketing department and your place of posting shall be Pune.

Date of Joining
Your Summer Internship Program will commence on 1st May 2024, and will conclude on 29th Jun
2024.

Allowance
You will be paid an allowance of Rs. 500/day on the days of store visits only.

Guidelines
- In case of any accident to the interns within our premises resulting into injury & / or death,
we will not be responsible for any type of compensation or expenditure on medical
treatment.
- If the Interns performance /attendance/conduct etc. is not found satisfactory during the
internship period, the training period shall be terminated at any time without giving any
reason.
- On completion of internship, the interns will be required to submit project report along
with a project presentation to us.
- The interns shall adhere to the disciplinary/administrative norms of the company as well
as rules regarding safety & security.

CONFIDENTIALITY AGREEMENT

This agreement dated 29/04/2024 is made by and between Adani Wilmar Ltd. (hereafter termed as
'the Company'); and Namrata Anand an adult Indian National having her address at Hno 4, Tadye
Colony, Ashok Nagar, Madhya Pradesh.

The Intern shall be working with the Company for a limited period on assignment mutually agreed
by the Parties.
A. For the Intern to work on the mutually agreed assignment, the Company is required to share
certain confidential information to the Intern (Purpose).
B. The Company has agreed to share the confidential information on and subject to provisions
of this agreement.

IT IS NOW THEREFORE AGREED in consideration of mutually agreed covenants, the sufficiency

of which is agreed hereby, the parties agree as follows:

1. Definitions

'Confidential Information' shall mean all information provided by the Company to the Intern
in any format (written, orally or visual).

2. Obligations of the Intern

From the date of this Agreement, except as provided for in clause 6, the Intern undertakes
to the Company to:

(a) receive and keep the Confidential Information secret and confidential and not disclose
such Confidential Information to any third party.

(b) use the Confidential Information only for the Purpose.

3. Return of Confidential Information

Upon termination of this Agreement or if the Intern is in breach of any of the conditions of
this Agreement, and at any other time on the written request of the Company, the Intern will
immediately return the Confidential Information and any copies thereof made by or in the
possession of or under the control of the Intern pursuant to this Agreement. At no point in
time during the term of this Agreement or thereafter, the Intern shall not transfer or remove
any confidential information, in any format, from the premises of the Company.

4. Limitation of transferred rights

4.1. The Intern acknowledges and agrees that the property and copyright in Confidential
Information disclosed to him/her by the Company, including any documents, files and any
other items containing any Confidential Information, belongs to the Company.

4.2. This Agreement shall neither prejudice nor limit the rights of the Company in respect of
any intellectual property rights in the Confidential Information.

4.3. This Agreement shall not be construed to:

(a) grant the Intern any licence or rights other than as expressly set out herein in respect of
the Confidential Information.

 (b) require the Company to disclose any Confidential Information to the Intern

5. Foreground Intellectual Property

5.1 In the event that the Intern makes or observes any new discovery, improvement invention
(`Invention') relating to the Confidential Information or as a direct result of the Project
then the Intern will bring this to the attention of the Company.

5.2 The Intern shall not make or seek to make actual commercial gain from such an Invention,
nor make any patent application or secure any other proprietary rights to legally protect
any such Invention except with the prior written agreement of the Company.

5.3 The Company shall at all times be regarded as the owner of the Invention. The Intern shall,
at cost and request of the Company, sign all such documents, forms, assignment as may be
necessary for securing rights of the Company in any such Invention.

6. Publication
The Intern shall not arrange nor permit the publication of any information regarding the
results or outcome of the Confidential Information without the prior written consent of the
Company.

7. Notices
All notices required to be served pursuant to this Agreement shall be made in writing to the
following addresses mentioned in the title clause of the Agreement.

8. Law and disputes

The validity, construction and performance of this Agreement shall be governed by Indian
law. Any dispute arising under or in connection with this Agreement shall be subject to the
exclusive jurisdiction of the Gujrat courts to which the Parties to this Agreement hereby
submit.

I accept all the terms and conditions stated in the above letter of internship and would be
joining as required by the company
