AGREEMENT TO SELL

THIS AGREEMENT TO SELL IS MADE AT PANCHKULA, ON THIS


_____ DAY OF ____________________2022.

BETWEEN

(hereinafter referred to as the SELLER/S, which term shall where the
context so admits include his/her/their heirs, assignees, executors,
successors, legal representatives and administrators) of the one part;

AND

(hereinafter referred to as the PURCHASER/S, which term shall where
the context so admits include his/her/their heirs, assignees,
executors, successors, legal representatives and administrators) of the
other part.

WHEREAS the above said Seller/s is/are the sole/absolute owner(s)


of residential Flat No. _________ (__________ Floor), __________________
____________________________________________________________________
_____________________________________________________________________
and the said Flat is free from all the sorts of encumbrances i.e. sale,
Gift mortgage, will, claims demands, charges and litigation etc, and
the said Seller/s has/have confirmed that he/she/they has/have not
entered or executed any other Sale Agreement/ Agreement to Sell
previous to this Agreement to Sell.

AND WHEREAS the said Seller/s is/are interested in the sale of above
said Flat and the Purchaser/s is/are also interested to purchase the
same and both the parties have agreed with each other on the
following terms and conditions: -
NOW THIS DEED FURTHER WITNESSETH AS UNDER :-

1. That the total sale price of the above said flat has been fixed at
Rs.___________/-(Rupees ______________________________________
___________________________ only).

2. That the said Purchaser/s has/have paid to the said Seller/s a


sum of Rs._______________/-(Rupees __________________________

as an earnest money, against the said flat for which amount the
said Seller/s hereby acknowledges the receipt.

3. That the said Seller/s will clear all the outstanding dues against
the said flat (i.e. Electricity Bill, House Tax, Society
Maintenance Charges, Enhancement compensation, Interest/
Penalty upto date). The last date for completion of this bargain
that is for final payment and execution of transfer papers/sale
deed has been fixed on or before _______________.

4. That the Purchaser/s shall deposit 0.75%TDS against the above
said flat towards Seller/s account and produce the challan at
the time of full & final payment/registration of Sale Deed along
with balance payment after deducting the earnest money &
amount of TDS from the above mentioned total sale price.

5. That the Purchaser/s can get the said Flat transferred in


his/her/their own names or in the name (s) of his nominee(s) or
any other person (s) whomsoever and the said Seller shall have
no objection for the same. That the said Purchaser/s or
his/her/their nominee(s) shall hereinafter be responsible and
entitled for all type of loss or profit arising out of said
deal/bargain and the said Purchaser/s is/are authorized by the
said seller to receive any amount of earnest money from the
other person(s) by virtue of this Agreement to Sell and the said
Seller/s shall not have any objection for the same at any later
stage, but the said Purchaser/s shall be responsible to make
the full and final payment to the said Seller as per Provision of
Clause No. 1 of this “Agreement to Sell.” All expenses on the
execution/registration of the Transfer Papers/Sale Deed, shall
be borne by the said Purchaser/s, and the conveyance deed
charges shall be borne by the said seller/s.

6. That the said Seller/s will handover the physical vacant


possession and all the documents and papers in the original,
pertaining to this Flat to the said Purchaser/s at the time of
execution of transfer Papers/Sale Deed.
7. That if the Purchaser/s back out from this bargain then
his/her/their earnest money shall be forfeited in favour of the
said Seller/s and if the said Seller/s back out from this bargain
then he/she/they will pay double of the earnest money received
by him/her/them to the said Purchaser/s and the Purchaser/s
shall have the option either to accept the damages or to get the
said Flat transferred/executed through the sale deed, in
his/her/their favour through the Court of Law under the
Specific Relief Act.

8. That this bargain has been finalized with best efforts of


M/s. _________________________________________________________,
to whom both the parties, the Seller and the Purchaser/s will
pay 1% commission separately on the total sale price and
defaulter party shall pay 2% commission to the said Property
Dealer. No payment will be considered as paid without proper
receipt.
9. That if any dispute will arises out of this bargain then the same
shall be triable by the Panchkula Courts.
10. That this deed is made in duplicate. Original have been kept by
the Purchaser/s and copy by the said Seller/s for their records
and ready reference.

IN WITNESS WHEREOF both the parties have set their hands on this
deed at Panchkula on the day, month and year mentioned above in
the presence of marginal witness.
