strategies, promotional plans,

reports, samples, financial information ‫ا برمة م أ طرف ثانث واأل رار انت ارية وا مات ا ت ة‬
and models, inventions, user and

consumer data, databases and profiles,
software, contractual business and ‫مت رة نل ر وال تش ل ا مات ا يتثناة ب اا هذه‬
financial arrangements with third ‫االتفاقية‬
parties, trade secrets, information
regarding the directors and employees
and agents, and any other information
that is not available to the public but
excluding the excluded information.

3. All Confidential Information disclosed
to Receiving Party shall be and remain
the property of the Disclosing Party.
Receiving Party may make such copies
of written, recorded, or machine-
readable Confidential Information as
are reasonable in light of the Purpose
for which the Confidential Information
is being provided. All such
Confidential Information and all copies
hereof, shall be held under the terms
and conditions of this Agreement

use of Confidential Information for the

initiate any procedure purporting to

Disclosing Party.

7. The Receiving Party shall hold all
Confidential Information in confidence
and shall make no disclosure of
Confidential Information to any third
party except as permitted pursuant to
the terms of this Agreement. Receiving
Party shall use at least the same degree
of care to avoid inadvertent disclosure
or unpermitted use of the Confidential
Information that it employs with
respect to its own proprietary or
Confidential Information that it does
not wish to have published or
disclosed. Receiving Party shall be
permitted to disclose Confidential
Information to any of its employees,
attorneys, agents, auditors, consultants
or other personnel.

 8. The Receiving Party shall limit its use
of Confidential Information to the
Purpose and shall be entitled to
disclose such information to third
parties for such Purpose, provided that
the obligations of confidentiality
placed on the Receiving Party are
abided by those third parties as if they
were parties to this Agreement. It is the
obligation of The Receiving Party
should obtain executed confidentiality
agreements from third parties before
disclosure.
9. . However, Receiving Party shall not
use any Confidential Information for
its own benefit or for any purpose other
than those specifically provided in this
Agreement.
10. In no event shall Disclosing Party be
liable for any use by Receiving Party of
the Confidential Information or any
loss, damage or liability of whatsoever
kind of nature, which may arise from or
in connection with this Agreement or
the use, handling or storage of the
Confidential Information.
11. For a period of ten (10) years from the
date of expiration or termination of this
Agreement, the Receiving Party shall
keep secret and proprietary all of the
Confidential Information of the other
Party that is disclosed under this
Agreement. It is understood by the
Parties that the Confidential
Information disclosed by Disclosing
Party to Receiving Party shall not be
subject to this Agreement if such
information is:
11.1 In the public domain at the time of
disclosure;

11.3 Disclosed to Receiving Party by a
third party subsequent to disclosure by
Disclosing Party; and such disclosure by
the third party is not in violation of any
confidentiality agreement or obligation of
Disclosing Party; and

14. It is understood that this Agreement

according to Saudi Arbitration Law ‫وي ررا أن م ن قرار انتحكيم نه ررا مل و ررا ر ر ر ررم وم زم‬

arbitration shall be final, conclusive,
and binding on the Parties.
