SERVICE AGREEMENT CONTRACT

This agreement is made and executed this 5TH of NOVEMBER 2023 and entered in the
City of Santa Rosa, Laguna Philippines by and between:

Whereas, Service Provider and Client desire to enter into a relationship in which Service
Provider will provide:

Business Registration Assistance
Marketing and Promotional Assistance
Interior Layout Design Assistance

Now, therefore in consideration of the premises, and of the mutual promises and
undertakings herein contained, the parties, intending to be legally bound, do hereby
agree as follows:
1. STATEMENT OF WORK

-We only provide DTI permit

We will only assist and teach you how to process all the Permits and Registrations that you
might need in your Nail and Body Spa Business.

Interior Layout Design Assistance

∙ We will assist you on the layout spa floor plan

∙ We will try to suggest alternative options that can suit your budget and your chosen business
theme/motif
∙ We will assist you in any interior design you want to achieve.

Business Training

∙ Customizing clients menu, packages and services to offer

∙ Pricing and Costing for Supplies and Services
∙ Familiarization to Supplies, Equipment and uses
∙ Continuous online support after the set up of the business

Marketing Assistance:
∙ We will help you on how to market your Nail and Body Spa Business
∙ We will provide Flyers (100pcs – 4in x 11in) Tarpaulin (2pcs 2ft x 4ft) to promote your business
∙ We will provide Sintra Board Menu, Loyalty cards and promotion through online

Staff Training
∙ Lecture on Do’s and Dont’s in services
∙ How to handle and deal with clients
∙ Techniques, procedure and measurement of supplies
∙ Training for each services that the clients will offer;

1. TERM

The term of this Agreement shall commence on November 2023, and shall finish the project on or
before November 2024.

2. STAFF & BUSINESS TRAINING

The Business and Staff training is to be done at your Spa for 4 days. (Prior to opening of the business). In
excess of 4 days, you can avail a free training with minimal cost for the consumables, but it needs to be
done at our spa in Santa Rosa Laguna or additional cost may apply again if you want in your Spa.

3. TERMS OF PAYMENT

A. The Project cost is Php499,000 All in. Projects will be performed on a firm fixed price basis, as
indicated in the applicable Statement of Work. Any additional or unscheduled Services or Deliverables to
be provided by contractor outside of the Statement of work must be mutually agreed upon by both
parties.

60% (Atleast 300,000) Three Hundred Thousand Pesos Down payment shall be paid upon signing the
contract. The other 40% (Php199,000) One Hundred Ninety Nine Thousand Pesos shall be paid before
the delivery of the Furnitures, supplies, equipment and consumables.

4. DELIVERY OF FURNITURE

Free Delivery of furniture around Metro Manila, additional cost may apply outside the said location.

5. PUBLICITY

Contractor may use Customer’s name or mark, upgrade, menu, pictures and identify Customer as a
client of Contractor, on Contractor’s website and/or marketing materials. Either party will use the other
party’s name or marks, refer to or identify the other party for any other reason, except as established in
this section, without such other party’s written approval.

6. FORCE MAJEURE

Neither party shall be liable for failure to perform, nor be deemed to be in default, under this
Agreement for any delay or failure in performance resulting from causes beyond its reasonable control,
including but not limited to failure of performance by the other party, acts of state, acts of terrorism,
fire, storm, flood, earthquake, riot, civil disturbance, blockade, acts of war, or power failure. In the event
of such delay, the date of delivery or time of completion will be extended by period of time reasonably
necessary to overcome the effect of any such delay.
 GENERAL PROVISIONS

This contract contains the entire agreement of the parties with respect to the subject matter of the
contract. The contract supersedes any prior agreements, understanding, or negotiations whether
written or oral. This contract can only be amended through a written document formally executed by
both parties.

I have read and fully understood the contents of the contract. I hereby agree to the terms and condition
stated above.
