Please note:
1. The Net Ex- showroom price is determined by Mercedes- Benz India Private Limited (MB India) and is inclusive of
standard sales measures and applicable offers.
2. The Total Ex-showroom Price (Inclusive of Taxes) shall be payable to Mercedes-Benz India Private Limited as the
Purchase Price of your Mercedes-Benz vehicle only. The advance booking amount will be adjusted against the Ex-
showroom price payable as above.
3. All other Additional Services are offered by the preferred Franchise Partner as selected by you and they do not form
part of the standard product (i.e. Mercedes- Benz vehicle) offered by MB India. Any amount payable for these
Additional Services shall be invoiced by the Franchise Partner in its independent capacity and payable to the
Franchise Partner directly (along with applicable Taxes, if any).
4. The Tax Collected at Source (TCS) has been calculated assuming that the Customer has fulfilled the conditions as
stated in Section 206CCA, of the Income tax Act. In case the conditions provided in the said Section like filing of
Income tax Returns for past 2 years, are not satisfied, the TCS at the higher rate i.e. 5% will be applicable.
5. In case you fall in concessional tax category then the said concessions will be provided only if all the conditions for
availing such concessions, as provided in the relevant law, are fulfilled. Provided that only such concessions as
applicable on the date of invoice of the Vehicle will be available to the customer.
6. The Purchase Price has been calculated as at the Order Date and the Order shall be valid for 14 calendar days from
the Order Date (one day inclusive).
7. The validity of the Order is non- extendable. Hence, the Order shall be finalized within the Validity Period by
executing the Order Finalisation Form (Order Finalisation).
8. The Order shall be subject to submission of valid documents within the validity of the Order. Certain Discounts
including but not limited to Profile Discount and Fleet discounts may be availed only upon submission of valid
documents that can establish eligibility for availing the discounts. In case a Customer is eligible for multiple offers/
discounts/schemes like profile, fleet or other offers/discounts/schemes, the offer/discount/scheme fetching the
maximum benefit will be applicable unless the Customer opts for any other offer/discount/scheme. Such offers/
discounts/schemes are mutually exclusive unless otherwise specified by MB India.
9. The Taxes as applicable on the date of Invoice will be payable by the customer. Thus, Purchase Price may vary in
case of change in GST/ CESS/ TCS/ other taxes or any other statutory dues after the Date of issue of this Order.
Mercedes-Benz India Private Limited or its Franchise Partners will not be liable for any direct or indirect loss caused
to the Customer on account of such change.

Terms and Conditions of Sale
(Please Read Carefully)
1. Scope: 5.
1.1 The Customer (hereinafter referred to as ‘Purchaser’) 5.1
agrees to purchase the Vehicle as described in Part A from
the Seller, pursuant to the terms and conditions set out
herein. The Purchaser agrees and understands that the
purchase of Services as described in Part B is being
concluded as a separate arrangement between the
Purchaser and the Franchise Partner only. The Seller shall 5.2
not be liable for any deficiency in such Services on the part
of the Franchise Partner and vice-versa.
2. Validity Period: 5.3
2.1 The Order shall be valid for a period of 14 Calendar days
from the Order Date (both day inclusive) . The validity of the
Order is non-extendable. The Order shall be finalized within 5.4
the Validity Period of 14 Calendar days by executing the
Order Finalisation Form (Order Finalisation).
3. Price and Payment Terms:

3.1 The Purchaser shall pay the Total Ex- showroom Price
(Purchase Price) in advance by Cheque/ RTGS/ online /
Bank transfer in favor of ‘Mercedes- Benz India Pvt. Ltd’,
Pune through normal banking channel within 7 Calendar
days from the date of Order Finalisation (both day
inclusive). The Company is not liable for any costs,
compensation, expenses, interest etc. if the Customer
makes the balance payment before the same is due as per
this clause or excessive payment over and above the
Purchase Price. 5.6
3.2 If at any time, after Order Finalisation, but before delivery
of the Vehicle to the Purchaser, there is a change in
statutory charges which apply to the Vehicle (including,
without limitation, Goods and Service Tax, other taxes,
cess, levies, import duties and like imposts), the ‘Purchase
Price’ will be adjusted by the corresponding amount. 6.
3.3 The Seller will notify the Purchaser of any changes to the 6.1
Purchase Price arising under clause 3.2 within a reasonable
period after the Seller becomes aware of the change to the
Purchase Price.
3.4 Payments via electronic funds transfer for all or part of the
Purchase Price shall not be considered to have been
received by the Seller until the funds have been cleared 6.2
and received by the Seller in its bank account or any other
third party authorised by the Seller to receive the funds.
Payment by cheque shall be subject to receipt of clear
credit in Seller’s bank account.
3.5 If the Purchaser does not pay the Purchase Price or any
part of the Purchase Price when it becomes due, the Seller
may at its option: 6.3
i. terminate this order in accordance with clause 7,
if the Purchaser fails to remedy the breach; or
ii. suspend delivery of the Vehicle to the Purchaser
without incurring any liability to the Purchaser
until such time as the Purchase Price is paid in
full, in which case (but without affecting any rights 7.
of the Seller), the Purchaser must pay for all 7.1
reasonable storage fees incurred by the Seller in
connection with the Vehicle.
4. Delivery:
4.1 Upon payment and receipt of the Purchase Price, the Seller
shall make every reasonable effort to deliver the Vehicle to
the Purchaser on or before the Estimated Delivery Date
stated in Part A but in no circumstances shall the Seller be 7.2
liable for any Loss or Damage whatsoever arising either
directly or indirectly from any delay or failure to deliver the
Vehicle by the Estimated Delivery Date.
4.2 Delivery of the Vehicle to the Purchaser shall take place at
the preferred Franchise Partner’s premises, selected by the
Purchaser, unless any other arrangements are agreed to

Statutory Levies and Taxes:
The Invoice shall be issued in accordance with The Goods
and Services Tax (GST) Law as amended from time to time.
The selling parties namely the "Seller" and the "Franchise
Partner" shall be responsible for Invoicing and payment of
Taxes on their respective supplies.
Taxes applicable, if any, on the Transactions under this
Order will be in accordance with GST Law, as applicable on
the date of the transaction
Purchaser shall be responsible to provide the correct
details to be included in the invoice like; GSTIN, PAN,
Aadhar, Address, etc.
The Seller shall not be liable for any loss of GST credit, in
case the Purchaser fails to provide or provides incorrect
Tax Registration Numbers, Tax exemption certificates, etc.
to the Seller.
It is expressly agreed by the Parties that all the statutory
liabilities including but not limited to payment of taxes
(Direct & Indirect) etc. on transaction/ s under this Order,
shall be the liability of the respective party as per the
applicable statute. For example GST will be borne by the
Purchaser as per the GST legislation / Rules, etc. Each
Party is liable to pay for all taxes imposed upon it by the
respective tax authorities, having jurisdiction over that
Party.
If the payments are subject to a withholding or similar tax,
the party making payment shall withhold such taxes in
accordance with the law, and inform the other parties
accordingly. Further, the deductor will send to deductee, a
Withholding Tax Certificate as prescribed by the Income Tax
Rules prevailing from time to time.
Purchaser’s right to terminate this Order
The Purchaser may terminate the Order if the Seller has
breached any its obligations under this Order and has failed
to remedy such breach within 30 days’ of written notice of
the breach, in which case the Seller shall refund the
booking amount (hereinafter ‘Booking Amount’) to the
Purchaser within 10 days of termination of Order.
If the Purchaser of a Top End Vehicle seeks to terminate the
Order after 30 days from the date of intimation to the
Purchaser of arrival of the Vehicle in India, in case of
imported CBU Vehicles the Company may, at its discretion,
deduct cancellation charges of INR 1,00,000/- (Rupees
One Lakh only) from the booking amount and refund the
balance Booking amount.
In the event the Purchaser seeks to terminate the Order for
vehicle other than a Top End Vehicle after Order
Finalisation in circumstances other than those described in
clause 6.1, it shall be at the Seller’s discretion to charge
the Purchaser an amount of INR150,000.00/- (Rupees One
Lakh Fifty Thousand Only) as order cancellation charges
and adjust the same from the Booking amount paid.
Seller’s right to terminate this Order
If the Purchaser defaults in observing any of their
obligations as contained in this Order, the Seller may,
without prejudice to any other rights and remedies of the
Seller, after giving written intimation to the Purchaser of
the default and allowing the Purchaser a reasonable period
within which to remedy the default, by written notice to the
Purchaser, either seek to enforce this Order or cancel the
same
If the Seller terminates the Order owing to Purchaser’s
default in observing any of their obligations as contained in
this Order, without being liable to the Purchaser, the Seller
may deduct from the Booking Amount, an amount (along
with applicable taxes if any) commensurate with the
reasonable expenses and costs (including but not limited to
vehicle transportation costs, vehicle storage costs, legal

between the Purchaser and the Seller/ Franchise Partner.
4.3 The Purchaser shall take delivery of the Vehicle within 7 7.3
days of being notified by the Seller/ Franchise Partner that
the Vehicle is ready for collection.

If the Seller terminates this Order for reasons other than
Purchaser’s default in observing any of their obligations as
contained in this Order, without being liable to the
Purchaser, the Seller shall refund the booking amount to
the Purchaser within 10 days of termination of Order.

8. Cancellation of Sale within or after 24 hours of raising 12.
Invoice
12.1
8.1 In case the Purchaser cancels the sale or the Seller cancels
the sale owing to Purchaser’s default in observing any of
their obligations,
8.1.1 within 24 hours of generation of Invoice for
purchase of Vehicle, it shall be at the Seller’s
discretion to charge the Purchaser an amount of 13.
(i) INR 1,00,000/- (Rupees One Lakh only) for Top
End vehicle or (ii) INR150,000.00/- for vehicle 13.1
other than a Top End Vehicle as order cancellation
charges and adjust the same from the Booking
amount paid.
8.1.2 after 24 hours of generation of Invoice for
purchase of Vehicle, it shall be at the Seller’s
discretion to charge the Purchaser
INR150,000.00/- as order cancellation charges.
The Seller shall additionally deduct TCS as
prescribed under the Income Tax Act. The
Purchaser shall be given TCS Certificate in form
27B for collection and payment of such TCS.
8.2 Vehicle once registered with the Regional Transport Office
(RTO) cannot be returned and such sale cannot be
cancelled.
9. Purchaser’s warranties and acknowledgements
9.1 The Purchaser acknowledges and agrees that the
Purchaser has read and fully understood this Order i.e. Part 13.2
A, Part B and Terms and Conditions of Sale.
10. Seller’s warranties and liability
10.1 Subject to clause 10.2, the Seller shall provide warranty in
respect of the Vehicle for such period as mentioned in the
Warranty Terms and Conditions. The warranty will
commence on the date of handover of Vehicle to the
Customer
10.2 Subject to the Warranty terms and conditions and to the 14.
fullest extent permitted by any applicable law, the Seller
excludes all implied representations, warranties, terms and
conditions of any kind whatsoever and the application or
availability of any statutory rights (including any implied
representations, warranties, terms or conditions or any
statutory guarantees) in respect of this Order or the
Vehicle.
11. Transfer of title
The Franchise Partner may accept delivery of the Vehicle 15.
from the Seller on Purchaser’s behalf with a Customer
Declaration executed by the Purchaser and the Franchise
Partner for transfer of Title and custody of Vehicle pending
registration of the Vehicle with the RTO for obtaining
special registration number or temporary registration. The
Franchise Partner in such cases may keep the Vehicle
temporarily on Purchaser’s behalf for the purpose of
obtaining the registration and may produce the Vehicle
before the RTO. In such cases, the title in the vehicle shall
be deemed to be transferred from the Seller to the
Purchaser and the Purchaser shall be deemed to be the
owner of the Vehicle for all purposes including warranty
and any risk to the Vehicle. It is clarified that at no point in
time will the title and risk in the vehicle be transferred by
the Seller in favour of the Franchise Partner.

Transfer to Lender
Whether or not requested by the Purchaser, the Seller shall
facilitate due recording of lease/ mortgage in favour of the
Purchaser’s Lender (or a lender specified by the Purchaser)
as per the terms of Motor Vehicles Act, 1988 (as amended
from time to time) upon payment of the Purchase Price to
the Seller.
Privacy
The Seller collects Personal and Sensitive Personal
Information about the Purchaser including but not being
limited to the name, address, contact details, driving
license, PAN, Aadhaar card, passport copy, electricity or
telephone bill, etc. for the purpose of the sale of the
Vehicle and allied transactions. Further, the Seller utilizes
the Purchaser’s Personal and/ or Sensitive Personal
Information in accordance with its Privacy Policy which can
be viewed at www.mercedes- benz.co.in . The Purchaser
agrees to the collection of such Personal and Sensitive
Personal Information by the Seller as will be required to
execute and complete the sale and its allied transactions.
Further, the Purchaser agrees to disclosure, transfer and
sharing of above mentioned Personal and/ or Sensitive
Personal Information by the Seller and/ or its authorized
Franchise Partners with the Sellers’ parent company
namely Mercedes-Benz Group AG, its subsidiaries including
but not limited to Mercedes- Benz AG and affiliate
companies, wherever located;
In case the Purchaser pays any monies via a credit card or
debit card or any online payment modes (UPI, internet
banking, bank transfer etc.), the details as may be required
for processing the payment, may be shared with, processed
by and/ or stored by the Payment Gateway Service
Providers shall be responsible to comply with the
applicable RBI guidelines and data protection law
pertaining to collection, processing and storage of payment
related data.
Force Majeure
The Seller may cancel or suspend or defer delivery of the
Vehicle and shall not be liable for any Loss or Damage as a
result of any delay or other failure in the performance of its
obligations due to any Force Majeure event or fact, cause,
thing or event beyond the Seller’s reasonable control
(including any temporary or permanent unavailability of any
Vehicle caused by circumstances beyond the reasonable
control of the Seller).
Applicable Law and Jurisdiction:
This Order shall be governed by and is to be construed in
accordance with the laws in force in India. The Seller and
the Purchaser irrevocably and unconditionally submit to the
exclusive jurisdiction of the competent Courts at Pune and
waive any right to object to proceedings being brought in
those courts.

Please note:

1. The On-Road Price has been calculated as at Order Date and shall be valid for 14 calendar days from the Order
Date (both day inclusive).
2. The amount mentioned in Part B herein shall be payable directly to Franchise Partner as it would facilitate the
payment of insurance, Road Tax and other Statutory levies for registration of the Vehicle
3. Road Tax specified in Part B is only indicative. More information on Road tax applicable to the Vehicle may be
obtained from preferred Franchise Partner.
4. Taxes and other levies as applicable on the date of registration shall be payable by the customer and Mercedes-
Benz India Private Limited or its Franchise Partner shall not be responsible for any direct or indirect loss caused to
the Customer on account of any change in such taxes or other levies.
5. The Franchise Partner will refund the advance amount paid, if any, on account of Part B above, if the car delivery is
delayed for any reason beyond 300 days from the date of booking.
6. The Order shall be subject to submission of valid documents during the validity of the Order.
7. The On-road Price may vary in case of change in taxes or any other statutory dues after the Order Date. Mercedes-
Benz India Private Limited or its Franchise Partners shall not be held responsible for any direct or indirect loss
caused to the Customer on account of any change in such taxes or other statutory dues.
8. The insurance premium shown above is an indicative quotation for Purchaser’s convenience in arriving at the total
cost of the Vehicle and that the Purchaser may independently reach out to any Franchise Partner/Motor Insurance
Service Provider (MISP)/ Insurance company for details of the premium and the terms and conditions of the
insurance. The amount mentioned against ‘Insurance’ indicates the amount payable towards Insurance premium for
Own Damage (OD) cover for one (01) year and add- on insurance covers, if any. The amount mentioned against
‘Other Statutory Levies’ indicates the amount payable towards Third Party (TP) insurance cover for three (03) years.
The insurance premium has been calculated as per IRDAI guidelines. The Franchise Partner is the MISP of
Mercedes- Benz Financial Services India Pvt. Ltd., holding valid Corporate agency license No CA0180, providing
motor insurance services through it empaneled insurance companies namely Reliance General Insurance Company
Limited, ICICI Lombard General Insurance Company Limited and Tata AIG General Insurance Company Limited. MB
India doesn’t represent nor does it solicit or sell insurance services and the Customer should use his judgement
while choosing the insurer and the cover required by him/her.
