EMPLOYMENT AGREEMENT
Between
PGNiG - Polish Oil and Gas Company Poland
AND

Our company’s’ law firm representative take pride in representing only two Immigration classes: The
Economic Class (professional/skilled workers, government approved Immigrant investor program,
entrepreneurs and self-employed) and the Family Class (Poland, Holland, Canada , USA , Australia & New
Zealand permanent residents or citizens wishing to sponsor a relative for permanent residence in New
Zealand or Australian). Our law firm is led by Barrister Mark Manhire who has over 25 years experience
with Canada, USA, and Australia, New Zealand Immigration law.

WHEREAS: Incorporated under the Poland Employment Law and the Labor Union Law. The
both parties willing to go into a joint arrangement for mutual benefits of the terms, conditions and
purpose here in after stated:

I, Mr. Mr. Michal Nowicki, the Senior Human Resources Manager of PGNiG - Polish Oil and Gas
Company hereby agree to offer employment with new employees that consents to all that is
written below in this Memorandum of Understanding and Contract Agreement.

JOB ASSIGNMENT AND WAGE:


The Employer hereby engages with Employee, if the employee agrees to work for the Employer
at a monthly salary of 13,500 Euros. (Thirteen Thousand, Five Hundred Euros) monthly after deducting
taxes.

SALARY AND ALLOWANCE: The employer shall pay the employee a net sum of
13,500 Euros. (Thirteen Thousand, Five Hundred Euros) monthly after deducting taxes which
will be received on the 27th of every month. There will be a 20% salary increment annually. The
salary breakdown is as stated below:
Basic Salary: 9,500 Euros.
Medical Allowance: 1100 Euros.
Dearness Allowance: 700 Euros.
Conveyance Allowance: 1000 Euros.
Performance Bonus and Special Allowance: 1,200 Euros
NET PAY: 13,500 Euros. Monthly
CONTRACT PERIOD: The contract period shall be for the duration of three [3] or five [5] years and
will be renewed only if the employer is satisfied with the employee’s service. This shall be in effect
from the day of she/he commences duty.
TERMINATION UPON NOTICE: Notwithstanding any other provision contained herein, Employee’s
employment with the Company is terminable immediately at the will of either the Company or the employee, with
or without cause, upon 30 days written notice from both sides. In cases where Employee provides 30 days notice,
Company has the right to replace Employee at any time during the 30 days and will be responsible to pay wages
only through the last day Employee works.

TERMINATION FOR UNFITNESS: In the event, the Company determines, in its sole discretion that Employee
is or has become unable or unfit to perform all the usual work in the position for which he/she was hired due in
whole or part to illness, injury or incapacity, Employee’s Agreement shall automatically terminate. For terminations
under this, Employee is entitled to two month’s wages at the rate of his/her basic rated pay and to the amount of
paid leave accrued, if any, during his/her period of service with the company to the date of termination.

SICK LEAVE AND FAMILY RESPONSIBILITY: If the Employee is unable to work due
to any sickness or injury, the Employee will be entitled to sick leave following the applicable legislation. The
Employee will furthermore abide by any additional rules implemented by the Employer to regulate sick leave. The
Employee is entitled to family responsibility leave in terms of the applicable legislation. The Employer may require
reasonable proof of the facts that support the Employee’s request to take such leave.

TICKET AND VISA: Employer shall provide the employee flight ticket and all necessary documents
needed to facilitate the approval of employee visa /work permit, while the employee will be responsible for the
payment of their visa/work permit application fee during their travel documents processing at the Poland
High Commission over there in employees country of resident. The employer shall refund the amount
employee spent on visa/work permit processing and pay one month’s salary in advance when the employee
visa/working permit is confirmed to be complete before departing his/her home country.

WORKING DAYS AND WORKING HOURS: Working days are from Monday to Saturday, you are entitled to
a day off per week. Working hours are from 8.00 am to 12.00 pm & 1.00 pm to 5.00 pm.

ACCOMMODATION: A well-furnished safe and hygienic accommodation including a sitting room and
visitor’s room and bedrooms suitable for a family will be provided for the employee during the term of
the contract. The company shall provide excellent educational assistance to staff with family status.
We also provide complete meals for you and your family as deemed appropriate along with a Life
insurance policy, maximum and efficient security both in the workplace and housing community .

MEDICAL CARE: The employer provides free medical coverage in Poland for you and your
family throughout the contract duration.

VACATION: Employee shall be authorized for six weeks fully paid vacation annually during the term of the
contract, which can be used at the employee’s discretion after duly informing and receiving approval from the
respected department.

MATERNITY AND CHILD CARE LEAVE: You will be entitled to maternity leave as per Poland law.
Employees need to provide a letter from the doctor. Maternity leave will be on a fully paid leave as long as the
employee has served for a minimum of 180 days before the date of first confinement.

HOLIDAYS AND LEAVE: Annual leave of 30 days shall be allowed by the Employer for the Employee when
completed one -year employment with regular pay sum of 13,500 Euros.

WORKING HOURS: The working hours shall not exceed 6 to 8 hours a day for 6 days per week.
OVERTIME: If the employee works more than the 8 normal working hours or on weekends beyond the
regular workday, the Employee shall be paid extra for overtime by the Employer at the rate of 60 Euros
per hour (not less than the minimum rate set by the Local Labor Law).

If the Employee works on holidays, the Employee shall be paid extra for Overtime by the Employer at
the rate of 70 Euros. Per hour (not less than the minimum rate set by the Local Labor Law).

ATTESTATION: Please confirm your acceptance of the above terms and conditions by signing on the
lower-right hand side and returning to us the duplicate copy of this letter within three [3] days from the
date of the agreement.

ENTIRE AGREEMENT: This Agreement embodies the entire understanding of the parties hereto and any prior
arrangements or representation is hereby superseded.

THIS IS AN IMPORTANT LEGAL AGREEMENT. READ IT CAREFULLY BEFORE SIGNING

Employee acknowledges his/her responsibility to read this Agreement, understand its contents and adhere
to all of its provisions. Employee understands and agrees that the Collective Bargaining Agreement
(“CBA”) between the Company and Employee attached hereto is incorporated into and made part of this
Agreement and is binding on Employee and Company. Employee acknowledges his/her responsibility to
read this Agreement, understand its contents, and adhere to all of its provisions. The employee is not
signing this Agreement under duress of any kind. Employee acknowledges that he/she has had the
opportunity to examine the Agreement and seek any advice on it before signing. Employee affirms that
he/she accepts and will abide by every provision of this Agreement, but not limited to, the Guaranteed
Monthly Wage, Governing Law, and Arbitration provisions contained therein. Employee acknowledges
and accepts that the Guaranteed Monthly Wage includes all or some overtime. Employee agrees to abide
by all other written or oral rules, regulations, policies, and procedures of Company and/or the Affiliated
Companies and/or any on which he/she are assigned, whether outlined in this Agreement or elsewhere.

The parties agree that this Agreement is entered into and agrees to receive this Agreement in printed or
electronic form and that an electronic scan, copy, or facsimile of this Agreement consisting of four pages
and its attachments shall be as valid as the original and that Employee has received a full copy of this
Agreement.

Employee agrees that Company’s retention of a paper or electronic copy of this Agreement shall only be
deemed conclusive and irrefutable evidence that Employee received and signed this Agreement.

Hereby covenant/ undertake/agree that throughout my employment, I shall not divert any
contract/business of the company to myself or any other person or company.
I shall not engage while under the employment of the company in any business that conflicts
company/business or any other rival or conflicting business with the company either alone or
in collaboration with another person while I am still under the employment of the company.

That during the continuance of my employment with the company and for the period of my
appointment I will not engage in any employment or divulge any information which came to
my knowledge in the course of carrying out my duty or reveal any trade secret(s) to another
company or person(s) who engage in rendering same services or products within the same
locality with the company except with the written consent/permission of the company.
