WHY BAMBOO BEDSIDE CABINET?


While the bed is always the most important piece in any bedroom, the room isn't complete
without at least one bedside table or cabinet. Bedside cabinet come in a variety of sizes and shapes
and may have any number of features. Nightstands is a small, simple pieces designed to hold a lamp
and a clock. Simple tables may be designed for any room in the house, but small enough for bedside
use. Bedside cabinets is small chests of drawers or cabinets with drawers and other storage areas.
The choice of the customer will depend on their budget, the size of their room, the size of their bed,
and their storage needs. Many people keep in mind and choose bedside cabinet that serve two
functions, provide a surface to place necessary items like a lamp, a book, a glass of water, or
whatever else they may want to keep close by the bed and many also have storage. To serve that
functions, our company decided to innovate a bedside cabinet made of bamboo and by adding
lampshade on its features. A bedside cabinet can keep your bedroom cleaner. It can help you reach
for the items quicker without getting up from the bed. It is one of the most functional pieces of
furniture you can have in your home.

WHY BAMBOO?
Bamboos grow rapidly and reach maturity in three to five years making it a viable alternative
to hardwood and traditional timber when it comes to the furniture industry. The return on investment
on bamboo is also a lot faster since it can be frequently harvested, making it an attractive and
sustainable community project even for small farmers. More than its contribution to the economy,
bamboo is also an important component in humanity’s fight against climate change.
The reason why our company decided to use bamboo as a raw materials is because it is Eco-
friendly, bamboo can be grown sustainably without the use of pesticides and fertilizers due to its fast
growth rate and protective coating. Strength and flexibility, this is a rare combination and it opens
many doors for product designs and uses. When used in furniture, bamboo fibers are comfortable to
sit on and have the flexibility to bend with a person’s weight. Lightweight and easy to move, this
makes it a practical material to use for larger furniture pieces such as tables, benches and cabinets,
enabling people to lift and move their furniture as they please. Practicality and comfort, bamboo
fabric is highly breathable, odour resistant, and thermally regulating. It feels silky and luxurious,
providing unparalleled comfort. Furniture made of bamboo can be very comfortable and less rigid
than those made from other materials such as wood. Easy maintenance, furniture made from bamboo
is very smooth due to a natural coating of oil that exists in its fibers, and it can be cleaned easily.
Bamboo is a great choice for furniture, in its raw form, as a processed plank, and as a fabric.

HISTORY BACKGROUND OF CABINET?


Cabinet, in furniture design, originally a small room for displaying precious objects and later
a piece of furniture composed of a network of small drawers commonly enclosed by a pair of doors.
Cabinets were first used in Italy during the late Renaissance.
By the early 16th century, cabinets were in use in France and England. Cabinets were used as
decorative objects, and their embellishments included walnut veneers, floral marquetry, needlework,
and japanning (oriental–style lacquer work). A symmetrical arrangement of drawers surrounded a
small, central cupboard, in which it was common to find a temple-like structure, with columns
backed by mirrors that increased the apparent perspective.
Cabinets are typically made of wood (solid or with veneers or artificial surfaces), coated steel
(common for medicine cabinets), or synthetic materials. Commercial grade cabinets, which differ in
the materials used, are called casework, case goods, or case furniture. Cabinets sometimes have one
or more doors on the front, which are mounted with door hardware, and occasionally a lock.
Cabinets may have one or more doors, drawers, and/or shelves. Short cabinets often have a finished
surface on top that can be used for display, or as a working surface, such as the counter tops found in
kitchens. A cabinet intended to be used in a bedroom and with several drawers typically placed one
above another in one or more columns intended for clothing and small articles is called a dresser or a
chest of drawers. A small bedside cabinet is more frequently called a nightstand or night table. A tall
cabinet intended for clothing storage including hanging of clothes is called a wardrobe or an armoire,
or (in some countries) a closet if built-in.

All the proponents listed are Filipino citizen and their ownership is based on the initial capital
contribution as shown in the table above. Although, they came from different places, beliefs and
culture still they can respect, trust and work as one for their better company.

TYPE OF BUSINESS ORGANIZATION


General Partnership
A form of business organization where two or more people pool their skills, abilities, and
resources to run a business. The primary disadvantage is that all partners are liable for all the
partnership’s debts and obligations. The reason why the proponents choose the general partnership
because of the following:
Advantages of General Partnership:
 Creating one is relatively easy and inexpensive compared to a corporation or limited liability
company.
 The skills and abilities of more than one individual are available to the firm.
 Having more than one owner may make it easier to raise funds.
 Business losses can be deducted against the partners’ other sources of income.
 It is not subject to double taxation.
Disadvantages of General Partnership:
 Liability on the part of each general partner is unlimited.
 The business relies on the skills and abilities of a fixed number of partners. Of course, the
owners can hire employees who have additional skills and abilities.
 Raising capital can be difficult.
 Because decision making among the partners is shared, disagreements can occur.
 The business ends with the death or withdrawal of one partner unless otherwise stated in the
partnership agreement.
 The liquidity of each partners’ investment is low.

LOCATION OF THE HEAD OFFICE AND FACTORY


The business is located at Sta. Cruz, Magalang, Pampanga. Here some of the reasons why the
proponents choose this place.
 The locality is industrially and commercially feasible.
 The transportation is accessible.
 All roads in the area concrete.
 The area has a proper waste disposal system.
 The area is flood free.

Know all men by these presents:
That we Ms. Joana Busa, Ms. Joselyn Canlas, Mr. Ian Dela Cruz, Mr. Carlos Angelo
Echanez, Ms. Angel Maneth Flores, Ms. Analyn Paguio and Ms. Lea Marie Ronquillo are legal age,
citizens and residents of Pampanga, Philippines, voluntarily bind ourselves together, effective as of
this day, for the purpose of forming a partnership with the given terms and condition and subject to
the requirements of existing laws under the Republic of the Philippines.
AND WE HEREBY CERTIFY:

ARTICLE I
Partnership Address
That the name of the partnership shall be termed “The House of Bambusa Vulgaris” and shall
manage and negotiate business under stated firm name.

ARTICLE II
Location Address
That the main office of this partnership, along with its manufacturing plant, shall be located
in Sta. Cruz, Magalang, Pampanga, wherein office might change from time to time due to the
agreement of the partners after the marketing team undergone thorough studies.

ARTICLE IV
That the existence of the term of the said partnership should be five (5) years from the
original recording by the Securities and Exchange Commission.

ARTICLE V
Purpose of the Partnership
That the main purpose of the partnership is to generate more capital by increasing profits; to
involve in manufacturing and selling of high quality, Eco- friendly and affordable bamboo products;
to keep our native products alive for future generation; to help produce and increase income and
employment; and give assistance to the community and our government through taxes while
integrating the promotion of the province of Pampanga into its marketing strategies.
ARTICLE VI
Capitalization
That the initial capital of this partnership shall be one million and seven hundred fifty pesos
only (₱1,750,000.00) in Philippine currency and cash contributed by the partners are as follows:

ARTICLE VII
Profit/Losses Sharing and Withdrawal
That the profit and losses shall be divided equally and is entitled, each partner to withdraw up
to 10% of his share in the annual net income of the business, and any excess will be treated as
receivable from the partner.
Each partner will have monthly salaries of fifteen thousand (₱15,000.00) for a total of one
hundred twenty thousand (₱105,000.00) each year for every partner.

ARTICLE VIII
Duties and Responsibilities
That all partners, will have designated position and shall act as Industrial-Capitalist; Ms.
Joselyn Canlas and Ms. Lea Marie Ronquillo shall be the Managing partner, who will be in-
charged in the overall supervision of the business and monitor the performance of the company to
achieve organizational goals and objectives; Ms. Analyn Paguio, will be assigned as the Financial
partner in which her duty is to provide real time support and analysis to be a trusted adviser, and to
add value that will assist in decision making, and shall have the custody of the financial asset of the
company; Ms. Joana Busa and Ms. Angel Maneth Flores, will act as the Marketing partner whose
duty is to create and implement marketing strategies and monitor possible activities of the business
for its growth and development; Mr. Ian Dela Cruz, assigned as the Production partner who will be
responsible in the business operations and the manpower services for the production; Mr. Carlos
Angelo Echanez, will be the Logistic partner, shall have the authority in acquiring resources and
transported to their final destination, and is also responsible in identifying prospective retail location
and suppliers and determining their effectiveness and accessibility.

ARTICLE IX
That the partnership name will be change immediately if Security and Exchange Commission
(SEC) sent a notice or directive that another partnership, corporation, or person acquired the right to
use that name or it has been declared misleading, deceptive, confusingly similar to a registered name,
or is contrary to public morals, good customs, or public policy.
IN WITNESS WHEREOF, we have hereunto set our hands this May 01, 2021, at the office of
the Notary Public of Magalang, Pampanga, Philippines.
