MEMORANDUM OF UNDERSTANDING

THIS IS AN UNDERSTANDING EXECUTED ON THIS DAY of

MAY 2024
BETWEEN

The Managing Director, of “UNIVERSAL MEDICARE CENTRE”, Functioning

at, No. 334, Puliakulam Road, (Opp) Carmel Garden School, Coimbatore-641
045. (Herein after called the FIRST PARTY in which expression are included
unless such inclusion is in inconsistent with the context their respective heirs,
executors, administrators and assigns of the one part)

AND

Mr. N. SELVARAJ, S/o. Natraj, Residing at, No.2/7, Rasheed Apartment,

Murugappa Layout, Mahalingapuram, Pollachi -642 002 (Herein after called
the SECOND PARTY in which expression are included unless such inclusion is
in inconsistent with the context their respective heirs, executors, administrators
and assigns of the other part)

FIRST PARTY and SECOND PARTY both had mutually agree and hereby came
to an understanding and put forth the same into writing as follows:

1. FIRST PARTY is running a Medial Care Centre in the above said address for
nearly ---- years and have treated thousands of his patients successfully and
are having huge fame and reputation among its Patients and the SECOND
PARTY is like one other patient visited the FIRST PARTY’S Medical care
centre by his own will and wish, coming to know about the treatment through
his well-wishers.

2. FIRST PARTY further states that while diagnosing the SECOND PARTY, he
had told that, he had visited G.K.N.M Hospital on 19/05/2023 for his Heart
problem and there he was diagnosed with heart diseases and advised to do
CORONARY ANGIOGRAM and on the same day, he had undergone the said
procedure and in the report it showed CALCIFIED TWO VESSEL CORONARY
ARTERY DISEASE and was advised to do REVASCULARIZATION (PCI) or
CABO (Coronary Artery bypass graft surgery)

3. FIRST PARTY further states that unwilling to go for the surgery recommended
in G.K.N.M Hospital through his known source, who had taken treatment in the
FIRST PARTY’S Medicare centre had visited the FIRST PARTY and after fully
knowing about the treatment procedure without any force or compulsion had
taken 45 Course of Arterial Clearance Therapy and the health condition of
the SECOND PARTY was vastly improved and further the SECOND PARTY
was also having some align diseases such as High Sugar and Blood Pressure
which is always a risk factor for the patients normally and he was advised
accordingly;

4. FIRST PARTY further states after completing the Treatment procedure the
SECOND PARTY was not regular in his checkups as advised and even
ignored the calls made from the FIRST PARTY Medicare centre and
shockingly on 15/04/2024 the FIRST PARTY received a legal notice with all
inadmissible allegations raised against their Medical centre, and it also came
to know that on 07/02/2024 the SECOND PARTY had visited another Hospital
namely Ramakrishna Hospital in Coimbatore and there the SECOND
PARTY was diagnoised with TRIPLE VESSEL CORONARY ARTERY
DISEASE and the SECOND PARTY had undergone bypass surgery, which is
not concerned with the FIRST PARTY nor the SECOND PARTY can blame for
his past medical history on the FIRST PARTY;.

5. FIRST PARTY further states that through the said self narrated Legal notice
there was a demand of compensation on the part of the SECOND PARTY
which the FIRST PARTY is not obliged to do so, but with an intention to avoid
unnecessary confrontation at the intervention of some close well wishers, in a
humanitarian way the FIRST PARTY decided to lend their helping hand to
support the financial situation of the SECOND PARTY which is not concerned
with the Treatment procedure of the FIRST PARTY and the FIRST PARTY in a
humanitarian way have decided to give Rs. -------------------/- as financial
support to the family of the SECOND PARTY and the SECOND PARTY also
agrees to receive the amount mentioned above in a humanitarian consideration
and assures to withdraw the alleged allegations raised against by the FIRST
PARTY through his legal notice dt: 15/04/2024 and assures that he will not
further proceed with any litigation pertaining to the above issue.

6. SECOND PARTY strictly assures and agrees not to violate any conditions
agreed by him in any situation;

7. Both the First and Second Parties agrees to maintain high standard of dignity
in abiding the conditions of the MOU;
