Subject: ENGAGEMENT LETTER FOR CHANNEL PARTNER


SERVICES IN RESPECT OF OUR PROJECT “__________”

_________________ is the Promoter of the ______ project in _______,


Pernem Goa . _____( Channel Partners Detail ), India is the
Channel Partner having experience in selling real estate property
and has expressed an interest to provide his services to the
promoter for the sale of Villas constructed in the Project which the
promoter has agreed to engage his / her channel partner services
on the terms and conditions thereon.

1. Work/ Working Style:


a) Provide to the Client profiled (ability to buy) and qualified
(likely to buy) project prospects / leads.
b) Channel partner would be allowed to accompany its
buyers when employee of the promoter shows the Property
to the buyers or their representative/s.
c) The lead / prospect introduced by Channel partner is
likely to have previously/already been in touch through
any of multiple channels such as: digital marketing,
exhibitions, hoardings/billboards, other Channel Partner
etc hence the rules for lead registration and viewing
arrangements are as under:
• Lead (Prospect) registration form (first and last
name, email ID, phone number, lead location, lead
profession, lead source, lead requirements, budget,
timeline of purchase, when the lead is coming to
Goa) needs to be provided in at the time of registering
the prospect via email/watsapp only. After
registering the lead and arranging the viewing
Channel partner will give the Client the profile
(ability to buy) and qualification (likelihood to close)
as well as any other information on the client or their
surrogates (wealth/portfolio managers / Channel
Partner etc), that will assist and facilitate
engagement and closure of the sale to their
prospects.
• If a lead is already in touch with Promoter in the last
3 months, then Promoter will inform Channel
partner immediately that the lead does not belong to
Channel partner. However, if it is mutually agreed
between Channel partner the Promoter that a
prospect / lead despite being in touch directly with
the Promoter, the Channel partner has a
better/stronger relationship with prospect / lead
and the Channel partner and is accompanying the
prospect / lead for the viewing then the prospect /
lead will be registered with Channel partner.

2. Channel Partner Disbursement: -


On payment of 40 % to the ____________ by the client of
Channel partner, Channel partner will be paid a Channel
Partner fee of (TWO) 2 % in two stages of total of the Sale
Proceeds of the unit (Sale Proceeds shall mean the basic cost
of unit received by the Promoter from the Allottee as purchase
consideration excluding extra items and taxes thereon). The
fee payable to Channel partner will be exclusive of GST.
Following are two stages
➢ First 1% on booking by lead/ client
➢ Second 1% upon receiving consideration of 40%.

If client of channel partner failed to pay remaining 60 % of


consideration or the remaining amount than channel partner
shall refund the amount paid by the promoter as a Channel
Partner fees.

3. Obligation on part of Channel partner:


The Channel partner agrees not to make any use of
Promoter’s/ Promoter/ Parent Company’s brand name,
trading styles, logos, headed notepaper, trademarks, service
marks or any other intellectual property in any manner
whatsoever so also not purport or represent itself to be the
sole or exclusive Channel Partner real estate agent or
Channel Partner of the Promoter in respect of the Project.

4. Binding effect:
1. This engagement letter shall bind on both the parties until
in force.
2. Any individual under employment of Channel partner
involved in the sale of the property shall be bound by the
terms and conditions of this engagement letter.

5. Assignment.
No portions of this engagement letter may be transferred or
otherwise delegated without prior written consent between
the parties

6. Confidentiality
Channel partner shall keep all the information deemed
confidential. Any information disclosed without notice of the
party to first part shall be termed as breach of this
Engagement letter and Breach of this shall make this
engagement letter null and void with immediate effect and all
outstanding dues from promoter to Channel Partner will not
be released further.

7. Advertisement/ Marketing
Channel partner is hereby given the permission to do
advertise on social media platforms like Instagram Facebook
along with their individual website. Channel partner shall use
of promotional materials like Views, elevations provided by
promoter and no alteration shall be made to the creatives of
promoters. Channel Partner shall promote the project on
various social media platform without tampering the current
creatives provided by Promoters/ Authorised person .
Channel partner may use promotional materials only during
the term of this Agreement and will immediately cease use
and return all material upon termination of this engagement
letter.

8. Notice:
Any notification, communication and correspondence shall
be made on

9. Termination :
Channel partner shall be terminated by the promoter at any
point of time without any notice upon breach of terms and
conditions by Channel Partner.

10. Engagement period:


Valid for 1 year and shall be renewed by the promoter if he
desires.

Kindly sign and return one copy of this Engagement Letter to


enable Channel Partner to commence the services.
