legally and contractually bound not use for his personal benefit, or

disclose, communicate or divulge to, or use for the direct or indirect

benefit of any person, firm, association or company other than the
Company (plaintiff), any "Confidential Information," which term
shall mean any information regarding the business methods,
business policies, policies, procedures, techniques, research or
development projects or results, historical or projected financial
information, budgets, trade secrets, or other knowledge or processes
of, or developed by, Company (plaintiff) or any other confidential
information relating to or dealing with the business operations of
the Company (plaintiff), made known to him or learned or acquired
by him while in the employ of the Company (plaintiff). The
foregoing provisions of this subsection shall apply during and after
the period when the defendant is an employee of the Company
(plaintiff) and shall be in addition to (and not a limitation of) any
legally applicable protections of the Company (plaintiff) interest in
confidential information, trade secrets, and the like.

Similarly according to Clause-11 of Appointment Letter, the

defendant further agreed as infra:-
Similarly, the defendant was also bound that he will not, without
the prior written consent of the Company (plaintiff), directly or
indirectly, whether individually or through any entity controlled by
him, during the term of this Agreement and for a period of 3 years
from the termination of this Agreement, for any reason, directly or
indirectly, on his own behalf or in the service or on behalf of others,
whether or not for compensation, engage in any business activity, or
have any interest in any person, firm, corporation or business,
through a subsidiary or parent entity or other entity (whether as a
shareholder, agent, joint venturer, security holder, trustee, partner,
consultant, creditor lending credit or money for the purpose of
establishing or operating any such business, partnership or
otherwise) which is competitive with the then existing business of
the Company (plaintiff) whether inside or outside of Pakistan.”
